How to form an LLC in Wyoming (2026)
File a Wyoming LLC online in five steps: Articles of Organization on wyobiz.wyo.gov, $100 state fee, a Wyoming street registered agent. No newspaper publication. Calendar the annual report license tax ($60 minimum) due the first day of the anniversary month. Then a free EIN. Not a tax or privacy upgrade for out-of-state operators.
This page is for a person who lives in Wyoming, will do the work from Wyoming, and is choosing between remaining a sole proprietor and filing a domestic Wyoming LLC. It is a filing walkthrough, not a recommendation that every 1099 earner needs an LLC. Compare the structures on LLC vs sole proprietorship.
Formation Lane is not forming a Wyoming LLC. An out-of-state operator who lives and works elsewhere should not treat this page as a reason to file in Wyoming for tax or privacy folklore — home-state filing remains the honest default.
Short version for 2026: file Articles of Organization on Wyoming wyobiz, expect $100, appoint a Wyoming street registered agent — see registered agent, skip any newspaper advertising pitch that is not on the Articles path, and calendar the annual report license tax ($60 minimum) due the first day of the anniversary month.

How do I file Articles of Organization online?
File through wyobiz.wyo.gov, the Wyoming Secretary of State Business Division portal. Enter the LLC name and the Wyoming registered agent’s name and Wyoming street address, submit the Articles of Organization, then pay the $100 fee plus any published online card processing percentage. Pay what the portal shows and keep the receipt.
- Confirm you live and work in Wyoming. Use this path only if you live in Wyoming and will do the work from Wyoming. An out-of-state operator should not treat Wyoming filing as a tax or privacy upgrade over home-state formation.
- Gather Articles of Organization information. Have a distinguishable LLC name and a Wyoming registered agent with a Wyoming street address who can accept service of process for the Articles of Organization.
- File on Wyoming wyobiz. File Articles of Organization through wyobiz.wyo.gov (Wyoming Business Division online filing), or follow the SOS paper path.
- Pay the $100 Articles fee. Pay the $100 Articles of Organization fee on the SOS fee schedule effective July 1, 2026. Online card payments add the published 2.4% processing fee (minimum $1) — pay what the portal shows and keep the receipt.
- Get an EIN after the articles are accepted. After the Articles of Organization are accepted, obtain an Employer Identification Number free on IRS.gov. Form the state entity first.
A company already formed somewhere else that wants to transact business in Wyoming files a Certificate of Authority ($150 on the fee schedule), not domestic Articles of Organization. Filing in Wyoming does not move work done in Georgia, Ohio, or any other home state out of that state. Home-state filing is the cheaper default for a one-state operator. Overview: Foreign LLC and certificate of authority.

Does a Wyoming LLC need a registered agent with a street address?
Yes. Every Wyoming LLC names a Wyoming registered agent with a Wyoming street address on the Articles of Organization. The agent receives lawsuits and official SOS mail for the company. You can serve as your own agent if you meet Wyoming’s rules and keep a street address available during business hours, or you can hire a commercial agent.
If the company later has no registered agent on file, the fee schedule lists Reinstatement for No Registered Agent at $350 for LLCs — confirm catch-up totals on the portal. DIY versus commercial tradeoffs: Registered agent basics for a new LLC.
Do not treat Wyoming as a tax or privacy magic trick. An LLC is a public filing. The registered agent’s name and address go on the record. Out-of-state operators who form in Wyoming and work at home still owe home-state foreign qualification and Wyoming’s recurring annual report. Privacy products that promise invisibility are selling something the statute does not offer.
Does a Wyoming LLC file an annual report?
Yes. Wyoming requires an annual report with a license tax of $60 minimum, or two-tenths of one mill ($0.0002) on assets located and employed in Wyoming, whichever is greater (SOS fee schedule). Due on or before the first day of the anniversary month of formation — for example, an LLC formed May 15 files by May 1 each year (wyobiz Annual Report page).
File through the Annual Report Wizard on wyobiz when the entity is Active. Notices go to the registered agent; keep that address current. If the company is tax-delinquent, the fee schedule lists Reinstatement for Tax at $100 — see Reinstate an administratively dissolved or revoked LLC. Cross-state renewals: LLC annual report and annual registration.
Do I get an EIN before or after filing the Wyoming LLC?
After the Articles of Organization are accepted. The IRS tells applicants to form the state entity first, and the EIN application on IRS.gov is free. Use the EIN to open a separate business account so LLC money stays out of your personal checking from day one.
Walk through it on Get an EIN after the state entity exists, then First business checking account. Formation with the SOS is not a Wyoming Department of Revenue account, a sales-tax permit, a city license, or a professional license. Those have their own filings.
Wyoming does not require an operating agreement to be filed with the Articles of Organization. A written agreement still matters between members, and banks often ask for one. See LLC operating agreement basics.
Next: the money path. After the Articles of Organization is accepted:
- Get an EIN — free on IRS.gov after the state entity exists
- Open business checking — park operating cash in the LLC’s name
- First brokerage — only if the work needs one
