By Formation Lane Editorial · Page dated 14 October 2026

File a domestic Iowa LLC on Fast Track Filing when you live in Iowa and will do the work from Iowa. The Certificate of Organization costs $50 on the Secretary of State fee page (Iowa Code 489.201). Five steps: confirm Iowa facts, gather the Certificate with an Iowa registered agent, file online, pay $50, then get a free EIN. Compare structures on LLC vs sole proprietorship.

How much does it cost to form an LLC in Iowa?

The Iowa Secretary of State Business Entity Forms and Fees page lists a domestic LLC Certificate of Organization at $50 (Iowa Code 489.201), re-checked 14 October 2026. Optional name reservation is $10. After that, budget $30 online every other year for the biennial report. Pay what Fast Track Filing shows and keep the receipt.

How do I file an Iowa Certificate of Organization online?

Open Fast Track Filing on the Iowa Secretary of State site and choose Certificate of Organization for a domestic LLC. Enter a distinguishable name, the registered agent and registered office, and the principal office, then pay $50. The filed Certificate is your formation proof; keep the receipt.

Does an Iowa LLC need a registered agent?

Yes. Iowa Code 489.201 requires the Certificate of Organization to state the name and Iowa street and mailing addresses of the LLC’s registered agent. The agent goes on the public record. A Statement of Change of agent or office carries no fee on the SOS fee page. DIY versus commercial tradeoffs: Registered agent basics.

When is the Iowa LLC biennial report due, and what does it cost?

Every odd-numbered year, from January 1 through the April 1 deadline, per the Iowa Secretary of State. The LLC fee is $30 online through Fast Track Filing or $45 on paper (re-checked 14 October 2026). Reinstatement after a missed report costs $5 on the fee page. Calendar it when you form.

Do I get an EIN before or after the Iowa LLC?

After. The IRS tells applicants to form the state entity first, and the EIN application on IRS.gov is free. Apply the same day the Secretary of State accepts your Certificate of Organization if you need a business bank account right away. Walkthrough: Get an EIN; then open a first business checking account.

Does an Iowa LLC need newspaper publication?

No. The Iowa Secretary of State Certificate of Organization path and Business Entity Forms and Fees page include no newspaper publication step for a standard domestic Iowa LLC. Skip any “Iowa LLC publication” add-on a vendor tries to sell you. New York is different and does require publication; see How to form an LLC in New York.

File in Iowa if the work is in Iowa

A domestic Iowa LLC is organized by delivering a Certificate of Organization to the Iowa Secretary of State (Iowa Code § 489.201). Online filing runs through Fast Track Filing at filings.sos.iowa.gov (linked from sos.iowa.gov). Mail and in-person filing are also accepted. A company already formed somewhere else that wants to transact business in Iowa files a Foreign Registration Statement — a different instrument (SOS Forms and Fees: $100).

Filing in Wyoming, Delaware, or Georgia does not move Iowa work out of Iowa. A foreign entity that transacts business here still needs an Iowa registered agent and Iowa foreign registration, plus the formation state’s agent and report. Home-state filing is the cheaper default for a one-state operator. Multi-state registration overview: Foreign LLC and certificate of authority.

Do not try to hide from the Iowa Secretary of State. An LLC is a public filing. The registered agent’s name and address go on the record so the state and private parties can reach the company. Privacy products that promise invisibility are selling something the statute does not offer.

What to have on the desk before opening Fast Track Filing

Checked against SOS Forms and Fees and § 489.201 on 14 October 2026:

  • A distinguishable LLC name that complies with Iowa Code § 489.112. Search SOS entity records before ordering letterhead.
  • A signed Certificate of Organization PDF stating the LLC name, principal-office street and mailing addresses, and the registered agent’s name plus Iowa street and mailing addresses (§ 489.201). Fast Track uploads that PDF — there is no fillable Certificate form from the SOS.
  • Registered agent who can accept service of process in Iowa. See Registered agent basics for a new LLC.
  • Organizer / payment method for the $50 Certificate fee.

No newspaper or other advertising is required on the standard domestic Certificate of Organization path. Professional LLC paths are out of scope for a default 1099 single-member LLC on this page. Optional name reservation is $10 on the Forms and Fees table — not required to form.

File through Iowa SOS Fast Track Filing

The primary path on this page is Iowa SOS Fast Track Filing at filings.sos.iowa.gov (Business Filings → Form an Iowa limited liability company). Create an account, enter the entity details, upload the Certificate PDF, and pay. SOS Forms and Fees and § 489.122 list $50 for Certificate of Organization.

Optional fictitious name, certified copies, or other line items belong on the current fee table and checkout screen — this page does not invent add-ons. Pay what the portal shows and keep the receipt.

After the Certificate of Organization is filed

Formation with the SOS is not an Iowa Department of Revenue account, a sales-tax permit, a city license, or a professional license. Those have their own filings.

The IRS tells applicants to form the state entity first, then obtain an Employer Identification Number. That application on IRS.gov is free.

Next: the money path. After the Certificate of Organization is accepted:

  1. Get an EIN — free on IRS.gov after the state entity exists
  2. Open business checking — park operating cash in the LLC’s name
  3. First brokerage — only if the work needs one

Full first-30-days desk list: After you form an LLC. Setup overview on the setup checklist. Formation shops, if you want one instead of DIY, stay in the callout above.

Iowa does not require an operating agreement to be filed with the Certificate of Organization. A written agreement still matters between members. Banks often ask for one anyway. See LLC operating agreement basics.

Biennial report — odd years, due by April 1

Iowa requires a biennial report for domestic LLCs every odd-numbered year, beginning January 1 and due by April 1. The fee is $30 online or $45 by paper (SOS Forms and Fees). File through Fast Track Filing.

An LLC formed in 2026 (an even year) still follows the odd-year calendar — first SOS biennial window is calendar year 2027. Notices go to the registered agent; keep that address current. Cross-state renewals: LLC annual report and annual registration.

Overview of admin status vs reinstate: Reinstate an administratively dissolved or revoked LLC (SOS Application for Reinstatement is $5 on Forms and Fees — confirm catch-up reports on the portal).

What this page does not cover

  • Professional LLC, conversions, or foreign registration of an out-of-state company beyond the fee citation above.
  • Sales-tax, employer withholding, unemployment, Workers’ Compensation, or local business licenses.
  • Whether an S corporation election is worth the payroll. That is a CPA conversation after there is real net income.
  • Any promise that an LLC prevents a personal guarantee on a bank account or a business card. It usually does not.
  • Telling a Georgia operator to file Iowa as a sophistication upgrade.
  • Voluntary dissolution — Statement of Dissolution is $5 on the SOS Forms and Fees table; confirm before filing; see Dissolve or cancel an LLC.
  • Processor fees or portal line items that are not printed on the sources above.
