By Formation Lane Editorial · Page dated 13 October 2026

File a domestic Colorado LLC online with the Colorado Secretary of State when you live in Colorado and will do the work from Colorado. Articles of Organization cost $50 on the SOS Business Organizations Fee Schedule (online only). Five steps: confirm Colorado facts, gather the Articles with a Colorado registered agent, file online, pay $50, then get a free EIN. Compare structures on LLC vs sole proprietorship.

How much does it cost to form an LLC in Colorado?

The Colorado Secretary of State Business Organizations Fee Schedule lists Articles of Organization for a limited liability company at $50.00 online, re-checked 13 October 2026. The paper fee column reads n/a, so Colorado LLC formation runs online. Budget $25 a year after that for the Periodic Report. Pay what the portal shows and keep the receipt.

How do I file Articles of Organization with the Colorado SOS?

Open the Colorado SOS business filing system, choose Articles of Organization for a limited liability company, and enter a distinguishable name, a Colorado registered agent with a Colorado street address, the principal office, and the person forming the LLC. Pay the $50 fee online. The filed record is your formation proof.

Does a Colorado LLC need a registered agent?

Yes. Colorado Articles of Organization require a registered agent with a Colorado street address who can accept service of process for the company. The agent goes on the public record, and the yearly Periodic Report is where you confirm or update agent and principal-office details. DIY versus commercial tradeoffs: Registered agent basics.

When is the Colorado LLC Periodic Report due, and what does it cost?

Every year. Your Periodic report month is shown on the entity Summary page, and the SOS FAQ says you may file two months before or two months after that month without penalty. The fee schedule lists the report at $25.00 online and a $50.00 late-filing penalty outside that window (re-checked 13 October 2026).

Do I get an EIN before or after the Colorado LLC?

After. The IRS tells applicants to form the state entity first, and the EIN application on IRS.gov is free. Apply the same day the Colorado SOS files your Articles of Organization if you need a business bank account right away. Walkthrough: Get an EIN; then open a first business checking account.

Does a Colorado LLC need newspaper publication?

No. The Colorado SOS Articles of Organization path and Business Organizations Fee Schedule include no newspaper publication step for a standard domestic Colorado LLC. Skip any “Colorado LLC publication” add-on a vendor tries to sell you. New York is different and does require publication; see How to form an LLC in New York.

File in Colorado if the work is in Colorado

A domestic Colorado LLC is organized by filing Articles of Organization with the Colorado Secretary of State. Online filing runs through the SOS business filing system at coloradosos.gov / sos.state.co.us. A company already formed somewhere else that wants to transact business in Colorado files a Foreign Entity Authority Statement — a different instrument, $100 online on the SOS fee schedule.

Filing in Wyoming, Delaware, or Georgia does not move Colorado work out of Colorado. A foreign entity that transacts business here still needs a Colorado registered agent and Colorado foreign authority, plus the formation state’s agent and annual report. Home-state filing is the cheaper default for a one-state operator. Multi-state registration overview: Foreign LLC and certificate of authority.

Do not try to hide from the Colorado SOS. An LLC is a public filing. The registered agent’s name and address go on the record so the state and private parties can reach the company. Privacy products that promise invisibility are selling something the statute does not offer.

What to have on the desk before opening the SOS portal

The SOS fee schedule and Periodic Report FAQ set the baseline. Checked against those pages on 13 October 2026:

  • A distinguishable LLC name. Search the SOS business entity database before ordering letterhead.
  • Articles of Organization details, including the registered agent and Colorado street address for that agent, plus a principal office address.
  • Registered agent who can accept service of process in Colorado. See Registered agent basics for a new LLC.
  • Organizer information as the current online form requires. Payment follows whatever the SOS checkout shows.

No newspaper or other advertising is required on the standard domestic Articles of Organization path. Professional entities and conversions are out of scope for a default 1099 single-member LLC on this page.

File online through the Colorado SOS

The primary path on this page is the Colorado SOS business filing system (File Document / business functions at sos.state.co.us/biz). Create or sign into an account, file Articles of Organization for a new Colorado LLC, and pay. The Business Organizations Fee Schedule lists that filing at $50.00 online for a limited liability company. That is the fee this page cites. Paper filing is listed as n/a for that instrument.

Optional statement-of-change or other line items belong on the current fee schedule and checkout screen — this page does not invent add-ons. Pay what the portal shows and keep the receipt.

After the Articles of Organization are filed

Formation with the SOS is not a Colorado Department of Revenue tax account, a sales-tax license, a city license, or a professional license. Those have their own filings.

The IRS tells applicants to form the state entity first, then obtain an Employer Identification Number. That application on IRS.gov is free.

Next: the money path. After the Articles of Organization is accepted:

  1. Get an EIN — free on IRS.gov after the state entity exists
  2. Open business checking — park operating cash in the LLC’s name
  3. First brokerage — only if the work needs one

Full first-30-days desk list: After you form an LLC. Setup overview on the setup checklist. Formation shops, if you want one instead of DIY, stay in the callout above.

Colorado does not require an operating agreement to be filed with Articles of Organization. A written agreement still matters between members. Banks often ask for one anyway. See LLC operating agreement basics.

Periodic Report — $25, reporting month ± two months

Every Colorado LLC must file a Periodic Report each year. The SOS fee schedule prices that report at $25.00 (online only). Find your Periodic report month on the entity Summary page. Per the Periodic reports FAQ, you may file two months before or two months after that month without a penalty. Outside that window, the fee schedule lists a $50.00 late-filing penalty. File electronically on the SOS site — the FAQ states the report must be filed electronically.

Put the first reporting window on a calendar the day articles are accepted. Sign up for SOS email notification if you want courtesy reminders, but the duty to file still falls on the company. Cross-state renewals and “is an annual report a tax?”: LLC annual report and annual registration. This page does not compute anyone’s tax.

Missing reports put the entity into delinquent status. Overview of admin-dissolve vs reinstate: Reinstate an administratively dissolved or revoked LLC.

What this page does not cover

  • Professional entities, conversions, or foreign authority of an out-of-state company beyond the fee citation above.
  • Sales-tax, employer withholding, unemployment, Workers’ Compensation, or local business licenses.
  • Whether an S corporation election is worth the payroll. That is a CPA conversation after there is real net income.
  • Any promise that an LLC prevents a personal guarantee on a bank account or a business card. It usually does not.
  • Telling a Georgia operator to file Colorado as a sophistication upgrade.
  • Voluntary dissolution — SOS lists Dissolve a Limited Liability Company at $10 online on the fee schedule; see Dissolve or cancel an LLC.
  • Processor fees or portal line items that are not printed on the sources above.
