How to form an LLC in Nebraska (2026)

File a domestic Nebraska LLC with the Nebraska Secretary of State when you live in Nebraska and will do the work from Nebraska. Compare structures on LLC vs sole proprietorship.
How much does it cost to form an LLC in Nebraska?
The Nebraska Secretary of State fee table lists the Certificate of Organization at $100 online or $110 in office, re-checked 20 October 2026. Add the state fee to file proof of newspaper publication and whatever the newspaper charges for the three-week notice. The EIN from the IRS costs nothing, so the state and newspaper are the only real first-year costs.
How do I file a Nebraska Certificate of Organization online?
File through SOS eDelivery. Have a distinguishable LLC name, the designated office address, and a registered agent with a Nebraska street address ready, choose the domestic Certificate of Organization, then pay the filing fee by card. Save the filed certificate once the Secretary of State accepts it, because the newspaper notice comes next.
Does a Nebraska LLC need newspaper publication?
Yes. Neb. Rev. Stat. § 21-193 requires a notice of organization in a legal newspaper near the LLC’s designated office for three successive weeks. Then file the Affidavit/Proof of Publication with the Secretary of State, which costs $25 online or $30 in office. The newspaper bills its own rate separately from state fees.
Does a Nebraska LLC need a registered agent?
Yes. The Certificate of Organization names a registered agent with a Nebraska street address, and that name goes on the public record. Lawsuits and state notices, including biennial report reminders, go to that agent. You can serve as your own agent if you have a Nebraska address. Tradeoffs: Registered agent basics for a new LLC.
Does a Nebraska LLC file an annual report?
Not every year. Nebraska LLCs file a biennial report in odd-numbered years, due by April 1 and delinquent after June 16. The first one is due in the odd year after the year you form. Statute sets the fee at $25 online or $30 on paper. Cross-state renewals: LLC annual report and annual registration.
Do I get an EIN before or after filing the Nebraska LLC?
After. The IRS tells applicants to form the state entity first, and the EIN application on IRS.gov is free. You can apply the day the Secretary of State accepts the Certificate of Organization, even while the newspaper notice is still running. Walkthrough: Get an EIN; then open a first business checking account.

File in Nebraska if the work is in Nebraska
Filing in Wyoming, Delaware, or another state does not move Nebraska work out of Nebraska. An LLC formed elsewhere that transacts business here still needs a Nebraska registered agent and a Nebraska Certificate of Authority, plus the formation state’s agent and recurring fees. Home-state filing is the cheaper default for a one-state operator. Multi-state overview: Foreign LLC and certificate of authority.
Do not try to hide from the Nebraska Secretary of State. An LLC is a public filing, and the newspaper notice repeats the certificate details in print. Privacy products that promise invisibility are selling something the statute does not offer.
After the Certificate of Organization is filed
Formation with the Secretary of State is not a state tax account, a sales-tax permit, a city business license, or a professional license. Those have their own filings.
Next: the money path. After the Certificate of Organization is accepted:
- Get an EIN — free on IRS.gov after the state entity exists
- Open business checking — park operating cash in the LLC’s name
- First brokerage — only if the work needs one

Nebraska does not require an operating agreement to be filed with the Certificate of Organization. A written agreement still matters between members, and banks often ask for one. See LLC operating agreement basics.
