Foreign LLC certificate of authority (2026): how to register in another state
Foreign LLC certificate of authority / foreign qualification: when a home-state LLC must register in another state, published SOS fees, host-state registered agent, good standing, name conflicts, DIY vs shop. Distinct from domestication and from withdrawing foreign authority.
A home-state LLC is a domestic company where it was formed. The same company is a foreign LLC everywhere else. When it “transacts business” in another state — the statutory phrase varies, but the practical triggers below cover most operator fact patterns — that second state usually wants a registration before or soon after the activity starts. Names on the form include Certificate of Authority, Application for Authority, Application for Registration, or Application for Admission. The filing does not replace the domestic articles; it stacks a second public record, a second registered agent, and usually a second renewal calendar on top of the home state.

Quick answer: a foreign LLC registration (Certificate of Authority / Application for Authority) is what a second state usually wants when your home-state LLC “transacts business” there. It does not replace domestic articles — it adds a second public record, a second registered agent, and usually a second renewal calendar. Isolated invoices are often outside the statute; physical presence, local employees, and regular in-state work commonly force the filing — gray facts need counsel. See the fee table for GA/FL/CA/TX/NY/IL/PA/NC/OH and the other linked guides. DIY on the foreign state’s portal; shops are optional.
Before you file the Certificate of Authority
Have these ready so the foreign portal does not bounce the filing and renewals do not surprise you later.
- Confirm the activity actually triggers “transacting business” in that state — gray facts need counsel
- Legal name cleared (or alternate / assumed name plan) in the foreign state
- Host-state registered agent with a street address ready
- Fresh home-state Certificate of Good Standing or Existence inside the dating window — unless the foreign state is an exception (Georgia Rule 590-7-21)
- Published application fee confirmed on the official desk — not a blog paraphrase
- Plan for the second renewal calendar, stacked agents, and any follow-ons (NY publication, CA FTB, TX Comptroller)
When do I need a foreign LLC certificate of authority?
When your home-state LLC “transacts business” in another state. Common triggers: physical presence (office, warehouse, retail counter, standing job site), local W-2 employees or contractors regularly on the ground, repeated in-state work, or a bank, landlord, or license that asks for proof of authority. Isolated invoices are often hoped-for safe harbors — gray facts need counsel.
- Physical presence. A leased office, coworking suite used as the company’s place of business, warehouse, retail counter, or job site that is more than a one-off visit.
- Employees or contractors on the ground. Hiring people who regularly work in the other state for the LLC — especially W-2 employees — is a classic trigger. Occasional travel to meet a client is not the same fact pattern as a standing local team.
- Regular, repeated business in the state. Ongoing sales, service routes, licensed work that requires a local entity registration, or bank / landlord / licensing forms that demand proof the LLC is authorized there.
- Opening a local bank account or signing a commercial lease. Counterparties often ask for a certificate of good standing or authority from that state before they will proceed.
Isolated transactions, pure interstate commerce, and “I mailed one invoice into the state” are the usual examples people hope will keep them outside the statute. Whether your facts fit a statutory safe harbor is a lawyer question. This page maps the filing instruments and published fees once you already know you need to register — it does not decide nexus for you.

Is a certificate of authority the same as forming a new LLC or domesticating?
No. Domestic articles create the LLC at home. A Certificate of Authority (Application for Authority, Registration, or Admission) registers that same company in a second state — second public record, registered agent, and usually a second renewal calendar. Domestication moves the home state; withdrawal ends foreign authority without dissolving the domestic LLC.
| Path | What it does | What it does not do |
|---|---|---|
| Foreign CoA / qualification | Registers the same home-state LLC to transact in a second state | Does not create a new LLC and does not change the home state of formation |
| Domestication / redomestication | Moves the LLC’s home state (same entity continues under destination law) | Is not a substitute for foreign qualification when you only need authority elsewhere |
| Withdraw / cancel foreign authority | Ends authority to transact in that second state | Does not dissolve the domestic LLC by itself |
Domestication path: Domesticate an LLC to another state. Exit path when you leave a state: Withdraw or cancel a foreign LLC qualification. Sibling primer: Foreign qualification for an LLC.
How much does foreign LLC registration cost?
Published application fees on this page run from about $50 (Hawaii) to $750 (Texas; South Dakota online). Examples: Florida $125, California $70, Illinois $150, New York $250, Georgia $225 plus a portal charge. Recurring costs often hurt more than the application — pay what the state portal shows and keep the receipt.
Figures below are the published SOS (or equivalent) application fees for a foreign LLC, plus the add-ons the official pages flag. Portals can add processor charges. If checkout differs from the statute or fee table, pay the portal and keep the receipt.

Recurring cost is where foreign qualification hurts more than the application fee. California’s $800 FTB tax, Florida’s $138.75 annual report, Georgia’s $50 registration, Illinois’s $75 annual report, North Carolina’s $200 annual report, Pennsylvania’s $7 annual report (cheap on paper, still a second calendar), New York publication in expensive counties, Texas’s $750 late-fee multiplier, and Ohio’s lack of an SOS annual report (agent maintenance still required) are the numbers that make “form in State A, work in State B” a stacked bill instead of a sophistication upgrade. Calendar map: LLC annual report and annual registration.
How do I register a foreign LLC?
Confirm the activity counts as transacting business in the new state, clear the name there, order a home-state good-standing certificate if that state wants one, appoint a registered agent with a local street address, then file the application on the state’s own portal and pay the published fee. Calendar its annual report and taxes once it is accepted.
- Decide if activity triggers foreign registration. Confirm whether the home-state LLC “transacts business” or “does business” in another state. Practical triggers include physical presence, local W-2 employees or contractors regularly on the ground, regular repeated in-state work, or a bank, landlord, or license that demands proof of authority. Isolated invoices are often hoped-for safe harbors; gray facts need counsel. This checklist starts once you already know you need to register.
- Pick the foreign state. Identify every state where the activity actually happens — not a “popular” formation state used as a substitute. Each foreign state is its own public record, registered agent, and renewal calendar. Use the fee and process snapshot on this page for published application fees, then confirm checkout on that state’s official portal.
- Gather home-state good standing or existence documents. Order a fresh Certificate of Good Standing or Existence from the home state when the foreign application requires one, and keep it inside the dating window (examples: Illinois Form LLC-45.5 within 60 days; New York Certificate of Existence within one year; California within six months). Georgia Rule 590-7-21 is an exception: a certified home-state certificate of existence is not required for a Georgia certificate of authority. Confirm the foreign state’s row before ordering.
- Appoint a foreign-state registered agent and clear the name. Engage a registered agent (or statutory agent) with a street address in the foreign state before or with the application so the filing is not rejected for a blank agent line. This is usually a second agent if you already have one at home. Confirm name availability in the foreign state; if the exact legal name is taken, budget time for an assumed or fictitious name or consent.
- File the Certificate of Authority on the official portal. File the Certificate of Authority, Application for Authority, Application for Registration, or Application for Admission on the foreign state’s own portal (eCorp, Sunbiz, bizfile, SOSDirect, New York DOS, ilsos.gov, Pennsylvania Business Filing Services, sosnc.gov, Ohio Business Central, and the other official desks linked from the state guides). Pay the published fee; save the acceptance PDF. A formation-shop invoice is not a Secretary of State acceptance.
- Calendar the second renewal, stacked agents, and bank or tax follow-through. Keep the foreign acceptance with the domestic articles, EIN letter, and operating agreement. Run two or more compliance calendars — domestic renewals plus every foreign state’s report and tax deadlines — and keep both registered agents current. Complete state-specific follow-ons immediately (New York publication, California Statement of Information / FTB accounts, Texas Comptroller setup). Update banks and counterparties that asked for proof of authority.
How old can the home-state good-standing certificate be?
It depends on the state you are registering in. California accepts a certificate issued within the past six months, Florida one no more than 90 days old, Illinois, Washington, and Wyoming 60 days, and New York one dated within a year. Georgia does not require one for a foreign LLC. Order it last, right before you file.
| State | Age limit on the certificate | Official source |
|---|---|---|
| California | Issued within the past 6 months | Corp. Code § 17708.02(b) |
| Florida | No more than 90 days old | Form CR2E027 instructions |
| Illinois | Authenticated within 60 days | Form LLC-45.5 |
| New York | Dated within one year | NY DOS Application for Authority |
| Washington | Issued no more than 60 days before submission ($180 fee + online processing fee) | WA SOS online instructions |
| Wyoming | Original certificate dated not more than 60 days before filing | WY Certificate of Authority form |
| Georgia | Not required for foreign LLCs | Rule 590-7-21 |
Do I need a second registered agent and a home-state good standing certificate?
Usually yes to a host-state registered agent with a street address — a second agent if you already have one at home. Many states also want a fresh home-state Certificate of Good Standing or Existence inside a dating window (Illinois 60 days; New York one year; California six months). Georgia Rule 590-7-21 is an exception: no home-state certificate of existence.
- Application on the foreign state’s form or portal (Certificate of Authority / Application for Authority / Registration / Admission — names vary).
- Home-state Certificate of Good Standing or Existence where the foreign state requires one — age limits are in the table above. Pennsylvania’s FAQ path uses the registration statement + docketing statement without a good-standing certificate.
- Ongoing renewals and tax accounts in the foreign state after acceptance — annual report / registration and, where applicable, franchise or entity tax. See LLC annual report and annual registration.
Good-standing order desk: Certificate of good standing. If the home state already dissolved the company, fix that before stacking foreign authority — Reinstate an administratively dissolved LLC.
Should I file DIY on the official portal or use a formation shop?
DIY on the foreign state’s own portal is the primary path (eCorp, Sunbiz, bizfile, SOSDirect, New York DOS, ilsos.gov, and the other official desks). A formation shop is optional convenience for chasing good-standing certificates and agent appointments. It does not change the legal obligation, the state fee, or the stacked renewal calendar.
The primary path is the foreign state’s own filing system: Georgia eCorp, Florida Sunbiz, California bizfile, Texas SOSDirect, New York DOS E-Corp / mail, Illinois ilsos.gov, Pennsylvania Business Filing Services, North Carolina Business Registration / sosnc.gov, Ohio Business Central, and the other official desks linked from the state guides. Order a fresh Certificate of Good Standing from the home state first when the foreign application requires one. Appoint the foreign-state agent before or with the application so the filing is not rejected for a blank agent line.
Formation shops will file the foreign application for a service fee on top of state charges. That can be rational when you want someone else to chase good-standing certificates and agent appointment across two portals. A shop invoice is not a Secretary of State acceptance.
After the foreign state accepts the filing: keep the acceptance with the domestic articles, the EIN letter, and the operating agreement. Update banks, insurers, and landlords that asked for proof of authority — see First business checking account. Then run two (or more) compliance calendars: domestic renewals plus every foreign state’s report and tax deadlines. Desk list: After you form an LLC. Setup map: setup checklist. Withdrawal when you leave a state: Withdraw or cancel a foreign LLC qualification. Domestic close: Dissolve or cancel an LLC.
If you choose a shop.
- Business Anywhere — registered agent and virtual mailbox in the new state
Next: the money path. After the articles (or certificate) of organization is accepted:
- Get an EIN — free on IRS.gov after the state entity exists
- Open business checking — park operating cash in the LLC’s name
- First brokerage — only if the work needs one
Full first-30-days desk list: After you form an LLC. Setup overview on the setup checklist. Formation shops, if you want one instead of DIY, stay in the callout above.
Foreign LLC certificate of authority FAQ
- Do Wyoming or Delaware articles replace registering where I work?
- No. Filing in a “popular” formation state while living and working in Georgia, California, Texas, Florida, New York, Illinois, or another operating state still leaves the operating state as the place that cares about foreign qualification, agents, and renewals. Home-state domestic filing remains the cheaper default for a one-state operator — see LLC vs sole proprietorship.
- What if the LLC name is already taken in the foreign state?
- Confirm name availability in the foreign state before you file. If the exact legal name is taken, many states require an assumed / fictitious / alternate name or a consent — California Form LLC-5 has a California Alternate Name field for that case. Budget time for clearance; a rejected name line stalls the Certificate of Authority. Related: LLC DBA / assumed name.
- How is foreign qualification different from withdrawing it or dissolving the LLC?
- Foreign qualification adds authority in a second state. Closing it is a separate withdrawal / cancellation / surrender filing on that foreign desk — it does not dissolve the home-state LLC, and dissolving at home does not automatically cancel every foreign registration. Exit map: Withdraw or cancel a foreign LLC qualification · domestic close: Dissolve or cancel an LLC.
- What happens if I do business in another state without registering?
- It depends on the state. Georgia imposes a $500 civil penalty if authority is not obtained within 30 days of starting business; Texas charges a late fee equal to $750 for each full or partial year if the LLC transacted business more than 90 days before registering; Wyoming’s form warns of back taxes and penalties. Many states also bar an unregistered foreign LLC from suing in their courts until it registers.
What this page does not cover
- Whether your exact fact pattern “transacts business” in a given state. That is counsel territory; New York DOS expressly declines to opine on qualification facts on its Application for Authority page.
- Every US state’s fee table beyond the snapshot and linked formation guides on this site.
- Sales-tax nexus, income-tax apportionment, payroll withholding, or professional-board licenses.
- Formal foreign withdrawal / cancellation / surrender — Withdraw or cancel a foreign LLC qualification. Domestic dissolution / termination / cancellation — Dissolve or cancel an LLC.
- Domestication / redomestication into a new home state — Domesticate an LLC to another state.
- Reinstatement after administrative dissolution or revocation — see Reinstate an administratively dissolved LLC.
