File an Indiana LLC on INBiz for $95 online ($100 paper). Keep an IN registered agent; Business Entity Report $32 on INBiz every two years.

By Formation Lane Editorial · Page dated 13 October 2026

File a domestic Indiana LLC on INBiz when you live in Indiana and will do the work from Indiana. Articles of Organization cost $95 online on the INBiz fee calculator (including the $20 Enhanced Access fee under 75 IAC 8-3-4) or $100 on the paper State Form 49459. Five steps: confirm Indiana facts, gather the Articles with an Indiana registered agent, file on INBiz, pay $95, then get a free EIN. Compare structures on LLC vs sole proprietorship.

How much does it cost to form an LLC in Indiana?

The INBiz fee calculator prices a domestic LLC Formation at $95.00 online, re-checked 13 October 2026. That total includes the $20 Enhanced Access fee 75 IAC 8-3-4 requires on electronic Articles of Organization. The paper State Form 49459 lists $100.00. INBiz adds a card processing fee at checkout (minimum $1, at most 2.15%).

How do I file Articles of Organization on INBiz?

Open inbiz.in.gov, sign in with an Access Indiana account, and start a new domestic LLC under Start a Business. Enter a distinguishable name, an Indiana registered agent with an Indiana street address, and the principal office, then pay the $95 INBiz total. The accepted filing is your formation proof; keep the receipt.

Does an Indiana LLC need a registered agent?

Yes. INBiz says each business entity must continuously maintain a registered agent and a registered office in Indiana. The agent’s address must be an Indiana street address, and the business cannot act as its own registered agent. The agent goes on the public record. DIY versus commercial tradeoffs: Registered agent basics.

When is the Indiana Business Entity Report due, and what does it cost?

Indiana uses a biennial Business Entity Report, not a yearly one. Per INBiz, the first report is due two years after formation, then every other year, on the formation month, with until month-end before it is past due. The for-profit fee is $32.00 on INBiz or $50.00 by paper (re-checked 13 October 2026).

Do I get an EIN before or after the Indiana LLC?

After. The IRS tells applicants to form the state entity first, and the EIN application on IRS.gov is free. Apply the same day INBiz accepts the Articles of Organization if you need a business bank account right away. Walkthrough: Get an EIN; then open a first business checking account.

Does an Indiana LLC need newspaper publication?

No. The INBiz Articles of Organization path, the paper State Form 49459, and the INBiz fee calculator include no newspaper publication step for a standard domestic Indiana LLC. Skip any “Indiana LLC publication” add-on a vendor tries to sell you. New York is different and does require publication; see How to form an LLC in New York.

File in Indiana if the work is in Indiana

A domestic Indiana LLC is organized by filing Articles of Organization with the Indiana Secretary of State, Business Services Division. Online filing runs through INBiz at inbiz.in.gov. A company already formed somewhere else that wants to transact business in Indiana files a foreign registration statement — a different instrument with its own fee on the INBiz fee calculator.

Filing in Wyoming, Delaware, or Georgia does not move Indiana work out of Indiana. A foreign entity that transacts business here still needs an Indiana registered agent and Indiana foreign registration, plus the formation state’s agent and report. Home-state filing is the cheaper default for a one-state operator. Multi-state registration overview: Foreign LLC and certificate of authority.

Do not try to hide from the Indiana SOS. An LLC is a public filing. The registered agent’s name and address go on the record so the state and private parties can reach the company. Privacy products that promise invisibility are selling something the statute does not offer.

What to have on the desk before opening INBiz

INBiz Start a Business guidance and the INBiz fee calculator set the baseline. Checked against those pages on 13 October 2026:

  • A distinguishable LLC name. Use INBiz name availability before ordering letterhead.
  • Articles of Organization details, including the registered agent and Indiana street address for that agent, plus a principal office address.
  • Registered agent who can accept service of process in Indiana (entity cannot be its own agent). See Registered agent basics for a new LLC.
  • Organizer / governing-person information as the current online form requires. Payment follows whatever INBiz checkout shows.

No newspaper or other advertising is required on the standard domestic Articles of Organization path. Professional entities and conversions are out of scope for a default 1099 single-member LLC on this page.

File online through INBiz

The primary path on this page is INBiz at inbiz.in.gov. Create or sign into an Access Indiana account, file Articles of Organization for a new Indiana LLC, and pay. The INBiz fee calculator shows $95 for a domestic LLC Formation online, which includes the $20 Enhanced Access fee under 75 IAC 8-3-4; the paper State Form 49459 lists $100.

Optional assumed-name or other line items belong on the current INBiz fee calculator and checkout screen — this page does not invent add-ons. Pay what the portal shows and keep the receipt.

After the Articles of Organization are filed

Formation with the SOS is not an Indiana Department of Revenue tax account, a Registered Retail Merchant Certificate, a city license, or a professional license. Those have their own filings.

The IRS tells applicants to form the state entity first, then obtain an Employer Identification Number. That application on IRS.gov is free.

Next: the money path. After the Articles of Organization is accepted:

  1. Get an EIN — free on IRS.gov after the state entity exists
  2. Open business checking — park operating cash in the LLC’s name
  3. First brokerage — only if the work needs one

Full first-30-days desk list: After you form an LLC. Setup overview on the setup checklist. Formation shops, if you want one instead of DIY, stay in the callout above.

Indiana does not require an operating agreement to be filed with Articles of Organization. A written agreement still matters between members. Banks often ask for one anyway. See LLC operating agreement basics.

Business Entity Report — biennial, $32 on INBiz

Indiana does not use a yearly SOS annual report for a typical LLC. It uses a Business Entity Report due every other year. Per the INBiz Business Entity Reports page: the first report is due two years after the business is formed or registered; the due date is the formation month and day (you have until the end of that month before past due); for-profit fee is $32.00 on INBiz or $50.00 by paper.

Put the first biennial window on a calendar the day articles are accepted. INBiz sends email reminders when contact emails are current, but the duty to file still falls on the company. Cross-state renewals: LLC annual report and annual registration. This page does not compute anyone’s tax.

Missing reports lead to administrative dissolution. Overview of admin-dissolve vs reinstate: Reinstate an administratively dissolved or revoked LLC.

What this page does not cover

  • Professional entities, conversions, or foreign registration of an out-of-state company beyond the fee citation above.
  • Sales-tax, employer withholding, unemployment, Workers’ Compensation, or local business licenses.
  • Whether an S corporation election is worth the payroll. That is a CPA conversation after there is real net income.
  • Any promise that an LLC prevents a personal guarantee on a bank account or a business card. It usually does not.
  • Telling a Georgia operator to file Indiana as a sophistication upgrade.
  • Voluntary dissolution — confirm the current INBiz dissolution instrument and fee before filing; see Dissolve or cancel an LLC.
  • Processor fees or portal line items that are not printed on the sources above.
