How to form an LLC in Pennsylvania (2026)
File a Pennsylvania LLC online in five steps: Certificate of Organization DSCB:15-8821 on Business Filing Services, $125 state fee, a Pennsylvania registered office or CROP. No newspaper publication. Calendar the $7 annual report due Jan 1–Sept 30 starting the year after formation. Then a free EIN. Not a tax or privacy upgrade for out-of-state operators.
File a domestic Pennsylvania LLC on Business Filing Services when you live in Pennsylvania and will do the work from Pennsylvania. Certificate of Organization DSCB:15-8821 costs $125 (DOS Fees and Payments table and form PDF). Five steps: confirm Pennsylvania facts, gather Certificate + docketing statement and a Pennsylvania registered office or CROP, file at file.dos.pa.gov, pay $125, then get a free EIN after acceptance. Compare structures on LLC vs sole proprietorship.
Short version for 2026: form through Business Filing Services at file.dos.pa.gov (Certificate of Organization DSCB:15-8821 with docketing statement DSCB:15-134A), expect $125, keep a Pennsylvania registered office or a contracted Commercial Registered Office Provider (CROP) — not a P.O. box alone — see registered agent, skip any newspaper advertising pitch (DOS says none is required for a domestic LLC), then calendar the January 1–September 30 annual report for the year after formation ($7 for-profit on the same fee table).
DIY or a formation shop. The walkthrough on this page is for Business Filing Services (file.dos.pa.gov). If you would rather pay a shop to handle the filing paperwork, compare these:

How much does it cost to form an LLC in Pennsylvania?
$125. That is the Certificate of Organization fee on the Department of State Fees and Payments table (Domestic Limited Liability Company) and the nonrefundable $125 printed on Form DSCB:15-8821 (re-fetched 13 October 2026). The PA Business Hub domestic-LLC help guide (revised 6/23/2026) matches $125. After formation, the for-profit annual report is $7 a year, starting the calendar year after formation. Expedited service is optional. Pay what Business Filing Services shows and keep the receipt.
How do I file a Pennsylvania Certificate of Organization online?
File through Business Filing Services at file.dos.pa.gov. Choose the domestic LLC Certificate of Organization, enter the name, registered office or CROP, and organizer details, complete docketing statement DSCB:15-134A, and pay $125. A paper DSCB:15-8821 with DSCB:15-134A is the alternative.
- Confirm you live and work in Pennsylvania. Use the domestic Pennsylvania path if you live in Pennsylvania and will do the work from Pennsylvania. A company already formed in another state files a foreign registration instead.
- Gather Certificate of Organization, docketing statement, and PA registered office or CROP. Have a distinguishable LLC name, Certificate of Organization DSCB:15-8821 with docketing statement DSCB:15-134A, a Pennsylvania registered office (street or rural route) or a contracted Commercial Registered Office Provider (CROP), and organizer/member-manager information the current form requires.
- File on Business Filing Services. File through the Department of State’s Business Filing Services / PA Business Hub system at file.dos.pa.gov, or follow the paper path for DSCB:15-8821 and DSCB:15-134A if you are not filing online.
- Pay $125. Pay the $125 Certificate of Organization fee printed on the DOS Fees and Payments table and Form DSCB:15-8821. Expedites on that table are optional. Pay what the portal shows and keep the receipt.
- Get an EIN after the certificate is accepted. After the state Certificate of Organization is accepted, obtain an Employer Identification Number free on IRS.gov. Form the state entity first.
Do I need a Pennsylvania registered office or CROP?
Yes. A P.O. box alone is not enough. Use a Pennsylvania street address or rural route, or the name of a Commercial Registered Office Provider (CROP) under 15 Pa.C.S. § 109 with a contract in place before listing it. DIY versus commercial: Registered agent basics.
When is the Pennsylvania LLC annual report due, and what does it cost?
File Annual Report DSCB:15-146 between January 1 and September 30, starting the calendar year after formation (15 Pa.C.S. § 146; DOS Annual Reports page). DOS Fees and Payments lists for-profit annual reports at $7 (nonprofit / not-for-profit-purpose at $0). Beginning with reports due in 2027, missing a report can lead to administrative dissolution six months after the due date.
Do I get an EIN before or after the Pennsylvania LLC?
After the Certificate of Organization is accepted. The IRS tells applicants to form the state entity first; the EIN application on IRS.gov is free. The PA hub may list EIN earlier in its checklist; this page follows the IRS order. Walkthrough: Get an EIN after the state entity exists.

Fees and dates re-checked on the DOS Fees and Payments, Annual Reports, LLC, Form DSCB:15-8821 PDF, and PA Business Hub pages on 13 October 2026. Bureau fees are nonrefundable for accepted and rejected filings. If the portal shows a processor fee at checkout, pay what the state shows and keep the receipt.
File in Pennsylvania if the work is in Pennsylvania
Form a domestic Pennsylvania LLC if you live in Pennsylvania and do the work from Pennsylvania. Filing in Wyoming or Delaware does not move Pennsylvania work out of the state. That company would still register here as a foreign LLC, keep a Pennsylvania registered office, and file Pennsylvania annual reports on top of its home-state ones.
A domestic Pennsylvania LLC is organized by filing a Certificate of Organization (form DSCB:15-8821) with a docketing statement (DSCB:15-134A) with the Bureau of Corporations and Charitable Organizations in the Pennsylvania Department of State. Pennsylvania does not call this instrument “Articles of Organization.” A company already formed somewhere else that wants to transact business in Pennsylvania files a foreign registration — a different instrument, with its own fee on the DOS fee schedule. Home-state filing is the cheaper default for a one-state operator. Multi-state registration overview: Foreign LLC and certificate of authority.
Do not try to hide from the Department of State. An LLC is a public filing. The registered office — a Pennsylvania street address, rural route, or a listed Commercial Registered Office Provider (CROP) — goes on the record so the state and private parties can reach the company. A P.O. box alone is not enough. Privacy products that promise invisibility are selling something the statute does not offer.
What to have on the desk before opening Business Filing Services
Have a distinguishable LLC name, the Certificate of Organization (DSCB:15-8821) with its docketing statement (DSCB:15-134A), a Pennsylvania registered office at a street address or rural route (or a contracted CROP), the organizer and member or manager details the form asks for, and a way to pay the $125 fee.
The DOS LLC page, Form DSCB:15-8821, and the PA Business Hub domestic-LLC help guide (revised 6/23/2026) list what the filing needs. Checked 7 October 2026:
- A distinguishable LLC name. Search Business Filing Services’ business-search database (and, for trademarks, the federal trademark database) before ordering letterhead. The hub guide notes that a different designator alone does not make a name distinguishable.
- Certificate of Organization DSCB:15-8821 and docketing statement DSCB:15-134A. Both accompany the domestic formation filing.
- Registered office in Pennsylvania: a street address or rural route, or the name of a Commercial Registered Office Provider (CROP) under 15 Pa.C.S. § 109 instead of a street address. You must have a contract with the CROP before listing it. DOS maintains the CROP list on pa.gov. Pennsylvania talks about a registered office / CROP more than the “registered agent” phrase other states use — see Registered agent basics for a new LLC.
- Organizer and member/manager information as the current form and portal require. Payment follows whatever Business Filing Services shows at checkout for the online path.
Restricted professional companies and benefit companies have extra filings (RPC annual registration by April 15; benefit annual benefit report at $70 on the DOS fee schedule). Those specialized paths are out of scope for a default 1099 single-member LLC on this page.
Five steps to form on Business Filing Services
- Confirm you live and work in Pennsylvania. The domestic path fits a person who lives in Pennsylvania and does the work from Pennsylvania. A company already formed elsewhere files a foreign registration — see Foreign LLC and certificate of authority.
- Gather Certificate of Organization, docketing statement, and PA registered office or CROP. Distinguishable LLC name, DSCB:15-8821 with DSCB:15-134A, Pennsylvania street/rural-route registered office or contracted CROP, and organizer details.
- File on Business Filing Services. Use file.dos.pa.gov, or mail DSCB:15-8821 with DSCB:15-134A.
- Pay $125. That is the Certificate of Organization fee on the DOS Fees and Payments table and Form DSCB:15-8821. Expedite is optional. Pay what the portal shows and keep the receipt.
- Get an EIN after the certificate is accepted. Form the state entity first, then apply free on IRS.gov — Get an EIN after the state entity exists.
The PA Business Hub domestic-LLC help guide (revised 6/23/2026) walks through the online path and puts the Certificate of Organization fee at $125, matching the DOS Fees and Payments table and the nonrefundable $125 stated on Form DSCB:15-8821 (re-fetched 13 October 2026).

After the Certificate of Organization is filed
Once the Certificate of Organization is accepted, get a free EIN from the IRS, open a separate business bank account, and put a written operating agreement in place. State formation does not register you for Pennsylvania taxes, sales tax, or local licenses. Those are separate filings, often through myPATH or your city or county.
Formation with the Department of State is not a Department of Revenue tax account, a sales-tax license, a city license, or a professional license. The PA Business Hub guide walks through myPATH tax accounts when they apply — that is separate from the Certificate of Organization.
The IRS tells applicants to form the state entity first, then obtain an Employer Identification Number. That application on IRS.gov is free. The PA hub lists EIN earlier in its checklist; this page follows the IRS order.
Next: the money path. After the Certificate of Organization is accepted:
- Get an EIN — free on IRS.gov after the state entity exists
- Open business checking — park operating cash in the LLC’s name
- First brokerage — only if the work needs one
Full first-30-days desk list: After you form an LLC. Setup overview on the setup checklist. Formation shops, if you want one instead of DIY, stay in the callout above.
Pennsylvania does not require an operating agreement to be filed with the Certificate of Organization. A written agreement still matters between members. Banks often ask for one anyway. See LLC operating agreement basics.
Annual report: 1 January–30 September
Pennsylvania LLCs file Annual Report DSCB:15-146 between January 1 and September 30 each year, starting the calendar year after formation. The for-profit fee is $7. Beginning with reports due in 2027, an LLC that misses its report can be administratively dissolved six months after the due date.
The window comes from 15 Pa.C.S. § 146 and the DOS Annual Reports page, and it applies to domestic and foreign LLCs alike. DOS Fees and Payments lists nonprofit / not-for-profit-purpose entities at $0. Confirm the current-year portal and any processor fee on pa.gov or Business Filing Services before September 30. Cross-state renewals: LLC annual report and annual registration. This page does not compute anyone’s tax.
Changing the registered office later is a separate bureau filing. DOS Fees and Payments lists Change of Registered Office at $5 (and the same amount when filed by the agent). Do not wait for the annual-report window if the office already moved.
How do I keep track of Pennsylvania LLC deadlines after filing?
Pennsylvania LLCs file a $7 annual report between 1 January and 30 September each year, starting the year after formation. The Department of State warns that outside mailers charging $100–$200 for this same filing are not the state. Put each date in a calendar the day the state accepts your filing. The free LLC deadline tracker lists recurring state dates for every state in one place, so you can check yours without signing up for anything.
What do the Pennsylvania filing terms mean?
- Certificate of Organization: Pennsylvania’s name for the form that creates the LLC (DSCB:15-8821, $125).
- Registered office: the Pennsylvania street address where official papers can be delivered.
- CROP: Commercial Registered Office Provider — a company listed with the state that lends you that address.
- Business Filing Services: the Department of State’s online filing website.
- Annual report: a short yearly update ($7) so the state knows the LLC still exists.
- EIN: Employer Identification Number — the free federal tax ID from the IRS.
Pennsylvania LLC FAQ
- How much does it cost to form an LLC in Pennsylvania?
- The DOS Fees and Payments table and Form DSCB:15-8821 list a $125 Certificate of Organization fee (nonrefundable on the form PDF). Optional expedites on the same fee table are same-day $100, 3-hour $300, and 1-hour $1,000 — not required for a standard DIY filing. Pay what Business Filing Services shows and keep the receipt.
- Can I use a P.O. box as my Pennsylvania registered office?
- No. A P.O. box alone is not enough. The registered office must be a Pennsylvania street address or rural route, or the name of a Commercial Registered Office Provider (CROP) under 15 Pa.C.S. § 109 with a contract in place before listing it. DIY versus commercial tradeoffs: Registered agent basics for a new LLC.
- Does a Pennsylvania LLC need newspaper publication?
- No. The DOS LLC page states that no newspaper or other advertising is required when forming a domestic Pennsylvania LLC. Skip any “Pennsylvania LLC publication” add-on that is not on the Certificate of Organization path. New York LLCs do publish under a different statute — see How to form an LLC in New York.
- When is the Pennsylvania LLC annual report due?
- Domestic and foreign for-profit LLCs file Annual Report DSCB:15-146 in the window January 1 through September 30. The first report is due in the calendar year after formation under 15 Pa.C.S. § 146. DOS Fees and Payments puts the for-profit fee at $7. Confirm the portal before September 30. Cross-state renewals: LLC annual report and annual registration.
- Should I form in Wyoming or Delaware if I live and work in Pennsylvania?
- For a one-state operator who lives and works in Pennsylvania, home-state (domestic Pennsylvania) filing is the honest default. A Wyoming or Delaware LLC that transacts business in Pennsylvania still needs a Pennsylvania registered office and Pennsylvania annual reports — plus the formation state’s agent and report. Multi-state overview: Foreign LLC and certificate of authority.
- Do I get an EIN before or after filing the Pennsylvania LLC?
