How much does it cost to form an LLC in Wisconsin?
$130 online / $170 paper. The DFI Corporation Fees table (re-checked 13 October 2026) lists domestic LLC Articles of Organization at $130 via online filing and $170 otherwise. Optional next-day expedite is $100 extra and is not required for a normal online filing. Budget $25 a year online for the annual report after the first organization year.
How do I file Articles of Organization on WISCorp / DFI online filing?
Go to dfi.wi.gov File Online and open Corporation Formation / Form 502. Create or sign into an account, file Articles of Organization for a new Wisconsin LLC, enter the name and Wisconsin registered agent (street address for the registered office), then pay. The accepted filing is your formation proof — keep the receipt.
- Confirm you live and work in Wisconsin. Use this path only if you live in Wisconsin and will do the work from Wisconsin. A Georgia operator should not treat Wisconsin filing as a default upgrade.
- Gather Articles of Organization information. Have a distinguishable LLC name containing LLC or Limited Liability Company, Articles of Organization details, a Wisconsin registered agent, and a Wisconsin registered-office street address.
- File on WISCorp / DFI online filing. File Articles of Organization through the Wisconsin Department of Financial Institutions Corporation Formation path at apps.dfi.wi.gov / dfi.wi.gov.
- Pay the $130 online Articles filing fee. Pay the $130 online Articles of Organization fee on the DFI Corporation Fees table for domestic limited liability companies ($170 paper). Pay what the portal shows and keep the receipt.
- Get an EIN after the articles are accepted. After the state Articles of Organization are accepted, obtain an Employer Identification Number free on IRS.gov. Form the state entity first.
Does a Wisconsin LLC need a registered agent?
Yes. Articles of Organization will not finish without a Wisconsin registered agent who has a street address for the registered office — not a P.O. box alone (Form 502). The agent and office go on the public record. Changing them later uses Statement of Change at $10 online / $25 paper on the fee table. DIY versus commercial: Registered agent basics.
When is the Wisconsin LLC annual report due, and what does it cost?
Every Wisconsin LLC files Form 5 starting the year after organization, in the calendar quarter that holds the anniversary (Jan–Mar → Mar 31; Apr–Jun → Jun 30; Jul–Sep → Sep 30; Oct–Dec → Dec 31) per Form 5-I and Wis. Stat. § 183.0212. The state fee is $25 online or $40 paper (re-checked 13 October 2026).
Do I get an EIN before or after the Wisconsin LLC?
Usually right after. The IRS says to form the state entity first, and the EIN is free on IRS.gov. Get it the same day the Articles are accepted if you need a bank account. Walkthrough: Get an EIN.
Does a Wisconsin LLC need newspaper publication?
No. The DFI Articles of Organization path and Corporation Fees table do not list a newspaper publication step for a standard domestic Wisconsin LLC. Skip any publication add-on that is not on the formation path.

File in Wisconsin if the work is in Wisconsin
A domestic Wisconsin LLC is organized by filing Articles of Organization with the Wisconsin Department of Financial Institutions, Division of Corporate & Consumer Services (Chapter 183). Online filing runs through DFI’s Corporation Formation / WISCorp path. A company already formed somewhere else that wants to transact business in Wisconsin files a foreign registration statement (Form 521) — a different instrument (DFI Corporation Fees: foreign LLC registration $100).
Filing in Wyoming, Delaware, or Georgia does not move Wisconsin work out of Wisconsin. A foreign entity that transacts business here still needs a Wisconsin registered agent and Wisconsin foreign registration, plus the formation state’s agent and report. Home-state filing is the cheaper default for a one-state operator. Multi-state registration overview: Foreign LLC and certificate of authority.
Do not try to hide from the Wisconsin Department of Financial Institutions. An LLC is a public filing. The registered agent’s name and address go on the record so the state and private parties can reach the company. Privacy products that promise invisibility are selling something the statute does not offer.
What to have on the desk before opening WISCorp / DFI online filing
Checked against the DFI Corporation Fees table and Form 502 / 5-I on 13 October 2026:
- A distinguishable LLC name ending in LLC, L.L.C., or Limited Liability Company. Search the DFI corporate records before ordering letterhead.
- Articles of Organization details, including the registered agent and Wisconsin street address for the registered office (not a P.O. box alone), plus a principal office address.
- Registered agent who can accept service of process in Wisconsin. See Registered agent basics for a new LLC.
- Organizer information as the current online form requires. Payment follows whatever DFI checkout shows.
No newspaper or other advertising is required on the standard domestic Articles of Organization path. Professional entities and conversions are out of scope for a default 1099 single-member LLC on this page.
File through WISCorp / DFI online filing
The primary path on this page is DFI online filing at dfi.wi.gov (Corporation Formation / WISCorp). File Articles of Organization for a new Wisconsin LLC and pay. The Corporation Fees table lists $130.00 for online organization and $170.00 otherwise. Optional next-day expedite is $100 extra.
Optional assumed-name or other line items belong on the current DFI fee table and checkout screen — this page does not invent add-ons. Pay what the portal shows and keep the receipt.
After the Articles of Organization are filed
Formation with DFI is not a Wisconsin Department of Revenue tax account, a seller’s permit, a city license, or a professional license. Those have their own filings.
The IRS tells applicants to form the state entity first, then obtain an Employer Identification Number. That application on IRS.gov is free.
Next: the money path. After the Articles of Organization is accepted:
- Get an EIN — free on IRS.gov after the state entity exists
- Open business checking — park operating cash in the LLC’s name
- First brokerage — only if the work needs one
Full first-30-days desk list: After you form an LLC. Setup overview on the setup checklist. Formation shops, if you want one instead of DIY, stay in the callout above.
Wisconsin does not require an operating agreement to be filed with the Articles of Organization. A written agreement still matters between members. Banks often ask for one anyway. See LLC operating agreement basics.
Annual report — $25 online, due in the anniversary quarter
Wisconsin requires an annual report (Form 5) for domestic LLCs. Per Form 5-I: start the year after organization; file in the calendar quarter that holds the organization anniversary (Jan–Mar → due Mar 31; Apr–Jun → Jun 30; Jul–Sep → Sep 30; Oct–Dec → Dec 31). DFI Corporation Fees: $25 online or $40 on paper (re-checked 13 October 2026).
Put the first quarter window on a calendar the day articles are accepted. File from the “File Annual Report” path on dfi.wi.gov. Cross-state renewals: LLC annual report and annual registration. This page does not compute anyone’s tax.
Missing reports lead to administrative dissolution. Overview of admin-dissolve vs reinstate: Reinstate an administratively dissolved or revoked LLC.
