How to form an LLC in Oklahoma (2026)
File an Oklahoma LLC with the Secretary of State for $100. Keep an OK registered agent; Annual Certificate $25 on each anniversary.
File a domestic Oklahoma LLC with the Oklahoma Secretary of State when you live in Oklahoma and will do the work from Oklahoma. Articles of Organization cost $100 (18 O.S. § 2055), plus a 4% charge if you pay by card. Five steps: confirm Oklahoma facts, gather the Articles with an Oklahoma registered agent, file online, pay $100, then get a free EIN. Compare structures on LLC vs sole proprietorship.
How much does it cost to form an LLC in Oklahoma?
The Oklahoma Secretary of State Fees page and Articles of Organization form FM0074 list domestic LLC Articles at $100.00, re-checked 14 October 2026. Card payments add a 4% service charge (18 O.S. § 1142), and same-day in-person filing adds $25. The yearly Annual Certificate is another $25.
How do I file Oklahoma Articles of Organization online?
Use the Oklahoma SOS business filings page to file Articles of Organization for a domestic LLC online, or mail form FM0074. Enter a distinguishable name, an Oklahoma registered agent and office, and a current email address, then pay $100. The SOS sends Annual Certificate notices only by email.
Does an Oklahoma LLC need a registered agent?
Yes. Oklahoma Articles of Organization must name a registered agent with a registered office address in Oklahoma who can accept service of process. The agent goes on the public record. Appointing a new registered agent later is $25 on the SOS Fees page. DIY versus commercial tradeoffs: Registered agent basics.
When is the Oklahoma LLC Annual Certificate due, and what does it cost?
Every year on the LLC’s anniversary date, per 18 O.S. § 2055.2 and form FM0074. The certificate confirms the LLC is active and updates its principal address and email. The fee is $25.00 (re-checked 14 October 2026). The SOS sends the notice only to the LLC’s email of record, so keep it current.
Do I get an EIN before or after the Oklahoma LLC?
After. The IRS tells applicants to form the state entity first, and the EIN application on IRS.gov is free. Apply the same day the Secretary of State accepts your Articles of Organization if you need a business bank account right away. Walkthrough: Get an EIN; then open a first business checking account.
Does an Oklahoma LLC need newspaper publication?
No. The Oklahoma Secretary of State Articles of Organization form FM0074 and Fees page include no newspaper publication step for a standard domestic Oklahoma LLC. Skip any “Oklahoma LLC publication” add-on a vendor tries to sell you. New York is different and does require publication; see How to form an LLC in New York.

File in Oklahoma if the work is in Oklahoma
A domestic Oklahoma LLC is organized by filing Articles of Organization with the Oklahoma Secretary of State (18 O.S. § 2005 / § 2055). Online filing runs through sos.ok.gov; mail and in-person filing are also accepted. A company already formed somewhere else that wants to transact business in Oklahoma files a Certificate of Registration — a different instrument (SOS Fees: $300.00).
Filing in Wyoming, Delaware, or Georgia does not move Oklahoma work out of Oklahoma. A foreign entity that transacts business here still needs an Oklahoma registered agent and Oklahoma foreign registration, plus the formation state’s agent and report. Home-state filing is the cheaper default for a one-state operator. Multi-state registration overview: Foreign LLC and certificate of authority.
Do not try to hide from the Oklahoma Secretary of State. An LLC is a public filing. The registered agent’s name and address go on the record so the state and private parties can reach the company. Privacy products that promise invisibility are selling something the statute does not offer.
What to have on the desk before opening SOS Business Filings
Fees re-checked against the SOS Fees table and FM0074 on 14 October 2026:
- A distinguishable LLC name containing limited liability company, limited company, LLC, LC, L.L.C., or L.C. Search SOS entity records before ordering letterhead.
- Articles of Organization details, including registered agent and Oklahoma registered office, principal place of business, and a primary-contact email (Annual Certificate notices are email-only per FM0074).
- Registered agent who can accept service of process in Oklahoma. See Registered agent basics for a new LLC.
- Organizer / payment method. Card payments add 4%; same-day in-person adds $25 per FM0074.
No newspaper or other advertising is required on the standard domestic Articles of Organization path. Professional LLC and registered series paths are out of scope for a default 1099 single-member LLC on this page. Optional name reservation is $10 on the Fees table — not required to form.
File through Oklahoma SOS Business Filings
The primary path on this page is Oklahoma SOS at sos.ok.gov (online Articles of Organization). File and pay. The Fees table and FM0074 list $100.00 for Articles of Organization — Oklahoma LLC (18 O.S. § 2055).
Optional trade name, certified copies, or other line items belong on the current fee table and checkout screen — this page does not invent add-ons. Pay what the portal shows and keep the receipt.
After the Articles of Organization are filed
Formation with the SOS is not an Oklahoma Tax Commission account, a sales-tax permit, a city license, or a professional license. Those have their own filings.
The IRS tells applicants to form the state entity first, then obtain an Employer Identification Number. That application on IRS.gov is free.
Next: the money path. After the Articles of Organization is accepted:
- Get an EIN — free on IRS.gov after the state entity exists
- Open business checking — park operating cash in the LLC’s name
- First brokerage — only if the work needs one
Full first-30-days desk list: After you form an LLC. Setup overview on the setup checklist. Formation shops, if you want one instead of DIY, stay in the callout above.
Oklahoma does not require an operating agreement to be filed with the Articles of Organization. A written agreement still matters between members. Banks often ask for one anyway. See LLC operating agreement basics.
Annual Certificate — $25 on the formation anniversary
Oklahoma requires an Annual Certificate for domestic LLCs: confirm the company is active and report principal place of business (and email), due each year on the anniversary of filing Articles of Organization, fee $25.00 (18 O.S. § 2055.2). File online from the SOS Business Forms page.
Notices go only to the email of record (FM0074). Update that email if it changes. Failure to file and pay within 60 days after the due date causes the LLC to cease being in good standing. Cross-state renewals: LLC annual report and annual registration.
Oklahoma’s franchise tax was eliminated after tax year 2023 (OTC / HB 1039X). Do not mix that repealed tax with the SOS Annual Certificate. This page does not invent franchise amounts or compute tax. Overview of admin status vs reinstate: Reinstate an administratively dissolved or revoked LLC (SOS Forms list reinstatement with no separate fee line — confirm catch-up certificates on the portal).
What this page does not cover
- Professional LLC, registered series, conversions, or foreign registration of an out-of-state company beyond the fee citation above.
- Sales-tax, employer withholding, unemployment, Workers’ Compensation, or local business licenses.
- Any residual OTC franchise-tax notice for pre-2024 years — confirm on oklahoma.gov/tax; this page invents no franchise dollar amounts.
- Whether an S corporation election is worth the payroll. That is a CPA conversation after there is real net income.
- Any promise that an LLC prevents a personal guarantee on a bank account or a business card. It usually does not.
- Telling a Georgia operator to file Oklahoma as a sophistication upgrade.
- Voluntary dissolution — Articles of Dissolution are $50 on the SOS Fees table; confirm before filing; see Dissolve or cancel an LLC.
- The optional SOS “Annual Agent Fee” ($40 on the Fees table) when the Secretary of State serves as agent — not the same as the $25 Annual Certificate for a privately appointed agent.
- Processor fees or portal line items that are not printed on the sources above.
