Step 1 · Restore good standing
How to reinstate an administratively dissolved LLC (2026)
Reinstate / revive an administratively dissolved, revoked, suspended, or forfeited LLC: when reinstatement applies, published SOS fees for GA/FL/CA/TX/NY/IL, catch-up reports and penalties, name availability, DIY vs shop. Distinct from voluntary dissolve and from bring-into-good-standing while still active.
Missing an annual report, annual registration, Statement of Information, or franchise-tax filing can put an LLC on the inactive side of the public record — administratively dissolved, revoked, suspended, forfeited, or (in New York) merely past due. That is not the same as a voluntary close, and it is not the same as an active company that is only delinquent. If you still want the company, most of the six states on this site let you reinstate or revive after catching up missed filings and paying published fees and penalties. If you do not want the company, file a clean dissolve or cancel instead of paying years of catch-up. Formation Lane does not file reinstatements for readers.
Neighbor desks: Dissolve or cancel an LLC · Bring an LLC into good standing · Certificate of good standing · LLC annual report · Registered agent · Foreign LLC / certificate of authority · Withdraw a foreign qualification · LLC DBA / assumed name. Domestic formation walkthroughs live on the 50-state index (for example Georgia, Florida, California, Texas, New York, Illinois).
Quick answer: administrative dissolution / revocation / suspension / forfeiture means the state marked the LLC inactive for missed reports, taxes, or agent problems — not a voluntary close. If you still want the company, catch up delinquent reports and file the state’s reinstate/revive path (fees in the on-page table). If you don’t, dissolve cleanly instead of paying years of catch-up. New York DOS does not admin-dissolve LLCs for a missed Biennial Statement — file the overdue $9 statement. Confirm status on the official search before choosing.
Before you file reinstatement
Have these ready so the portal does not bounce the filing and banks do not keep seeing inactive status.
- Exact status line confirmed on the official business search (admin dissolve / revoke / suspend / forfeit — or NY past due)
- Legal name and control / document / file number saved
- List of every missed annual report / registration / Statement of Information / PIR / Biennial Statement
- Tax-agency letters in hand when FTB or the Texas Comptroller also suspended or forfeited you
- Registered-agent street address current (or a change filing ready)
- Name-availability check if inactive long enough for someone else to take the name
- Published reinstate / revivor fee confirmed on the official desk — not a blog paraphrase
What does administratively dissolved mean for an LLC?
It means the state marked the LLC inactive for missed compliance — reports, taxes, or registered-agent duties — not that the members chose to close it. States also say revoked, suspended, or forfeited. Until you reinstate or voluntarily dissolve, banks and license desks treat the company as not in good standing. Confirm the exact status line on the official business search first.
Six desk steps to reinstate an administratively dissolved or revoked LLC:
- Confirm admin dissolve vs voluntary close. Read the exact status line on the official business search. Administrative dissolution, revocation, suspension, or forfeiture is the state’s inactive mark for missed reports, taxes, or agent duties — not a voluntary close by the members. If you still want this company, continue the reinstate path. If you do not, file a clean voluntary dissolve or cancel instead of paying years of catch-up. New York DOS does not administratively dissolve LLCs for a missed Biennial Statement — the record shows past due and you file the overdue statement.
- Pull status, control number, and agency letters. Screenshot or save the official status page with the legal name and control / document / file number. Collect any registered-agent resignation, delinquency, suspension, forfeiture, or tax-agency letters (California FTB, Texas Comptroller, and similar desks). You will need those identifiers and notices when the portal or tax desk asks what is owed.
- Catch up annual reports, taxes, registered agent, and name. List every missed annual registration, annual report, Statement of Information, Public Information Report, or Biennial Statement the portal still wants. Budget reinstatement or revivor fees plus each delinquent year and late penalties using the on-page table and the official portal — do not invent fees. Bring tax-agency balances current when that desk also suspended or forfeited you. Fix the registered-agent street address if it is wrong — some states update inside reinstatement; others need a separate change filing. Check name availability if you have been inactive long enough for someone else to take the name.
- File reinstate or revive on the official portal. File the state’s reinstate, revive, or overdue-biennial instrument on the home-state portal (and the tax-agency portal when needed): Georgia eCorp, Florida Sunbiz, California bizfile plus MyFTB / FTB 3557 LLC when tax-suspended, Texas Comptroller clearance then SOSPortal Form 801 or 811, New York DOS e-Statement for the Biennial Statement, Illinois ilsos.gov LLC reinstatement. Pay what the portal calculates; download the acceptance PDF. A formation-shop invoice is not a Secretary of State acceptance.
- Confirm good standing on the public record. Re-search the entity on the official business search and confirm status flipped to active / good standing (or, in New York, that the Biennial Statement is no longer past due) before you tell a bank or license desk the problem is fixed. Keep the stamped reinstatement, revivor, or acceptance with the articles, EIN letter, and operating agreement.
- Update bank, EIN paperwork, contracts, and the renewal calendar. Update banks, processors, insurers, marketplaces, and counterparties that flagged inactive status. Confirm EIN letter branding still matches the restored legal name. Put the next annual report or registration window on a calendar the same day, and keep the registered agent current so the company does not fall inactive again.
- Administrative / involuntary path. The state acted because of missed reports, taxes, agent problems, or similar. Reinstatement or revivor is a catch-up filing that often relates back so the gap looks continuous on the record.
- Voluntary close. Members or managers chose to end the company and filed articles of dissolution, a certificate of termination, cancellation, or statement of termination. That is the dissolve guide — not this page.
- Why banks care. While status is dissolved, suspended, forfeited, or past due, counterparties and license desks treat the company as not in good standing. Relation-back after reinstatement helps the legal timeline; it does not undo a declined loan application while you were inactive.
Do not confuse “I stopped working” with either path. Ghosting the portal keeps fees accruing in states that bill until cancellation (California’s FTB $800 is the expensive example). Paying reinstatement for a dead brand can cost more than forming a new LLC — but a new filing gets a new formation date and usually a new EIN conversation with banks. Read the status line on the official search before you choose.
Recommended next step. Reinstatement plus overdue reports can be handed off:
- Harbor Compliance — reinstatement and catch-up filings, then ongoing compliance tracking so it does not lapse again
DIY or a formation shop. The walkthrough on this page is for the official home-state portal (eCorp, Sunbiz, bizfile, SOSPortal, New York DOS, or ilsos.gov) — plus the tax agency portal when FTB or the Texas Comptroller also suspended or forfeited the company — for reinstatement, revivor, or overdue biennial catch-up. If you would rather pay a shop to handle the filing paperwork, compare these:

Should I reinstate my LLC or form a new one?
Reinstate when you still want this company: many states relate reinstatement back, so the formation date and public timeline stay continuous. A new LLC gets a new formation date and usually a new EIN conversation with banks. If the business is done, skip reinstatement and file a clean voluntary close instead of paying years of catch-up.
| Path | What it does | What it does not do |
|---|---|---|
| Reinstate / revive | Restores an LLC the state already marked inactive (admin dissolve, revoke, suspend, forfeit) | Does not dissolve the company and is not the cure while status is still active |
| Bring into good standing | Catches up reports / fees while the LLC is still active but delinquent or past due | Does not revive an administratively dissolved or revoked entity |
| Voluntary dissolve / cancel | Ends the domestic LLC on the public record when wind-up is done correctly | Does not restore an admin-dissolved company you still want to keep |
Voluntary close: Dissolve or cancel an LLC. Active-but-delinquent cure: Bring an LLC into good standing. Status letter after you clear: Certificate of good standing.
How much does it cost to reinstate an LLC?
It depends on the state and how many years you missed. Published pieces here: Georgia $250 + $10 service plus delinquent registrations; Florida $100 + $138.75 per report year; Illinois $200 plus catch-up reports; Texas $75 after Comptroller clearance. California is usually FTB-heavy: $20 Statement of Information, a possible $250 SOS penalty, and the $800 annual tax.
Fees below are published Secretary of State (or equivalent) amounts for restoring an LLC after administrative / involuntary status — plus the catch-up report pieces the same offices publish. Portals can add processor charges. Tax-agency balances (especially California FTB and Texas Comptroller) sit on a different desk and are not fully priced here. If checkout differs from the fee table or statute, pay the portal and keep the receipt.
| State | Instrument / path | Published SOS (or DOS) piece | Watch this too |
|---|---|---|---|
| Georgia | Application for reinstatement (eCorp / paper); O.C.G.A. § 14-11-603 | $250 reinstatement fee (statute) + $10 service charge on the Corporations Division fee schedule = $260 | Five-year window from administrative dissolution; also pay delinquent annual registrations ($50 each) and $25 late penalties per O.C.G.A. § 14-11-1101; name reserved five years; reinstatement relates back |
| Florida | Reinstatement application (Sunbiz e-file) | $100 reinstatement + $138.75 for each annual-report year due | Reinstatement is filed in lieu of past-due annual reports; name check if dissolved/revoked more than one calendar year; agent/address updates allowed inside the application; optional certificate of status $5 |
| California | SOS: file current Statement of Information on bizfile to clear SOS suspension; FTB: Application for Certificate of Revivor (FTB 3557 LLC) when tax-suspended | Statement of Information $20; SOS may impose a $250 penalty FTB collects — there is no separate SOS “revival certificate” fee like Georgia’s $250 line | FTB $800 annual LLC tax and any income-based LLC fee, penalties, and interest until account is current; dual SOS+FTB suspension needs both desks cleared; SOS denies revivor if the name is no longer available |
| Texas | Tax forfeiture: Form 801 + Comptroller tax clearance letter; other involuntary/voluntary paths: Form 811 | Form 801 $75; Form 811 involuntary/revocation $75 (voluntary termination reinstatement $15) | Bring franchise tax / PIR current with the Comptroller first; tax clearance letter (Form 05-377) must be valid through the SOS filing date; agent updates need Form 401 for Form 801; online card payments add $0.25 + 2.25%; file via SOSPortal |
| New York | No LLC administrative-dissolution reinstatement at DOS for a missed Biennial Statement — file the overdue statement | Biennial Statement $9 | DOS records show past due until filed; a domestic LLC remains active until it dissolves. Tax Law reinstatement fees on the DOS fee schedule target corporations dissolved by proclamation, not LLCs. Voluntary Articles of Dissolution ($60) are not “undone” by a biennial filing — that is a new formation conversation |
| Illinois | Application for Reinstatement Following Administrative Dissolution or Revocation (Form LLC-35.40/45.65); electronic path on ilsos.gov | $200 on the SOS LLC forms list (plus processor fee online; expedited tier published on the same list) | Include all annual reports due (SOS says maximum of six years) and all fees/penalties; 805 ILCS 180/35-40 relation-back; optional agent change during the process |
Catch-up math is why calendars matter. Florida’s published LLC table alone is $100 + $138.75 per report year. Georgia’s statute stacks $250 + missed $50 registrations + $25 late penalties (plus the $10 service charge on the fee schedule). Illinois starts at a $200 application before the annual-report years. California’s expensive variable is usually FTB, not the $20 Statement of Information. Texas adds the Comptroller clearance step before the $75 SOS piece.
Do I have to catch up annual reports and check the name before reinstating?
Usually yes. List every missed annual registration, annual report, Statement of Information, PIR, or Biennial Statement the portal still wants, then budget reinstatement fees plus each delinquent year and late penalties. Fix the registered agent if the address is wrong. After a long dissolve, also check name availability — Florida requires a name check when inactive more than one calendar year.
- Confirm the exact status and control / document / file number on the official business search.
- List every missed annual registration, annual report, Statement of Information, Public Information Report, or Biennial Statement the portal still wants.
- Budget the reinstatement / revivor instrument fee plus each delinquent report year, late penalties, and any tax-agency balance (FTB, Comptroller, Tax Department).
- Fix the registered agent and principal-office addresses if they are wrong — some states let you update inside reinstatement (Florida Sunbiz); Texas Form 801 needs a separate Form 401 for agent updates.
- Check name availability if you have been inactive long enough for someone else to take the name (Florida’s Sunbiz page is explicit when the dissolution is older than one calendar year; Georgia reserves the name for five years; California SOS will deny revivor if the name is gone).
- Decide: reinstate this entity, or voluntarily close and form a new one. Formation Lane maps process; a lawyer or CPA maps your liability and tax facts.

Should I file DIY on the official portal or use a formation shop?
DIY on the home-state portal is the primary path — eCorp, Sunbiz, bizfile, SOSPortal, New York DOS, or ilsos.gov — plus FTB or the Texas Comptroller when that desk also suspended you. A formation shop is optional convenience for messy multi-year catch-up or dual SOS-and-tax suspension. It does not change the legal obligation, the state fee, or the renewal calendar.
The primary path is the official portal for the home state (and the tax agency when that desk also suspended you): Georgia eCorp → Reinstate an Entity; Florida Sunbiz File Reinstatement; California bizfile Statement of Information, then MyFTB / FTB 3557 LLC if the Franchise Tax Board suspended you; Texas Comptroller clearance first, then SOSPortal Form 801 or 811; New York DOS e-Statement for the Biennial Statement; Illinois ilsos.gov LLC reinstatement electronic filing. Pay what the portal calculates for reinstatement plus delinquent reports; download the acceptance PDF; confirm public status before you tell a bank the problem is fixed.
Formation shops will file a reinstatement package for a service fee on top of state and tax charges. That can be rational when multi-year catch-up, name conflicts, or dual SOS/tax suspension is messy. It does not replace your responsibility for what the form certifies, and a shop invoice is not a Secretary of State acceptance.
Keep it from lapsing again.
- Harbor Compliance — registered agent and annual-report tracking
- Swyft Filings — annual report filing with compliance reminders
Next: the money path. After the reinstatement (or revivor) filing is accepted:
- Get an EIN — free on IRS.gov after the state entity exists
- Open business checking — park operating cash in the LLC’s name
- First brokerage — only if the work needs one

Is there a deadline, and how long does reinstatement take?
| State | Reinstatement window | Processing |
|---|---|---|
| Florida | Any time after dissolution (F.S. 605.0715); $100 + $138.75 per report year | Online: posts immediately if dissolved under one calendar year; 2–3 business days if longer (name check) |
| Georgia | Within five years | Check eCorp |
| Illinois | Include all annual reports due (maximum of six years) | Email within 10 business days; 24 hours if expedited |
| Washington | Within five years of dissolution; $70 per missed annual-report year | Online through CCFS |
Past the window (where a state has one), the usual path is forming a new LLC, which means new articles and often a new EIN and bank account.
What is at risk while the LLC stays dissolved
- The name. Florida requires a name change before reinstating if another business has lawfully taken the name (F.S. 605.0715(6)).
- Banks, licenses, and contracts. A dissolved status on the public record can stall account changes, license renewals, and new deals.
- Liability questions. A dissolved LLC is generally limited to winding up. Contracts signed in the gap are why relation-back matters: in Florida, reinstatement takes effect as of the dissolution date and the LLC resumes as if it had not been dissolved (F.S. 605.0715(4)).
- Federal filings keep running. State dissolution does not close the IRS account, so annual returns are still due.
Tax caveats
Restoring SOS status does not automatically file missing federal or state income returns, clear sales-tax permits, or zero payroll accounts. California’s FTB can keep assessing the $800 annual LLC tax while the company is suspended; revivor generally means filing past-due returns and paying tax, penalties, and interest. Texas will not set aside a tax forfeiture at the SOS until the Comptroller says the franchise account is clear. New York’s DOS past-due fix is separate from any Tax Department LLC filing fee (IT-204-LL) that may still apply. Georgia’s reinstatement application includes a statement that taxes owed have been paid — that is a certification on the form, not Formation Lane preparing your returns.
Use a CPA or Enrolled Agent for the catch-up return years, built-in gains, and “final vs continuing” checkboxes. This page is a process map, not return preparation.
After reinstatement clears
Download the stamped reinstatement / revivor / acceptance. Update banks, processors, insurers, and marketplaces that flagged inactive status — see First business checking account. Keep the packet with the articles, the EIN letter, and the operating agreement. Put the next annual report window on a calendar the same day and keep the registered agent current. Desk list: After you form an LLC. Formation walkthroughs on the 50-state index and the setup checklist. Multi-state operators: Foreign LLC and certificate of authority. If the business is actually done, do not reinstate just to feel tidy — file the voluntary close on Dissolve or cancel an LLC and stop the renewal clock.
