Certificate of good standing after LLC (2026)
What a certificate of good standing (status / existence / Texas Certificate of Fact – Status) is, when banks and foreign qualification ask for one, and how to order from the formation-state SOS — not tax clearance, not foreign CoA, not an EIN. Setup map — confirm fees on the official portal.
A certificate of good standing (certificate of status, certificate of existence, or Texas Certificate of Fact – Status — names vary) is the formation state’s official proof that the LLC is active / authorized on the business registry as of the issue date. Banks, counterparties, and other states ask for it after the company exists. The short path: confirm the ask → make sure annual reports / registered agent / SOS fees are current → order on the official SOS portal → deliver inside the dating window.

Short version for 2026: SOS good standing ≠ tax clearance ≠ foreign CoA ≠ EIN. Order the instrument the counterparty named from the official SOS (or equivalent). Formation Lane does not invent fees, turnaround times, or a 50-state fee table — confirm on the agency site at order time.
Before you pay for the certificate
Have these ready so the portal does not refuse the order.
- Exact instrument the asker named (good standing / status / existence / Certificate of Fact – Status)
- Dating window in the asker’s checklist (many want a recent issue date)
- Formation-state entity number / control number / document number
- Official business search showing active / authorized status
- Annual report / registration / Statement of Information current
- Registered agent on file and reachable
- Plan to save the PDF with articles, EIN letter, and operating agreement
What is a certificate of good standing?
A certificate of good standing (also called status, existence, or Texas Certificate of Fact – Status) is the formation-state SOS document saying the LLC is active / authorized on that registry as of the issue date. Banks, landlords, lenders, and other states often ask for a fresh copy. It is not stamped articles, an EIN letter, or tax clearance.
Four desk steps to get a certificate of good standing after you form an LLC:
- Confirm what the asker wants. Read the bank, landlord, lender, board, or foreign-state checklist. Match the exact instrument name (good standing, status, existence, Certificate of Fact – Status) and any “issued within X days” window. Do not assume stamped articles or an EIN letter will substitute.
- Confirm the LLC is current on the SOS record. Search the official business entity database. Status should show active / authorized (wording varies). Catch up overdue annual reports, registered-agent gaps, or unpaid SOS fees before you pay for a certificate the portal will refuse.
- Order on the official formation-state portal. Use the Secretary of State / Division of Corporations certificate path for the formation state (or the state where you are already foreign-qualified, if that is the desk that must certify). Keep the PDF and order confirmation with the formation packet.
- Deliver and calendar the next ask. Send the certificate inside the dating window. If you are also foreign-qualifying, attach it to that application per the foreign state’s instructions. Certificates go stale — reorder when the next counterparty asks for a fresh copy.
Desks for the steps: renewals — LLC annual report; agent gaps — change registered agent; delinquent cure — bring LLC into good standing; already dissolved — reinstate; foreign registration — foreign LLC certificate of authority; cash trail when the bank asks — business checking · business credit card.

When do I need a certificate of good standing?
Common asks: opening or updating business checking, commercial leases, loans, investor diligence, licensing boards, and applying for a certificate of authority in another state. You do not need one just because articles posted. Order when a counterparty or foreign portal asks — and check their dating window (many want 30–90 days, or another published window).
- Banking and KYC — some banks want current SOS status before opening or updating LLC checking or a business credit card.
- Leases, loans, and diligence — landlords, lenders, and investors often require a recent certificate.
- Foreign qualification — many states ask for a home-state good-standing / existence certificate inside a dating window when you file for certificate of authority.
- License and board intake — some professional or local desks ask for SOS status before they accept an application — separate from a business license itself.
If legal name, purpose, or another articles field must change first, that is amend LLC articles — then order the certificate after the amendment posts. If you are shutting the company down instead, use dissolve or cancel, not a good-standing order.
How do I order a certificate of good standing from the SOS?
Order on the official formation-state SOS / Division of Corporations portal (or that state’s written-request path). Search the entity, pick Certificate of Status / Existence / Good Standing / Fact – Status, pay the published fee, and save the PDF. Confirm fees on the agency site — no invented 50-state fee table. Keep the confirmation with the formation packet.
Order from the state that must certify the entity — usually the formation state, or the foreign-qualified state when that registry is the one the asker named. Examples of public starting pages (confirm current links and instructions at order time):
- Florida Sunbiz — Order Certificate of Status
- Georgia eCorp — Certificate of Existence
- Texas SOS — Copies and Certificates (Certificate of Fact – Status; see also SOSPortal ordering instructions)
- California bizfileOnline — Certificate of Status path (overview: Business Entities Records Request)
- New York DOS — Certificate of Status
For every other formation state, open the matching form-LLC guide and use that state’s official portal or records desk. This page does not invent a 50-state list of certificate URLs or fees.
Do not invent fees, turnaround times, or a 50-state requirements table from this page. Each SOS publishes its own certificate name, fee schedule, and delivery path — and they change. Confirm on the official portal (or written-request page) before you order. Formation Lane is a publisher only.
Is good standing the same as a certificate of status or existence?
Usually the same idea, different labels. Many states say certificate of status or existence; some still say good standing; Texas SOS issues a Certificate of Fact – Status. All speak to entity status on that registry as of the issue date. Match the asker’s wording to the instrument that state’s SOS publishes — do not invent a national form name.
| Document | Who issues it | What it usually proves |
|---|---|---|
| Certificate of good standing / status / existence | Formation-state SOS (or equivalent) | Entity is active / authorized on that registry as of the certificate date |
| Foreign certificate of authority | Other state’s SOS | Home-state LLC is registered to transact in that second state |
| Tax clearance / certificate of account status | Revenue department / comptroller (when that agency issues one) | Tax-account status with that tax desk — not SOS entity status |
| Stamped articles / certified copy of filings | SOS formation / records desk | What was filed and when — not a current good-standing statement |
Completing one desk does not finish the others. Texas publishes the split clearly: SOS Certificate of Fact – Status is not the Comptroller’s certificate of account status. California’s Certificate of Status is ordered through bizfileOnline; New York’s Certificate of Status is a Division of Corporations request path. Always match the asker’s wording to the agency that issues that instrument.
What if the LLC is not in good standing or the SOS will not issue the certificate?
Usually the entity is not current: overdue annual report / Statement of Information, missing registered agent, unpaid SOS fees, or suspended / revoked / dissolved status. Catch up renewals and the agent first — annual report, bring into good standing, or reinstate when already dissolved — then reorder. Confirm the catch-up path on the official SOS portal.
Keep the PDF and order confirmation with the stamped articles, EIN letter, and operating agreement. Deliver it to the asker inside their dating window. A New York Certificate of Publication is a different instrument — newspaper-notice compliance, not status — see LLC publication requirement. Continue the stack when it still applies: LLC checking, renewals on annual report, local licenses on business license after LLC, and the full first-month desk list on After you form an LLC. Closing the company later is a different instrument — dissolve or cancel an LLC.
Next: the money path. After the certificate of good standing / status / existence is accepted:
- Get an EIN — free on IRS.gov after the state entity exists
- Open business checking — park operating cash in the LLC’s name
- First brokerage — only if the work needs one

Catch up renewals and the agent first — annual report, bring into good standing, or reinstate when already dissolved — then reorder. Confirm the catch-up path on the official SOS portal.
- Is a certificate of good standing the same as foreign qualification?
- No. Good standing / status / existence is issued by the formation (or already-qualified) state’s SOS about that entity’s status on that registry. A foreign LLC certificate of authority is a separate filing in another state so the home-state LLC can transact there. Many foreign applications ask you to attach a recent home-state good-standing certificate — two desks, not one.
- Is SOS good standing the same as tax clearance?
- No. The SOS certificate speaks to entity status on the business registry (active, current filings, agent on file — whatever that state certifies). Tax clearance / certificate of account status / franchise-tax good standing comes from the revenue department or comptroller when that agency issues one. Texas is a clear example: SOS Certificate of Fact – Status is not the Comptroller’s certificate of account status. Confirm which document the counterparty named.
- Is a stamped copy of the articles the same thing?
- No. Certified copies of filed articles (or a plain download of the stamped filing) prove what was filed and when — see order a certified copy. A good-standing / status / existence certificate is a separate instrument that speaks to current status as of the certificate date. Counterparties who ask for “good standing” usually want the status certificate, not only the formation stamp. A New York Certificate of Publication proves newspaper notice — also not good standing — see LLC publication requirement. Name or purpose changes use amend LLC articles — that is also a different filing.
- Should I use a formation shop to order the certificate?
- You can order directly on most official SOS / Division of Corporations portals (or by the written request path some states still use). Formation shops often sell “certificate of good standing” as a convenience add-on. A shop invoice is not the SOS certificate. DIY on the agency site when you can; if you use a shop, keep the PDF and order confirmation yourself. Formation Lane is a publisher only and does not order certificates for anyone.

- Whether your LLC is eligible for a certificate today — search the live SOS record and catch up filings if needed.
- Tax clearance, franchise-tax account status, or Department of Revenue letters.
- Newspaper publication / Certificate of Publication (New York § 206 worked example) — that is not good standing: LLC publication requirement.
