LLC publication requirement (newspaper notice) (2026)
What is LLC publication? State-specific newspaper / public-notice after articles — not every state, not the EIN. NY: two county papers for six weeks + $50 Certificate of Publication within 120 days; AZ depends on statutory-agent county. Confirm on your SOS / statute — not a 50-state list.
Some states — notably New York for many LLC formations, and Arizona on a different ACC path — require a newspaper publication (or another public-notice path) after the Secretary of State / Commission accepts the articles. That step is state law, separate from the SOS articles filing and separate from getting a free IRS EIN. Missing it can leave the LLC imperfect under that state’s rules (in New York: suspended authority to transact until the Certificate of Publication is filed). Confirm whether your formation state requires publication on the SOS / statute — do not assume a national newspaper rule.

Short version for 2026: articles ≠ publication ≠ EIN ≠ good standing. If your statute or SOS guide requires newspaper notice, follow the county clerk / designated-paper path, collect affidavits, file any Certificate of Publication at the published fee inside the statutory window, then keep the packet with the stamped articles. New York’s DOS Certificate of Publication fee is $50; newspaper rates vary by county and are not invented here. Georgia and many other formation guides on this site have no newspaper step for an ordinary domestic LLC — check yours.
Before you spend on newspapers
Confirm the requirement first — many LLCs never need this desk.
- Home-state statute / SOS forming page (and matching form-LLC guide) — does publication apply?
- Office / statutory-agent county that drives designated papers (when the state uses that pattern)
- Exact legal name matching the stamped articles / SOS record
- Plan for newspaper rates (ask the papers) plus any SOS Certificate of Publication fee
- Calendar for the statutory window (New York: 120 days from formation / qualification)
- Separate plan for EIN, banking, and good-standing asks — different desks
What is the LLC publication requirement?
Newspaper publication is a state-law desk some statutes require after the SOS accepts articles — separate from creating the LLC and from the free IRS EIN. Where it applies, publish a formation notice in designated papers, collect affidavits, then file any Certificate of Publication at the published SOS / DOS fee. Confirm on your home-state SOS / statute.
Four desk steps in order:
- Confirm whether your state requires publication. Read the home-state LLC statute and SOS forming / FAQ pages (and the matching Formation Lane form-LLC guide). Do not assume every state needs newspaper notice. New York § 206 is a worked example on this page; Arizona’s ACC Form L010i describes a different publication-shaped path that depends on the statutory agent’s county — confirm your facts on the official site.
- Use designated newspapers or the state’s published notice path. Where newspapers are required, get the county clerk’s designated daily and weekly papers for the office county (New York pattern). Publish the articles copy or formation notice for the statutory run (New York: six successive weeks). Match the legal name to SOS records exactly. Do not invent newspaper prices — ask the papers. Arizona: do not publish before ACC approval; Maricopa/Pima agent street addresses are auto-published on the Commission site.
- Collect affidavits and file any Certificate of Publication. Each publisher supplies an affidavit of publication. Where the state requires it, file the Certificate of Publication with affidavits annexed and the published SOS / DOS fee within the statutory window (New York: $50 Certificate of Publication fee within 120 days). Keep the filing receipt.
- Separate publication from EIN, banking, and good standing. Continue the first-30-days stack: free IRS EIN after articles, LLC-name checking, operating agreement, registered agent, renewals. Order a certificate of good standing / status only when a counterparty asks — that is not the Certificate of Publication.

Does every state require LLC newspaper publication?
No. Publication after formation is state-specific — not federal and not part of the EIN. New York requires two county-clerk newspapers for six weeks plus a $50 Certificate of Publication within 120 days. Arizona depends on the statutory agent’s county (Maricopa/Pima auto-notice vs newspaper). Many states have none. Confirm on your SOS / statute.
This page does not invent a 50-state publication list. New York and Arizona are worked examples because their official desks still describe a publication-shaped requirement; Georgia’s ordinary domestic LLC path on this site has no newspaper step. Open the matching form-LLC guide and the live SOS / ACC instructions for your home state before you buy ads.
Full New York portal path: How to form an LLC in New York. Arizona ACC path (Maricopa/Pima auto-notice vs newspaper outside those counties): How to form an LLC in Arizona. Renaming later is a different desk — Change an LLC name.
When / how soon after formation must I publish?
Deadlines are state-specific. New York: publish and file the Certificate of Publication with affidavits within 120 days after formation (or qualification for foreign LLCs). Arizona: follow the ACC approval letter — newspaper path outside Maricopa/Pima runs after approval (do not publish before). Calendar the statutory window on the official instructions, not a blog.
| Desk | What it is | Not the same as |
|---|---|---|
| Articles / certificate of organization | SOS filing that creates the LLC on the public record | Newspaper notice or Certificate of Publication |
| Publication / Certificate of Publication | State-law notice step where the statute requires it (NY / AZ worked examples) | EIN letter or SOS good standing / status certificate |
| EIN | Free IRS employer identification number after the state entity exists | Any state newspaper or Certificate of Publication filing |
| Certificate of good standing / status | SOS proof the LLC is active as of the issue date | Proof that newspaper publication was completed |
Public SOS articles vs private operating agreement is another common mix-up — Operating agreement vs articles. Keep publication off the EIN and good-standing calendars even when all three land in the same first month.
Do not invent a 50-state publication list or county newspaper prices. Confirm on your SOS / statute (and county clerk when papers are designated). A shop quote is not the Department of State fee schedule. Georgia’s ordinary domestic LLC path on this site has no newspaper step — that does not mean New York is optional.
What happens if I skip LLC publication?
Consequences are state-specific. In New York, failure to publish and file within 120 days suspends authority to carry on, conduct, or transact business; filing the Certificate of Publication with affidavits later annuls that suspension per DOS. Other notice states use their own cure paths. Read the home-state statute and SOS instructions — not a generic blog deadline.
New York worked example (official DOS cites) — use only if you are forming (or already formed) a New York LLC, or a foreign LLC authorized in New York that still faces New York publication:
- Statute / DOS framing. Limited Liability Company Law § 206 requires most LLCs to publish a copy of the Articles of Organization or a notice related to formation. DOS forming and articles pages restate the rule; the FAQs add that publication runs once a week for six successive weeks in two newspapers in the office county — one printed daily, one printed weekly — designated by the county clerk.
- Affidavits → Certificate of Publication. Each publisher supplies an affidavit. File the Certificate of Publication with affidavits annexed with the Department of State, Division of Corporations, One Commerce Plaza, 99 Washington Avenue, Albany, NY 12231 — that is the state’s filing address, not Formation Lane. Official form path: dos.ny.gov/certificate-publication-domestic-limited-liability-company-0.
- Published DOS fee. Certificate of Publication filing fee is $50 on the DOS Certificate of Publication page and the LLC fee schedule. Optional expedites on the same page: $25 / $75 / $150 in addition to the filing fee. Newspaper rates are charged by the papers, not by DOS — this page does not invent them.
- 120-day window and suspension. Failure to publish and file within 120 days after formation (or qualification) suspends authority to carry on, conduct, or transact business. DOS states that filing the certificate with affidavits later annuls the suspension. Arts and Cultural Affairs Law § 23.03 exempts certain theatrical production companies when “limited liability company” appears in the name — confirm on DOS if that facts pattern applies.
- Still separate desks. Written operating agreement (LLC Law § 417), free IRS EIN, LLC checking, Biennial Statement ($9), and Tax Department Form IT-204-LL are not the publication filing. Status for counterparties is usually a Certificate of Status ($25 on DOS FAQs) — see certificate of good standing — not the Certificate of Publication.
How do county-designated newspapers and affidavits work?
Where newspapers are required, ask the county clerk which papers are designated for the LLC’s office county. New York: one printed daily, one printed weekly, six successive weeks. Match the legal name to SOS records exactly. Collect each publisher’s affidavit, then file any Certificate of Publication with the published fee. Ask the papers for rates — this page invents none.
Arizona’s ACC Form L010i is a different shape: if the statutory agent’s street address is in Maricopa or Pima County, the Commission publishes the notice automatically on its public-notice website; outside those counties, publish in a newspaper only after the Commission approves the Articles (do not publish before). Follow the approval letter. Detail: Form an LLC in Arizona.
After publication (or after you confirm you do not need it), keep affidavits and any Certificate of Publication filing receipt with the stamped articles. Then continue the stack when it still applies:
- Get an EIN — free on IRS.gov after the state entity exists; not a substitute for publication.
- First business checking account — KYC wants articles and EIN; some banks later ask for good standing, not publication affidavits.
- Operating agreement — New York and California require a written agreement kept with records; not filed as the publication certificate. Public vs private: Operating agreement vs articles.
- Change an LLC name — articles amendment path if the legal name changes after formation (publication notices must have matched the stamped name).
- Certificate of good standing — order when a counterparty asks for status / existence.
- LLC annual report and After you form an LLC — renewals and the first-30-days calendar.
- Foreign LLC and certificate of authority — a second state’s qualification can bring that state’s own publication rules (New York foreign LLCs still face New York publication under DOS FAQs).
Next: the money path. After the Certificate of Publication (where your state requires it) is accepted:
- Get an EIN — free on IRS.gov after the state entity exists
- Open business checking — park operating cash in the LLC’s name
- First brokerage — only if the work needs one

LLC publication requirement FAQ

Match the legal name to SOS records exactly. Collect each publisher’s affidavit, then file any Certificate of Publication with the published fee. Ask the papers for rates — this page invents none.
- Is newspaper publication the same as filing articles of organization?
- No. Articles (or certificate) of organization create the LLC on the public SOS record. Publication — where the statute requires it — is a separate notice step after (or as the state directs after) acceptance. Missing publication does not un-file the articles; in New York it can suspend authority to transact until the Certificate of Publication is filed. Formation walkthroughs: the 50-state formation index.
- Is publication the same as getting an EIN?
- No. An EIN is a free IRS identifier after the state entity exists — Get an EIN after the state entity exists. Newspaper publication and any Certificate of Publication filing are state desks. You can need both on the first-30-days calendar; neither replaces the other.
- Does New York require LLC publication?
- Yes for most LLCs. Limited Liability Company Law § 206 (and DOS forming / articles pages) require publishing a copy of the articles or a formation notice in two county-clerk-designated newspapers for six successive weeks (one printed daily, one printed weekly), then filing a Certificate of Publication with the affidavits and a $50 DOS fee within 120 days. Failure to publish and file within 120 days suspends authority to carry on, conduct, or transact business; DOS states the suspension is annulled when the certificate is later filed. Full NY formation path: How to form an LLC in New York.
- How much does LLC publication cost?
- Where required, expect (1) newspaper rates set by the designated papers — this page does not invent those dollar amounts — and (2) any SOS / Department of State Certificate of Publication filing fee printed on the official fee schedule. New York’s Certificate of Publication filing fee is $50 on the DOS Certificate of Publication page and fee schedule; optional expedites are separate. Pay what the portal or DOS instructions show and keep the receipt.
- Is a Certificate of Publication the same as a certificate of good standing?
- No. A Certificate of Publication (New York’s DOS-1708 path for domestic LLCs) proves the newspaper / notice requirement was completed and filed. A certificate of good standing / status / existence is a separate SOS instrument about current entity status — often what banks and foreign portals ask for. Do not hand one when the asker named the other.
- Should I DIY publication or use a formation shop?
- The primary path is the home-state statute and SOS / county-clerk instructions: designated papers, affidavits, then any Certificate of Publication filing on the official DOS / SOS desk. A formation shop or publication service is optional convenience for county rates and affidavit logistics. A shop invoice is not Secretary of State acceptance of a Certificate of Publication. Formation Lane is a publisher only and does not publish notices or file certificates for anyone.
