Bring an LLC into good standing (2026)
What delinquent / not-in-good-standing means, usual causes (missed annual report, taxes, registered agent), how to cure on official SOS / tax portals, and how cure differs from reinstatement and from ordering a certificate of good standing. Setup map — confirm fees on the home-state portal; no invented 50-state catch-up table.
Delinquent or not in good standing usually means the LLC is still on the registry but out of compliance — most often unpaid franchise tax, a missing annual report / Statement of Information, or a registered-agent problem. The cure path is pay and file what is missing on the official portals, confirm the public record flips to current / active, then order a fresh status certificate if someone needs proof. That is not the same desk as reinstating after administrative dissolution, and not the same product as merely ordering a certificate of good standing.
Neighbor desks: LLC annual report · Certificate of good standing · Reinstate after admin dissolution · Change registered agent · Foreign qualification · Foreign certificate of authority · Order a certified copy · Close an LLC bank account · Dissolve or cancel an LLC · After you form an LLC.
Short version for 2026: cure delinquency ≠ reinstate after dissolve ≠ order status proof alone. File and pay the open SOS (and related tax) desks first; then reorder good standing when a counterparty needs the PDF. Formation Lane does not invent fees, turnaround times, or a 50-state catch-up table — confirm on the agency portals.
Before you try to restore good standing
Have these ready so the portal does not bounce you into the wrong path.
- Live status line from the official business search (delinquent / not in good standing vs already dissolved / revoked / forfeited)
- List of missing annual reports / registrations / Statements of Information / biennial statements
- Any SOS late-fee or penalty notices still open
- Tax / franchise account status when a revenue desk also flagged the LLC
- Registered-agent street address still valid in-state (or a change-agent plan)
- Official SOS and tax portals ready — not a shop invoice alone
- Plan to order a fresh status certificate only after the record shows current
What does “not in good standing” or delinquent mean for an LLC?
On most SOS registries, delinquent, not in good standing, or past due means the LLC is still on the books but out of compliance — often a missing annual report or Statement of Information, unpaid SOS fees, a bad registered-agent address, or a tax / franchise hold. Labels vary. Pull the live official business-search status before you pick a path.
Four desk steps to bring an LLC back into good standing before reinstatement:
- Confirm status on the official business search. Pull the live status line and any delinquency, past-due, or notice letters. If the record already shows administrative dissolution, revocation, suspension, or forfeiture for noncompliance, switch to the reinstatement path instead of only catching up reports.
- List every open SOS and tax desk. Note missing annual reports / registrations / Statements of Information / biennial statements, SOS late fees, registered-agent street-address problems, and any franchise-tax or revenue-department balances tied to status. Do not invent a fee total — use the portal and agency notices.
- File and pay what is missing on official portals. File catch-up information filings and pay published SOS amounts on the official business portal. Clear tax / franchise desks on the revenue agency portal when that hold also applies. Fix the registered agent with a change filing when the street address is wrong and the state requires a separate agent update.
- Confirm current status, then order proof if needed. Refresh the public record until status shows active / current / in good standing (wording varies). Then order a fresh certificate of good standing / status / existence when a bank, landlord, foreign state, or counterparty needs proof. Keep receipts and the certificate PDF with company records.
Desks for the steps: renewals — LLC annual report; agent gaps — change registered agent; already dissolved — reinstate; status proof after cure — certificate of good standing; foreign registration — foreign LLC certificate of authority.

What usually causes delinquent / not-in-good-standing status?
Usual desks: a missed annual report, annual registration, Statement of Information, or biennial; unpaid SOS late fees; a registered-agent resignation or bad street address; and — in some states — unpaid franchise tax or a tax-agency hold that blocks SOS good standing. Tax desks are often separate from the SOS filing. Paying one does not automatically clear the other.
- Missed information filing — annual report, annual registration, Statement of Information, Public Information Report, or biennial statement. Desk map: LLC annual report.
- Unpaid SOS fees or late penalties — the portal often lists every open year before it will accept a “current” status flip.
- Registered-agent problems — resignation, returned mail, or a non-street address. Fix path: change registered agent · basics: registered agent.
- Tax / franchise holds — some states will not show good standing (or will not issue a status certificate) until the revenue desk is current. Examples of public starting pages: California FTB LLC materials and Texas Comptroller franchise “account current” guidance (confirm live instructions).
- Foreign-state renewal gaps — a home-state LLC that also holds a certificate of authority can be current at home and delinquent abroad (or the reverse). Cure each registry on its own portal — see foreign qualification.
How do I cure delinquency and bring an LLC back into good standing?
High-level order: read the official status and notices; list every missing SOS filing and fee; clear related tax / franchise balances when that desk also flagged you; fix the registered agent if needed; file and pay on official portals; wait for current / active / in good standing on the public record; then order a fresh status certificate if needed.
Start on the formation-state (or foreign-qualified-state) official business search, then the same agency’s annual-report / Statement of Information path and any linked tax portal. Examples of public starting pages (confirm current links and instructions at filing time):
- Florida Sunbiz — Certification hub (status products after the entity is current)
- California bizfileOnline · FTB LLC filing info: FTB LLC page
- Texas SOS — Copies and Certificates · Comptroller: Making your franchise tax account current (2024+)
- New York DOS — Certificate of Status
- Illinois SOS — Business Services
For every other formation state, open the matching form-LLC guide and use that state’s official portal. This page does not invent a 50-state list of delinquency URLs or fees.
Do not invent SOS fees, late penalties, tax amounts, turnaround times, or a 50-state catch-up table from this page. Each state (and each tax agency) publishes its own portals, product names, and fee schedules — and they change. Confirm amounts and required years on the official checkout and notices. Formation Lane is a publisher only.
Is curing delinquency the same as reinstating after administrative dissolution?
No. Curing delinquency is for an LLC still active (or delinquent / not in good standing) that owes filings or payments — file and pay what is open, then confirm status. Reinstatement / revive comes after administrative dissolution, revocation, suspension, or forfeiture. If the record already says dissolved / revoked / forfeited, use the reinstate guide.
| Desk | When it applies | What it usually does |
|---|---|---|
| Bring into good standing (this page) | Entity still on the registry but delinquent / not in good standing | Pay + file missing reports, fees, agent fixes, and related tax holds; then confirm status |
| Reinstate / revive | Already administratively dissolved, revoked, suspended, or forfeited | Catch-up plus a reinstate/revive instrument — see the reinstate guide |
| Certificate of good standing / status | Counterparty needs proof the LLC is currently active / authorized | Orders an SOS status product — usually after the entity is already current |
| Annual report / SOI (on-time) | Recurring compliance while the LLC is already current | Keeps the public record and agent data current — preventative, not a revive path |
Completing one desk does not finish the others. Ordering a status certificate does not file a missing annual report. Filing one late report does not always clear a tax hold or revive a dissolved entity. Match the live SOS status line to the correct path before you pay.
Is bringing an LLC into good standing the same as ordering a certificate of good standing?
No. Bringing the LLC current is the compliance work (reports, taxes, agent). A certificate of good standing / status / existence is a separate SOS product that proves current status once the registry shows active / authorized. Banks and counterparties often want that PDF; the SOS usually refuses until renewals and agent duties are current.
Save every catch-up receipt and the refreshed status screenshot or certificate PDF with the formation packet. Deliver a fresh good-standing certificate inside any dating window a counterparty set — banks, landlords, lenders, boards, and foreign-state desks often ask. Calendar the next annual report so you do not fall delinquent again. If you later need stamped formation papers under seal, that is a different product — order a certified copy. Switching or ending checking is still a bank desk — close an LLC bank account. Shutting the company down on purpose is a separate instrument — dissolve or cancel. - Does filing one late annual report always restore good standing?
- Not always. Some states want every missed year plus late penalties; some add a separate penalty filing; some also require tax-agency clearance before the SOS flips status. If the entity has already been administratively dissolved, a single late report is usually not enough — that is reinstatement territory. Confirm the portal checklist and the live status line.
- Is this page legal or tax advice?
- No. Formation Lane publishes a process map: how delinquency differs from admin dissolution and from ordering a status certificate, which desks usually need curing, and where to start on official portals. Whether your LLC is eligible today, which instrument a counterparty will accept, and any disputes with the SOS or a tax agency are fact-specific. Confirm on the official sites and with qualified counsel or a CPA when the stakes are real.
