Change registered agent for an LLC (2026)
Post-formation: get consent, file the change instrument, wait for the SOS record, then cancel the old agent. Change fees re-checked 6 Oct 2026: GA $20, TX $15, CA no fee, FL $25, NY $30, IL $25.
Changing a registered agent is a Secretary of State filing — not a silent update of letterhead. The short path: get the new agent’s consent, file the state’s change instrument, wait until the public record shows the new agent, then cancel the old commercial agent. Do not leave a gap. Legal-name and other articles changes use a different instrument: Amend LLC articles or certificate of organization. Principal office / mailing address (not the agent street address) usually rides the annual report or Statement of Information — Change LLC business or principal office address.
This page is the post-formation change walkthrough. For what the role is, DIY versus commercial, and why a P.O. box is not the registered office, start with Registered agent basics for a new LLC. First-30-days desk list after articles: After you form an LLC. Home-state formation walkthroughs: Georgia, Texas, California, Florida, New York, Illinois, and the full 50-state formation index.
Short version for 2026: consent → file → confirm on the SOS search → cancel the old agent. Published change fees for the core formation guides live in the fee table below — confirm at filing time; portals can add processor charges.
Before you file the change
Have these ready so the portal does not bounce you.
- New agent meets in-state street-address and business-hour rules (not a P.O. box alone)
- Written or electronic consent from the person or company you will name
- LLC legal name and control / file number matching the official portal
- Payment method for the published SOS fee (and any processor charge)
- Plan to keep the outgoing agent active until the SOS shows the new one
How do I change my LLC’s registered agent?
Get the new agent’s written or electronic consent, file the formation state’s change instrument (or amended annual registration / Statement of Information when that is the published path), wait until the SOS shows the new agent, then cancel the old commercial agent so there is no coverage gap. Update binders that still list the agent. Role basics: Registered agent basics.
- Confirm the new agent is eligible and has consented. Confirm the incoming person or company meets the formation state’s street-address and business-hour availability rules. Get written or electronic consent before you name them. A P.O. box or virtual mailbox alone is not the registered office in states that spell out that rule.
- File the state’s change instrument. File the change form, amended annual registration, Certificate of Change, or amended Statement of Information on the official portal. Published fees on this page (confirm at filing): Georgia amended annual registration $20, Texas Form 401 $15, California amended Statement of Information between filing periods no fee, Florida change of registered agent $25, New York Certificate of Change $30, Illinois Form LLC-1.36/1.37 $25 non-expedited.
- Wait for the SOS public record to show the new agent. Download the acceptance or receipt. Search the state’s business database until the new agent name and street address appear. Do not cancel the outgoing commercial agent while the old name is still on the record.
- Update internal files and cancel the old agent. Update the operating-agreement binder, bank KYC file, and any counterparty lists that still show the old agent. Only after the SOS shows the new agent, end the prior commercial contract so there is no coverage gap and no double invoice. Give the new agent the current forwarding address for lawsuits and state mail.

Can I cancel my old registered agent before the new one is filed?
No — not safely. Keep the outgoing agent active until the SOS (or equivalent) shows the incoming agent on the public record. Leaving a gap can risk missed service of process and, in some states, involuntary termination or revocation of a foreign registration. Texas’s registered-agent FAQs are blunt about failure to maintain an agent and office.
Do not leave a gap. Canceling the commercial agent the morning you file — before the SOS posts the change — is how lawsuits and annual-report notices miss the company. Keep the outgoing agent active until the public record shows the incoming one.
How much does it cost to change a registered agent?
Pay the state’s published change fee (and any portal processor charge) — not a commercial agent’s annual invoice. Published SOS pieces on this page (confirm at filing): Georgia $20, Texas Form 401 $15, California amended Statement of Information between periods no fee, Florida $25, New York Certificate of Change $30, Illinois Form LLC-1.36/1.37 $25 ($75 with 24-hour expedite).
These are the published Secretary of State (or equivalent) pieces cited on this site for changing the agent — not commercial agent annual prices. Re-checked on each filing office’s fee page on 6 October 2026 (Illinois via search-index copy of the official page after a direct fetch failed). Confirm at filing time.
| State | Instrument | Published fee |
|---|---|---|
| Georgia | Amended annual registration (after current-year AR filed) | $20 |
| Texas | Form 401 (LLC) | $15 |
| California | Amended Statement of Information (between filing periods) | No fee |
| Florida | Change of Registered Agent | $25 |
| New York | Certificate of Change (§211-A(a); optional additional agent) | $30 |
| Illinois | Form LLC-1.36/1.37 (non-expedited) | $25 ($75 with 24-hour expedite) |
Other formation states use their own change-of-agent / statutory-agent / registered-office forms (for example Ohio Form 521, Virginia Form LLC1016, Oregon Change of Registered Agent/Address). Use the instrument named on that state’s SOS fee schedule and the matching form-LLC guide — do not invent a fee from this page for a state not listed in the table above.
Can I change the agent on the annual report instead of a separate form?
Sometimes. Georgia often lets you update the agent during an open annual-registration session. Florida’s Sunbiz annual-report path can change the agent when that report is filed. Illinois’s annual report cannot change the agent — file Form LLC-1.36/1.37 separately while the company is in good standing. California’s amended SOI between periods is published as no fee. Calendar: LLC annual report.
- Georgia. Mid-year agent name/address changes after the current-year annual registration is filed use the amended annual registration path ($20 on eCorp One Click AR as published). During an open annual-registration window you can often update the agent in that same session — that is the annual registration fee, not a separate mid-year instrument. See How to form an LLC in Georgia and LLC annual report and annual registration.
- Texas. Use Form 401 for change of registered agent/office by an LLC ($15 on the Business Filings fee schedule, Form 806 Revised 09/26). The LLC cannot be its own agent. Failure to maintain an agent and office can end in involuntary termination or revocation of a foreign registration — keep coverage continuous.
- California. Change the agent for service of process on a Statement of Information through bizfile. An amended Statement of Information between filing periods to report a change of information is published as no fee; the periodic Statement of Information still has its own fee when that filing is due.
- Florida. Sunbiz publishes a $25 change-of-registered-agent line on the LLC fee table. The annual-report path can also change the agent when the annual report is filed.
- New York. The Department of State remains the statutory agent for service of process either way. An optional additional registered agent with a New York address is changed (or made/revoked) with a Certificate of Change under LLC Law §211-A(a) ($30). A separate §211-A(b) path is $5 when the agent alone changes its own address on file — that is not the LLC’s make/revoke/change filing. See How to form an LLC in New York.
- Illinois. The annual report cannot change the agent’s name or registered-office address. File Form LLC-1.36/1.37 (or the online agent-change service) while the company is in good standing — $25 non-expedited, $75 with 24-hour expedite. The LLC cannot be its own agent. See How to form an LLC in Illinois.
If your renewal window is open and the portal lets you edit the agent in the same session, that can be cheaper and simpler than a mid-year change instrument — when the state allows it. Georgia and Florida are the common examples above. Illinois is the counterexample: do not wait for the annual report if you need to change the agent now.
Do I need the new agent’s consent before I file?
Yes. Do not name a person or company without consent. Texas requires consent in writing or electronically; Florida’s designation path requires the agent to accept the statutory obligations. Naming someone without permission is a false statement (and in some states forgery). The SOS often does not need the consent uploaded, but it still has to exist.
The incoming agent also needs a physical street address in the formation state (or foreign-qualification state) where a human can accept service during normal business hours. Role rules and DIY eligibility: Registered agent basics. The agent role is not ownership — see Registered agent vs LLC member.
Foreign qualifications: one agent per state you occupy
A domestic change filing updates the agent in the formation state only. If the LLC is foreign-qualified elsewhere, that second state keeps its own agent with a street address in that state. Changing the Georgia agent does not rewrite the Florida foreign registration, and dissolving nothing. Map stacked agents and withdrawals: Foreign LLC and certificate of authority.
After the change posts
Keep the new agent’s forwarding address current the same way you keep the EIN letter: as an operating file. Then continue the rest of the stack when it still applies: Get an EIN, LLC operating agreement basics, First business checking account, After you form an LLC.
Next: the money path. After the registered-agent change is accepted:
- Get an EIN — free on IRS.gov after the state entity exists
- Open business checking — park operating cash in the LLC’s name
- First brokerage — only if the work needs one

Change registered agent FAQ
- How do I change my LLC’s registered agent?

Naming someone without permission is a false statement (and in some states forgery). The SOS often does not need the consent uploaded, but it still has to exist.
- What if my registered agent resigns?
- Treat resignation as a clock, not a suggestion. Most states give a short window to appoint a replacement and file the change instrument. Until a new agent is on the record, lawsuits and official mail may still land at the old address — or bounce. Appoint a DIY agent who meets street-address and availability rules, or a commercial service, then file immediately. Role rules: Registered agent basics.
- Does changing the registered agent change my LLC’s formation state?
- No. A change of agent updates the statutory contact and registered office on the public record. It does not move the company to another state, create a foreign qualification, or dissolve the LLC. If you actually transact business in a second state, that second state wants its own agent — see Foreign LLC and certificate of authority.
- Should I file DIY or use a formation shop to change the agent?
- The primary path is the home-state portal (Georgia eCorp, Texas SOSDirect / Form 401, California bizfile, Florida Sunbiz, New York DOS, Illinois ilsos.gov, and the equivalent in other formation states). A formation shop is optional convenience for portal friction or multi-state clean-up. A shop invoice is not Secretary of State acceptance. Formation Lane is a publisher only and does not act as anyone’s registered agent.

- Amending the LLC’s legal name or other articles fields — that is Amend LLC articles or certificate of organization.
- Principal office / business / mailing address updates (when those are not the registered office) — that is Change LLC business or principal office address.
- Choosing DIY versus commercial for the first appointment at formation — that is Registered agent basics.
- Acting as anyone’s registered agent. Formation Lane is a publisher; it does not accept service for readers.
- Price quotes for commercial agent annual plans. Vendors change plans; compare on the vendor’s own site.
- Invented fees for states not in the published table above — use that state’s SOS fee schedule and form-LLC guide.
- Whether a particular foreign-qualification or nexus fact pattern applies. Start with Foreign LLC and certificate of authority, then ask counsel about your facts.
