Change LLC business or principal office address (2026)
Change an LLC principal office or mailing address: usually the annual report or Statement of Information, not an articles amendment (CA LLC-2 points to LLC-12; amended LLC-12 no fee, re-checked 6 Oct 2026). Registered agent is a separate filing; IRS Form 8822-B, bank, and sales-tax need their own updates.
Updating where the LLC works or receives mail is usually not one button. The principal office / business / mailing address often rides the annual report or Statement of Information; the registered-agent street address is a separate agent-change path; a legal name stays on an articles amendment; and banks, the IRS, sales-tax, and licenses each keep their own address files. This page is the national process map for that desk order — not a 50-state fee table.
Agent-only changes: Change registered agent for an LLC (role basics: Registered agent basics). Name and other formation-document fields: Amend LLC articles or certificate of organization and Change LLC legal name. Renewal calendar: LLC annual report and annual registration. First-30-days stack: After you form an LLC. Home-state walkthroughs: the 50-state formation index.
Short version for 2026: name which address moved → file the SOS principal-office path (often AR / SOI) → use the agent instrument only if the registered office moved → amend articles only when the formation doc itself must change → then update IRS, bank, tax, and license desks one by one. Formation Lane does not invent state fees for address updates; confirm on the official portal at filing time.
Before you touch any portal
Separate the desks so you do not file the wrong instrument.
- Which field is moving: principal office / mailing, registered agent street address, articles-listed address, or only bank/IRS/tax/license mail
- Formation-state legal name and control / file number matching the official portal
- Current public-record screenshot (agent + principal office as shown today)
- Whether the annual-report / SOI window is open — or a mid-year amended filing exists
- Plan to update EIN, bank KYC, sales-tax / withholding, and local licenses after the SOS posts
How do I change my LLC’s business or principal office address?
Most states update the principal office, business, or mailing address on the annual report, annual registration, or Statement of Information — not with a silent letterhead edit. Confirm the instrument on the formation-state portal, file when the window or change path is open, then update banks, the IRS, sales-tax, and license desks separately.
- Name which address is moving. Decide whether you are changing the principal office / business / mailing address, the registered agent / registered office, an address printed on the articles themselves, or only a bank / IRS / tax / license mailing line. Those are different desks.
- File the SOS principal-office path. On the formation-state portal, update principal-office / mailing fields on the annual report, annual registration, or Statement of Information when that is the published path — or use a mid-year amended filing if the state offers one. California’s Form LLC-2 says business-address changes go on a Statement of Information (Form LLC-12), and an amended LLC-12 between filing periods is published as no fee.
- Handle agent and articles only if needed. If the registered-agent street address also moved, use the dedicated agent-change instrument (or the annual-report / SOI agent fields where allowed) without leaving a coverage gap. If the formation document itself lists an address the statute requires you to amend, use an articles amendment. Do not force a name-change amendment for a routine mailing update.
- Update IRS, bank, tax, and license desks. After the SOS public record shows the new principal office, update the EIN address record (IRS Form 8822-B for business mailing address or location — confirm the current revision), bank KYC, sales-tax and withholding accounts, and local licenses. Foreign-qualified states each keep their own principal-office and agent fields.
Agent street address moved too: Change registered agent. Address printed on the articles: Amend LLC articles. Renewal windows: LLC annual report.
DIY or a formation shop. The walkthrough on this page is for updating the principal-office / mailing fields yourself on the official state portal (annual report, SOI, or mid-year change path). If you would rather pay a shop to handle the filing paperwork, compare these:

Is the principal office the same as the registered agent address?
Usually no. The principal office (or business / mailing address) is where the company works or receives ordinary mail. The registered agent / registered office is the in-state street address for lawsuits and official service. Changing one does not automatically rewrite the other. If both moved, update both fields on the public record: Change registered agent.
Keep these separate on purpose. Many operators use a commercial registered agent at a statutory street address while the principal office is a home, coworking space, or leased suite. Moving the office does not automatically move the agent; resigning or swapping the agent does not rewrite the principal office. If both moved, file both paths (or the combined annual-report / SOI session when the state allows edits to both in one filing). Georgia’s annual registration, for example, asks for the registered agent street address and the principal-office mailing address as separate fields.
| What moved | Usual desk | Not the same as |
|---|---|---|
| Principal office / business / mailing on the public record | Annual report / annual registration / Statement of Information (or amended filing when published) | Silent letterhead or website footer update alone |
| Registered agent or registered-office street address | Change-of-agent instrument (or AR / SOI when that is the published path) | Principal-office-only edit — see Change registered agent |
| Address printed on the articles / certificate of organization | Articles amendment when the statute or portal requires it | Routine mailing update (CA LLC-2 points business address to LLC-12) |
| IRS, bank, sales-tax, or local-license mailing line | That agency’s own address-change path (IRS: Form 8822-B) | SOS acceptance alone rewriting every counterparty file |
Do not treat a website footer or Google Business Profile edit as the SOS update. Counterparties and courts key off the public record and their own KYC files. Changing the marketing address without the SOS / agent / IRS / bank desks is how mail and service bounce.
Do I need an articles amendment to change the LLC address?
Usually no — only when the formation document itself lists an address the statute or portal requires you to amend. California’s Form LLC-2 says business-address, manager, and agent-for-service changes go on a Statement of Information (Form LLC-12), not LLC-2. Legal name and other articles fields: Amend LLC articles or certificate of organization.
California — LLC-12, not LLC-2. Form LLC-2 (articles amendment, published $30) carries a note that you must file a Statement of Information (Form LLC-12) to change the LLC’s business address(es) or the name or address of its managers or agent for service of process. Re-checked on the LLC-2 PDF on 6 October 2026. See How to form an LLC in California and Amend LLC articles.
A legal-name change is the opposite case — that one does need the articles amendment. If the LLC is renaming and moving at the same time, file both paths: Change LLC legal name for the name, the SOS information filing for the address.
Can I change the principal office on the annual report?
Often yes — when the state’s annual report, annual registration, or Statement of Information collects principal-office or mailing fields and the portal lets you edit them in that session. Mid-year paths vary: California publishes an amended Statement of Information at no fee; other states publish an amended filing or wait for the next renewal window.
This page does not invent a national “change of address” fee. Patterns cited from official pages (re-checked 6 October 2026):
- California. The Business Entities fee schedule lists the domestic LLC Statement of Information (Form LLC-12) at $20 when the biennial filing is due, and an amended LLC-12 between filing periods to report a change of information at no fee. File on bizfile Online.
- Georgia. The annual registration asks for the registered agent street address and the mailing address of the principal office, so the renewal session is where those public-record fields are kept current. Fee and window: LLC annual report and annual registration.
- Florida. Sunbiz describes the annual report as the form that updates or confirms Division of Corporations records — required whether or not anything changed. Fee and window live on the annual-report guide, not here.
Other formation states name their own annual report, biennial statement, Statement of Information, or mid-year change instrument. Use that state’s SOS fee schedule and the matching form-LLC guide.
Does changing the SOS address update the IRS, bank, or sales-tax account?
No. The Secretary of State public record is one desk. Banks need their own KYC address update. The IRS uses Form 8822-B for a business mailing-address or location change on an EIN account — confirm the current revision. State sales-tax, withholding, and local licenses each have their own portals. Stack: After you form an LLC.
Keep the SOS acceptance with the formation packet. Then work the list: IRS Form 8822-B (IRS.gov says to use it if you changed the business mailing address, business location, or responsible party — confirm the current revision); business checking KYC; state sales-tax and withholding accounts; local licenses and permits. An EIN record does not rewrite itself when the SOS changes.
Foreign qualifications and multi-state mail
A domestic principal-office update changes the formation-state public record only. Each foreign-qualified state keeps its own principal-office and registered-agent fields — changing Georgia’s mailing line does not rewrite a Florida foreign registration. Moving the business into a new state can raise foreign-qualification questions of its own. Map stacked agents and withdrawals on Foreign LLC and certificate of authority.
Next: the money path. After the principal-office / mailing address update is accepted:
- Get an EIN — free on IRS.gov after the state entity exists
- Open business checking — park operating cash in the LLC’s name
- First brokerage — only if the work needs one

Change LLC address FAQ
- How do I change my LLC’s business or principal office address?
- Most states update the principal office, business, or mailing address on the annual report, annual registration, or Statement of Information — not with a silent letterhead edit. Confirm the instrument on the formation-state portal, file when the window or change path is open, then update banks, the IRS, sales-tax, and license desks separately.
- Is the principal office the same as the registered agent address?

The registered agent / registered office is the in-state street address for lawsuits and official service. Changing one does not automatically rewrite the other. If both moved, update both fields on the public record: Change registered agent.
- Do I need an articles amendment to change the LLC address?
- Usually no — only when the formation document itself lists an address the statute or portal requires you to amend. California’s Form LLC-2 says business-address, manager, and agent-for-service changes go on a Statement of Information (Form LLC-12), not LLC-2. Legal name and other articles fields: Amend LLC articles or certificate of organization.
- Can I change the principal office on the annual report?

Mid-year paths vary: California publishes an amended Statement of Information at no fee; other states publish an amended filing or wait for the next renewal window.
- Does changing the SOS address update the IRS, bank, or sales-tax account?
- No.
- What if I moved to another state?
- Updating a mailing or principal-office field is not the same as forming in a new state or registering as a foreign LLC where you now transact. If you regularly do business in a second state, map foreign qualification separately: Foreign LLC and certificate of authority. Keep the formation-state agent and renewals current until counsel says otherwise.
- Is changing the address the same as changing the LLC name?
- No. A principal-office or mailing update usually rides the annual report or Statement of Information. A new legal name is an articles amendment at a published fee. If both changed, file both paths: Change LLC legal name.
- Should I use a formation shop to change the address?
- The primary path is the home-state portal (or the annual-report / SOI path that portal publishes). A formation shop is optional convenience for portal friction or multi-state clean-up. A shop invoice is not Secretary of State acceptance, and it does not update the bank or the IRS for you. Formation Lane is a publisher only and does not file address changes for anyone.
What this page does not cover
- Invented fees or a claim that every state uses the same change-of-address form — confirm on that state’s SOS portal and fee schedule.
- Registered-agent-only filings — that is Change registered agent for an LLC.
- Legal-name and other articles rewrites — that is Change LLC legal name and Amend LLC articles or certificate of organization.
- Whether a move triggers foreign qualification or nexus — start with Foreign LLC and certificate of authority, then ask counsel about your facts.
- Drafting tax elections or preparing returns — IRS / CPA desks, not an SOS mailing-line update.
- Acting as anyone’s filing agent. Formation Lane is a publisher only.
