Amend LLC articles or certificate of organization (2026)
SOS articles amendment for LLC legal name and other formation-doc fields — not the registered-agent form. Fees re-checked 6 Oct 2026: GA $20+$10 ($30), TX $150, CA $30, FL $25, NY $60, IL $50.
Amending LLC articles (or the Certificate of Organization / Certificate of Formation fields that live on the public formation document) is a Secretary of State filing. The short path: confirm the change belongs on the articles, get the consent your operating agreement or statute requires, file the state’s amendment instrument, then update banks, tax desks, and internal records after the public record posts. Articles vs the private OA (not the same desk): Operating agreement vs articles of organization.
This page is the post-formation amendment walkthrough. Registered-agent-only changes belong on Change registered agent for an LLC. Principal office / mailing updates usually belong on the annual report or Statement of Information — Change LLC business or principal office address. First-30-days desk list: After you form an LLC. Home-state formation walkthroughs: Georgia, Texas, California, Florida, New York, Illinois, and the full 50-state formation index.
Short version for 2026: consent → file the amendment → confirm on the SOS search → update EIN/bank/contracts. Published amendment fees for the core formation guides live in the fee table below — confirm at filing time; portals can add processor charges.
Before you file the amendment
Have these ready so the portal does not bounce you.
- Confirm the change belongs on the articles (not agent-only or annual-report-only)
- Written member/manager consent under the operating agreement or statute
- Name availability search (and reservation, if renaming and the state offers it)
- LLC legal name and control / file number matching the official portal
- Payment method for the published SOS fee (and any service/processor charge)
What is an amendment to LLC articles?
An articles amendment (Certificate of Amendment or amendment to the Certificate of Organization) is the SOS filing that changes the public formation document — usually the legal name, sometimes purpose, management structure as stated on the articles, or other allowed fields. It is not a letterhead update, not a DBA, and not the registered-agent change path in most states.
- Confirm the change belongs on the articles. Use an articles amendment for formation-document changes such as legal name. Use the separate registered-agent change path for agent-only updates, and the annual report or Statement of Information when that is the state’s published path for managers or principal office.
- Get required consent and check name availability. Obtain member or manager consent under the operating agreement or default statute and keep the written record. If changing the legal name, search the SOS database and reserve the name if the state offers reservation.
- File the amendment on the official portal. File Articles of Amendment, a Certificate of Amendment, or the state’s equivalent. Published fees on this page (confirm at filing): Georgia Articles of Amendment/Restatement $20 plus $10 service charge ($30 typical), Texas Form 424 $150, California Form LLC-2 $30, Florida Any Other Amendment $25, New York Certificate of Amendment $60, Illinois Form LLC-5.25 $50 non-expedited.
- Update banks, tax desks, and company records. Download the stamped acceptance, confirm the public record, then update the EIN name record if needed, bank KYC, contracts, licenses, the operating-agreement binder, and any foreign qualifications. An amendment is not a dissolution.

When do I need to amend the articles instead of filing something else?
Use an articles amendment when the change must appear on the formation document — especially a legal-name change. Use the dedicated registered-agent path for agent-only updates, the annual report or Statement of Information when that is the state’s path for managers or principal office, and a separate assumed-name filing for a DBA — not an articles rewrite.
| Change | Usual instrument | Not the same as |
|---|---|---|
| Legal name | Articles / Certificate of Amendment | DBA / assumed name (separate filing in many states) |
| Registered agent or agent street address | Change-of-agent form (or amended AR / SOI when that is the path) | Full articles rewrite — see Change registered agent |
| Purpose / business activity line on the articles | Articles amendment when the statute puts purpose on the formation doc | Tax classification elections (IRS forms, not SOS articles) |
| Management structure as stated on the articles | Articles amendment when the articles state member- vs manager-managed | Internal operating-agreement edits alone (still update the binder) |
| Managers, members, or principal office (many states) | Annual report / Statement of Information when that is the published path | Dissolution / cancellation |
Do not treat a DBA as a legal-name change. An assumed name / trade name filing does not rewrite the articles. Banks, the IRS, and counterparties still key off the legal name on the stamped formation document until an articles amendment posts.
How much does it cost to amend LLC articles?
Pay the formation state’s published amendment fee (and any portal processor or service charge) — confirm at filing. Published SOS pieces here: Georgia Articles of Amendment/Restatement $20 (+ $10 service → $30 typical), Texas Form 424 $150, California Form LLC-2 $30, Florida Any Other Amendment $25, New York Certificate of Amendment $60, Illinois Form LLC-5.25 $50 non-expedited.
These are the published Secretary of State (or equivalent) pieces cited on this page for amending the formation document — not commercial shop invoices. Re-checked on each filing office’s fee page on 6 October 2026 (Illinois via search-index copy of Form LLC-5.25 and 805 ILCS 180/50-10 after a direct fetch from this box failed). Confirm at filing time.
| State | Instrument | Published fee |
|---|---|---|
| Georgia | Articles of Amendment; Restatement | $20 + $10 service charge ($30 typical) |
| Texas | Form 424 Certificate of Amendment (LLC) | $150 |
| California | Form LLC-2 Amendment to Articles of Organization | $30 |
| Florida | Any Other Amendment (LLC fee table) | $25 |
| New York | Certificate of Amendment (domestic LLC) | $60 |
| Illinois | Form LLC-5.25 Articles of Amendment (non-expedited) | $50 |
- Georgia. Corporations Division fee schedule (effective 6 September 2025) lists Articles of Amendment; Restatement at $20, with a $10 service charge for filing — $30 is the typical checkout total. File on eCorp. See How to form an LLC in Georgia.
- Texas. Domestic LLCs use Form 424 Certificate of Amendment — $150 on the Business Filings fee schedule (Form 806, Revised 09/26). Form 401 ($15) is the registered-agent/office change path, not the name-change amendment. See How to form an LLC in Texas.
- California. Form LLC-2 Amendment to Articles of Organization is $30. The form itself notes that business address, manager, and agent-for-service changes go on a Statement of Information (Form LLC-12), not LLC-2 — process map: Change LLC business or principal office address. See How to form an LLC in California.
- Florida. Sunbiz’s LLC fee table lists Any Other Amendment at $25. Change of Registered Agent is a separate $25 line. See How to form an LLC in Florida.
- New York. Certificate of Amendment is $60 on the DOS fee schedule. Name-change-only certificates may be filed online; other amendments may still require paper — confirm on the DOS page before you start. Publication and the written operating agreement are separate New York requirements. See How to form an LLC in New York.
- Illinois. Form LLC-5.25 Articles of Amendment lists Filing Fee $50; 805 ILCS 180/50-10 sets filing amendments at $50. Direct fetches of ilsos.gov / ilga.gov from this box failed on 6 October 2026 — fee text held from search-index copies of the form and statute. Expedite and online name-change packaging can change the portal total — pay what the portal shows and keep the receipt. See How to form an LLC in Illinois.
Other formation states publish their own amendment / restatement fees on the SOS fee schedule. Use the instrument named there and the matching form-LLC guide — do not invent a fee from this page for a state not listed in the table above.
Does changing the registered agent require an articles amendment?
Usually no as the primary path. Most formation states publish a separate change-of-agent instrument (or amend the annual registration / Statement of Information). Point the filing at that path — not a full articles rewrite — unless your state’s portal or counsel says the articles themselves must be amended for your facts. Walkthrough: Change registered agent for an LLC.
Agent-only updates and articles rewrites are different desks. Role basics and DIY eligibility: Registered agent basics. Member vs agent roles: Registered agent vs LLC member. If you need to correct a defect in a prior filing rather than change the terms, that is often Articles of correction — not this amendment path.
Do I need member or manager consent before I file?
Usually yes under the operating agreement or the default LLC statute — often unanimous member consent unless the agreement says otherwise. Keep the written consent or meeting minutes with the company records. The SOS filing is the public piece; the consent is the internal authority piece. Process map for the agreement itself: LLC operating agreement basics.
Ownership percentages, capital accounts, and buy-sell terms usually live in the operating agreement — not on the SOS articles. Amending articles does not automatically rewrite the agreement, and editing the agreement does not automatically update the public record. When membership changes, decide which piece (articles, annual report / SOI, agreement, EIN responsible-party update) the state and the bank actually need. After a rename posts, continue the stack: EIN name record, bank KYC, contracts, licenses, and foreign qualifications — map: After you form an LLC.
After the amendment posts
Keep the stamped amendment with the formation packet. Then continue the stack when it still applies: Get an EIN (or update the EIN name record after a rename), First business checking account, LLC annual report, After you form an LLC. If the company is done instead of amended, close it properly: Dissolve or cancel an LLC. When the SOS path is a full restatement (or amended and restated) instrument instead of a narrow amendment, use the Restated articles of organization desk map.
Next: the money path. After the articles amendment is accepted:
- Get an EIN — free on IRS.gov after the state entity exists
- Open business checking — park operating cash in the LLC’s name
- First brokerage — only if the work needs one

Amend LLC articles FAQ

Process map for the agreement itself: LLC operating agreement basics.
- After a name-change amendment, what else do I update?
- Update the IRS record if the legal name changed (often Form 8822-B for a responsible-party / name change on an EIN account — confirm the current IRS form), bank and payment-platform KYC, contracts and invoices, licenses and permits, the operating-agreement cover page, and any foreign-qualification records in other states. The SOS acceptance alone does not rewrite the EIN letter, the bank title, or every counterparty file. First-30-days stack for new entities: After you form an LLC.
- Is amending the articles the same as dissolving the LLC?
- No. An amendment keeps the same entity alive with updated public terms. Dissolution / termination / cancellation ends the company on the business-registry side. If you are closing instead of renaming or restating, use Dissolve or cancel an LLC.
- Should I file DIY or use a formation shop?
- The primary path is the home-state portal: Georgia eCorp, Texas SOSDirect (Form 424), California bizfile (LLC-2), Florida Sunbiz, New York DOS, Illinois ilsos.gov (Form LLC-5.25), or the equivalent in other formation states. A formation shop is optional convenience for portal friction or multi-state clean-up. A shop invoice is not Secretary of State acceptance. Formation Lane is a publisher only and does not file amendments for anyone.
What this page does not cover
- Drafting the amendment text for complex restatements — a lawyer drafts when the facts are not a simple name change. When the SOS path is a full restatement (or amended and restated) instrument instead of a narrow amendment, use the Restated articles of organization desk map.
- Fixing an inaccuracy or defective execution in a prior filing — that is often Articles of correction, not a substantive amendment.
- Registered-agent-only filings — that is Change registered agent for an LLC.
- Principal office / mailing address process map — that is Change LLC business or principal office address.
- DBA / assumed-name filings as a substitute for a legal-name amendment.
- Invented fees for states not in the published table above — use that state’s SOS fee schedule and form-LLC guide.
- Tax classification elections (Form 8832 / 2553) or final returns — those are IRS / CPA desks, not SOS articles.
- Acting as anyone’s filing agent. Formation Lane is a publisher only.
