Articles of correction / certificate of correction for an LLC (2026)
Certificate of correction fixes an inaccuracy or defective execution in a filed LLC instrument — not an articles amendment. TX Form 403 $15; Del § 18-211 relate-back. Distinct from OA amendment, agent change, and dissolve. Overview only — no invented 50-state fee table.
Correction ≠ amendment. When the Certificate of Formation / Articles of Organization (or another SOS filing) already on the public record has a drafting error, wrong fact, or defective signature, most formation states publish a certificate of correction (sometimes called articles of correction) so you can fix that instrument — often with relate-back to the original filing date. When the company later decides to change organic facts on purpose, that is usually an articles amendment, not a correction.
Neighbor desks: Amend LLC articles · Restated articles of organization · Amend an LLC operating agreement · Change LLC name · Change registered agent · Operating agreement vs articles · Dissolve or cancel an LLC · After you form an LLC.
Short version for 2026: correction fixes what was already wrong on the filed instrument; amendment changes organic facts going forward. Pull the stamped original, name the error, file the state’s correction form on the official portal or paper path, keep the acceptance, and sync banks / licenses that copied the bad text. Formation Lane does not invent fees, turnaround times, or a 50-state correction table — confirm on the agency portals.
Before you file a certificate of correction
Separate error-fix from a new organic change so the SOS does not reject the wrong instrument.
- Stamped copy (or certified copy) of the instrument that contains the error — articles / certificate of formation or later SOS filing
- Clear description of the inaccuracy, erroneous statement, or defective execution (not a new rename decision)
- Corrected text ready in the form the state requires
- Authorized signer under that state’s execution rules for the instrument being corrected
- Registered-agent consent plan if the correction redesignates or renames the agent
- Official SOS form / portal / fee schedule open — not a shop invoice alone
- Plan to update banks, licenses, and the operating agreement only where private terms must match
What is an articles of correction / certificate of correction?
A certificate of correction (sometimes articles of correction) is the SOS filing that fixes an inaccuracy, erroneous statement, or defective execution in a filed public instrument — often the Certificate of Formation / Articles of Organization. It is the error-fix desk, not a new business decision. Texas Form 403 and Delaware § 18-211 are examples — confirm your state’s form.
- Confirm correction vs amendment vs a different desk. Ask whether the public record is wrong because of a drafting / execution error that already existed at filing, or because the company now wants different organic facts. Errors and defects → certificate of correction. New decisions (rename, restate purpose, change management structure on the articles) → articles amendment. Agent-only moves often use a dedicated change-of-agent path.
- Identify the instrument, the error, and the corrected text. Pull the stamped original (or a certified copy). Name the filing instrument and its SOS filing date. State the inaccuracy or defect specifically, then set out the corrected language the form requires. Do not use correction to cancel the filing or to insert a statement the original could not legally have contained.
- Authorize, execute, and file on the official path. Have an authorized person sign under the state’s execution rules. If the correction renames or redesignates a registered agent, follow that state’s consent rules. File the certificate of correction (Texas Form 403 publishes a $15 filing fee — confirm at filing; other states differ). Keep the file-stamped acceptance PDF.
- Confirm the public record and sync related desks. Refresh the official business search until the corrected facts show. Update banks, licenses, and counterparties that copied the bad text. Amend the operating agreement only when private contract language must match. Order a fresh certified copy when a bank or foreign SOS still wants paper proof.

Is a certificate of correction the same as amending the articles?
No. An articles amendment (Certificate of Amendment) changes organic facts going forward because the company decided something new — legal name, purpose language, or management structure as stated on the articles. A correction fixes what was already wrong or defectively executed when the prior instrument was filed. Wrong desk is a common rejection path — match the live form instructions.
| Desk | When it applies | What it usually does |
|---|---|---|
| Articles / certificate of correction (this page) | Prior SOS instrument has an inaccuracy, erroneous statement, or defective execution | Fixes the filed instrument; often relates back to the original filing date (with adverse-party exceptions) |
| Amend LLC articles | Company decides to change organic facts going forward (name, purpose, articles-stated management, etc.) | Certificate of Amendment / articles amendment on the SOS — not an error-fix shortcut |
| Amend operating agreement | Private ownership, voting, money, or exit terms must change | Internal contract amendment — does not by itself update the public SOS record |
| Change registered agent (dedicated path) | Only the agent or agent street address is changing as a new appointment | Often a separate change-of-agent instrument — use correction only when the prior filing itself misstated agent facts as an error |
Do not invent SOS fees, relate-back outcomes, turnaround times, or a 50-state correction table from this page. Instrument names, what may be corrected, and fee schedules are state-specific and change. Confirm amounts and required attachments on the official form instructions and checkout. Formation Lane is a publisher only.
What kinds of errors can a certificate of correction usually fix?
Typical published framing (Texas BOC § 4.101 / Form 403 FAQ): the prior instrument was an inaccurate record of the action it evidenced, contained an inaccurate or erroneous statement of fact, and/or was defectively signed, sealed, acknowledged, or verified. Examples: misspelled legal name as filed, wrong registered-office street line, or signature defect — not a brand-new name chosen later.
A quiet letterhead edit or a later brand rename is not a “correction” of convenience. Intentional legal-name changes usually belong on the articles amendment / name-change path. Agent-only appointments usually belong on Change registered agent. When the SOS path is a full restatement instead of a narrow fix, use Restated articles of organization.
Where to start (official portals)
File on the formation state’s official business-entities path (or the state that accepted the instrument you are correcting). Examples of public starting pages (confirm current forms and fees at filing time):
- Texas SOS — Form 403 instructions (Certificate of Correction) · Form 403 PDF · Amendments and Corrections FAQs (published fee on Form 403 instructions: $15 — re-checked 6 October 2026; confirm at filing)
- Delaware Code — § 18-211 Certificate of correction · Delaware LLC Certificate of Correction PDF (relate-back framing re-checked 6 October 2026 — no invented Delaware fee on this page)
- Other formation states: open that state’s SOS business-filings / corrections path (or the matching form-LLC guide) and look for certificate of correction / articles of correction — not a second set of formation articles and not a DBA.
This page does not invent a national correction-fee list. For intentional organic changes after a clean filing, start at Amend LLC articles.
Does a correction cancel or unwind the original filing?
Usually no. Texas SOS Amendments and Corrections FAQ: Form 403 cannot cancel a filing instrument, and cannot add, alter, or delete a statement that would have made the original instrument fail legal conformity at the time it was filed. A correction repairs the record; it does not dissolve the LLC, abandon formation, or replace dissolve / cancel.
Completing a correction does not finish the other desks. It does not rewrite the operating agreement, dissolve the company, or substitute for a dedicated registered-agent change when only the agent is being newly appointed. Match the live SOS instructions before you pay.
What usually sits beside the SOS correction
- Certified copy of the corrected packet — banks and some foreign SOS desks still want stamped paper: Order LLC certified copy.
- Operating agreement sync — only when private terms repeated the bad public text: Amend an LLC operating agreement · OA vs articles.
- Bank / KYC and licenses — SOS acceptance does not automatically rewrite account titles or permit files: Business checking · Business license.
- Neighbor intentional-change desks — when the real job is a new name, address, or agent appointment: Change LLC name · Change LLC address · Change registered agent.
When does a correction take effect?
Many statutes (Delaware § 18-211; Texas BOC § 4.105 in Form 403 instructions) treat the corrected instrument as effective as of the original filing date, except as to persons substantially and adversely affected by the correction — for those persons, effectiveness often runs from the correction filing date. Confirm your state’s relate-back rule on the form.
Internal authority still matters even when the public fix is a typo. Many forms require signature by a person authorized to sign the instrument being corrected. Keep written consent or minutes with company records. Fixing a public-record typo does not rewrite the operating agreement — amend the OA separately when private terms must match: Amend an LLC operating agreement.
After the SOS accepts the correction
Save the file-stamped certificate of correction with the original articles, EIN letter, and operating agreement. Refresh the official business search. Hand the corrected text to anyone who relied on the bad line. Keep running the home-state annual report calendar on its own desk. First-month stack when the company is still new: After you form an LLC.
Next: the money path. After the filing an LLC certificate of correction / articles of correction is accepted:
- Get an EIN — free on IRS.gov after the state entity exists
- Open business checking — park operating cash in the LLC’s name
- First brokerage — only if the work needs one

- Do I need member or manager consent before filing a correction?
- Internal authority still matters. Many forms require signature by a person authorized to sign the instrument being corrected (organizer, governing person, or managerial official under that state’s code). Keep any written consent or minutes with company records alongside the stamped correction. Fixing a public-record typo does not rewrite the operating agreement — amend the OA separately when ownership or governance language must match: Amend an LLC operating agreement.
- Is correcting articles the same as amending the operating agreement?
- No. Articles / certificate correction is a public SOS desk. The operating agreement is the private member contract. OA amendments do not update the Secretary of State record by themselves. Comparison: Operating agreement vs articles.
- Should I DIY on the SOS portal or use a formation shop?
- The primary path is the home-state official portal or paper form (Texas Form 403; Delaware Division of Corporations Certificate of Correction; California / Florida / New York / Illinois equivalents when published). A formation shop is optional convenience for portal friction. A shop invoice is not Secretary of State acceptance. Formation Lane is a publisher only and does not file corrections for anyone.
