File in Oregon if the work is in Oregon
A domestic Oregon LLC is organized by filing Articles of Organization with the Oregon Secretary of State Corporation Division, Business Registry. The LLC name must contain “limited liability company” or the abbreviation “L.L.C.” or “LLC.” A company already formed somewhere else that wants to transact business in Oregon files an Application for Authority — a different instrument, $275 on the Business Registry Fee Schedule for foreign LLCs (foreign annual renewal also $275).
Filing in Wyoming, Delaware, or Georgia does not move Oregon work out of Oregon. A foreign entity that transacts business here still needs an Oregon registered agent and Oregon foreign authority, plus the formation state’s agent and report. Home-state filing is the cheaper default for a one-state operator. Multi-state registration overview: Foreign LLC and certificate of authority.
Do not try to hide from the Oregon SOS. An LLC is a public filing. The registered agent’s name and address go on the record so the state and private parties can reach the company. Privacy products that promise invisibility are selling something the statute does not offer.
What to have on the desk before opening the Business Registry
The Business Registry Fee Schedule and the Annual Report or Renewal page set the baseline. Fees re-checked on 14 October 2026:
- A distinguishable LLC name that includes LLC / L.L.C. / Limited Liability Company. Search Business Registry before ordering letterhead.
- Articles of Organization details, including the registered agent and Oregon street address for that agent, plus a principal office / mailing address as the form requires.
- Registered agent who can accept service of process in Oregon. See Registered agent basics for a new LLC.
- Organizer information as the current online form requires. Payment follows whatever the Business Registry checkout shows.
No newspaper or other advertising is required on the standard domestic Articles of Organization path. Professional entities and conversions are out of scope for a default 1099 single-member LLC on this page.
File online through the Oregon Business Registry
The primary path on this page is the Oregon SOS Corporation Division Business Registry at sos.oregon.gov/business. Create or sign into an account, file Articles of Organization for a new Oregon LLC, and pay. The Business Registry Fee Schedule lists that filing at $100.00 for a domestic limited liability company. That is the fee this page cites. All registry fees are nonrefundable and paid in advance.
Optional amendments, assumed business names, or other line items belong on the current fee schedule and checkout screen — this page does not invent add-ons. Pay what the portal shows and keep the receipt.
After the Articles of Organization are filed
Formation with the Corporation Division is not an Oregon Department of Revenue tax account, a city business license, or a professional license. Those have their own filings.
The IRS tells applicants to form the state entity first, then obtain an Employer Identification Number. That application on IRS.gov is free.
Next: the money path. After the Articles of Organization is accepted:
- Get an EIN — free on IRS.gov after the state entity exists
- Open business checking — park operating cash in the LLC’s name
- First brokerage — only if the work needs one
Full first-30-days desk list: After you form an LLC. Setup overview on the setup checklist. Formation shops, if you want one instead of DIY, stay in the callout above.
Oregon does not require an operating agreement to be filed with Articles of Organization. A written agreement still matters between members. Banks often ask for one anyway. See LLC operating agreement basics.
Annual renewal — $100 on the anniversary
Every Oregon LLC must file an annual renewal (annual report). Corporation Division guidance: renewals are due on the anniversary date of the original filing; the Division sends a notice about 45 days in advance. The Business Registry Fee Schedule prices domestic LLC Renewal (Annually) at $100.00. File at sos.oregon.gov/renew. Official notices carry the Oregon state seal and “Secretary of State Corporation Division” wording — ignore private “compliance” mailers that inflate the $100 fee.
Put the anniversary on a calendar the day articles are accepted. Cross-state renewals and “is an annual report a tax?”: LLC annual report and annual registration. This page does not compute anyone’s tax.
Missing renewals put the entity toward inactive / dissolved status. Overview of admin-dissolve vs reinstate: Reinstate an administratively dissolved or revoked LLC.
What this page does not cover
- Professional entities, conversions, or foreign authority of an out-of-state company beyond the fee citation above.
- Sales-tax, employer withholding, unemployment, Workers’ Compensation, or local business licenses.
- Whether an S corporation election is worth the payroll. That is a CPA conversation after there is real net income.
- Any promise that an LLC prevents a personal guarantee on a bank account or a business card. It usually does not.
- Telling a Georgia operator to file Oregon as a sophistication upgrade.
- Voluntary dissolution — SOS lists Articles of Amendment/Dissolution at $100 on the LLC fee schedule; see Dissolve or cancel an LLC.
- Processor fees or portal line items that are not printed on the sources above.
