How to form an LLC in Nevada (2026)

File a Nevada LLC online in five steps: Articles of Organization on SilverFlume/Orion, $425 state fees ($75 Articles + $150 Initial List + $200 Business License), a Nevada street registered agent. No newspaper publication. Calendar Annual List $150 + license renewal $200 due last day of anniversary month. Then a free EIN. Not a tax or privacy upgrade for out-of-state operators.

File a domestic Nevada LLC through Nevada SOS online when you live in Nevada and will do the work from Nevada. Formation costs $425 before expedite: Articles of Organization $75, Initial List $150, and State Business License $200. Five steps: confirm Nevada facts, gather Articles / list / license and a Nevada street agent, file on SilverFlume / Orion, pay $425, then get a free EIN after acceptance. Compare structures on LLC vs sole proprietorship.

Short version for 2026: form through Nevada SOS online filing (SilverFlume / Orion via nvsos.gov) with the three instruments above, keep a Nevada street registered agent, skip any newspaper “publication fee” pitched for an LLC, then calendar the Annual List ($150) + Business License renewal ($200) — $350 — due by the last day of the formation anniversary month each year.

How much does it cost to form an LLC in Nevada?

$425 before any expedite. NRS 86.561 sets Articles of Organization at $75; NRS 86.263 sets the Initial List at $150; NRS 76.100 sets the State Business License at $200 for a typical LLC. The SOS Annual List instructions (revised 7/1/2026) still show $150 for the list and $200 for the license on renewal. Expedite is optional. Pay what the portal shows and keep the receipt.

How do I file Nevada Articles of Organization online?

File on nvsos.gov through SilverFlume / Orion. The formation packet combines Articles of Organization, the Initial List of Managers or Managing Members, and the State Business License. Mail filing is also accepted with the paper forms linked from the Business Forms page.

  1. Confirm you live and work in Nevada. Use the domestic Nevada path if you live in Nevada and will do the work from Nevada. An out-of-state operator should not treat Nevada filing as a tax or privacy upgrade over home-state formation.
  2. Gather Articles, Initial List, Business License, and Nevada street agent. Have a distinguishable LLC name, Articles of Organization details, a Nevada street registered agent, managers or managing members for the Initial List, and State Business License application information.
  3. File on Nevada SOS online (SilverFlume / Orion). File Articles of Organization together with the Initial List and State Business License through Nevada SOS online filing (SilverFlume / Orion via nvsos.gov), or mail the formation packet.
  4. Pay $425. Pay $75 for Articles of Organization, $150 for the Initial List, and $200 for the State Business License ($425 total before expedite). Pay what the portal shows and keep the receipt.
  5. Get an EIN after the filings are accepted. After the state Articles of Organization are accepted, obtain an Employer Identification Number free on IRS.gov. Form the state entity first.

Do I need a Nevada registered agent with a street address?

Yes. Articles of Organization require a Nevada registered agent with a Nevada street address. The address is a public record. A member with a Nevada street address can serve. DIY versus commercial: Registered agent basics.

When is the Nevada Annual List and Business License due?

By the last day of the month in which the anniversary of formation falls. Combined recurring SOS cost for a typical LLC: $350 ($150 Annual List + $200 Business License renewal). The SOS Non-Corporations Annual List instructions revised 7/1/2026 match those amounts. Late list fee is $75 under NRS 86.263; late business-license penalty is separately stated in NRS 76.130.

Do I get an EIN before or after the Nevada LLC?

After the Articles (and accompanying Initial List / Business License) are accepted. The IRS tells applicants to form the state entity first; the EIN application on IRS.gov is free. Save the filed Articles, then follow Get an EIN after the state entity exists. An EIN is not a city or county business license or a Department of Taxation account.

The published SOS LLC Fee Schedule PDF was behind an Incapsula challenge on 7 October 2026, so this table cites the statute text (NRS 86.561, 86.263, 76.100, 76.130) and the SOS / bizhub Annual List instructions PDF revised 7/1/2026. Where the portal checkout differs, pay what SilverFlume / Orion shows and keep the receipt. City/county licenses, Department of Taxation accounts, and commercial registered-agent invoices sit outside this table.

Do not treat Nevada as a tax or privacy magic trick. An LLC is a public filing. The registered agent’s name and address go on the record. Out-of-state operators who form in Nevada and work at home still owe home-state foreign qualification and Nevada’s recurring list and license fees. Privacy products that promise invisibility are selling something the statute does not offer.

File in Nevada if the work is in Nevada

A domestic Nevada LLC is organized by filing Articles of Organization with the Nevada Secretary of State (NRS Chapter 86). The formation packet also includes the Initial List of Managers or Managing Members and the State Business License application — three separate instruments, three separate fees. Online filing runs through Nevada SOS (SilverFlume / Orion, linked from nvsos.gov). Mail filing is also accepted. A company already formed somewhere else that wants to transact business in Nevada files a foreign registration — also $75 for registration under NRS 86.561 — plus Initial List and Business License.

Filing in Nevada does not erase obligations where you actually live and work. A Nevada LLC that transacts business in Georgia, California, or another home state still needs that state’s registered agent and foreign qualification, plus Nevada’s agent, list, and license. Home-state domestic filing is the cheaper default for a one-state operator. Multi-state registration overview: Foreign LLC and certificate of authority.

What to have on the desk before opening Nevada SOS online

Checked against NRS 86.561 / 86.263 / 76.100, the SOS Business Forms page, and the Annual List instructions on 7 October 2026:

Nevada filing checklist

Confirm each item before you start the SilverFlume / Orion session.

Five steps to form on Nevada SOS online

  2. Gather Articles, Initial List, Business License, and Nevada street agent. Distinguishable LLC name, Articles details, Nevada street registered agent, managers or managing members for the Initial List, and State Business License information.
  3. File on Nevada SOS online (SilverFlume / Orion). Use nvsos.gov and file Articles together with the Initial List and State Business License, or mail the formation packet.
  4. Pay $425. That is $75 Articles + $150 Initial List + $200 State Business License. Expedite is optional. Pay what the portal shows and keep the receipt.
  5. Get an EIN after the filings are accepted. Form the state entity first, then apply free on IRS.gov — Get an EIN after the state entity exists.

After the Articles of Organization are filed

Formation with the SOS is not a Nevada Department of Taxation account, a local business license, a sales-tax permit, or a professional license. Those have their own filings. The State Business License filed with the SOS is a statewide SOS instrument — not a city or county license.

The IRS tells applicants to form the state entity first, then obtain an Employer Identification Number. That application on IRS.gov is free. Walk through it on Get an EIN after the state entity exists. After the EIN, park operating cash and, if the work calls for it, open a brokerage. See First business checking account and First brokerage — and which ones pay sites like this.

Next: the money path. After the Articles of Organization is accepted:

  1. Get an EIN — free on IRS.gov after the state entity exists
  2. Open business checking — park operating cash in the LLC’s name
  3. First brokerage — only if the work needs one

Full first-30-days desk list: After you form an LLC. Setup overview on the setup checklist. Formation shops, if you want one instead of DIY, stay in the callout above.

Nevada does not require an operating agreement to be filed with the Articles of Organization (SilverFlume may offer an optional digital OA that is not recorded by SOS). A written agreement still matters between members. Banks often ask for one anyway. See LLC operating agreement basics.

Annual List + Business License — $350 on the anniversary month

Keep the three instruments separate in your calendar:

  • Articles of Organization — one-time formation filing ($75).
  • Initial List at formation, then Annual List each year ($150).
  • State Business License at formation, then annual renewal ($200 for LLC Title 7 entities).

After formation, the Annual List and Business License renewal are due together by the last day of the month in which the anniversary of formation falls (SOS Annual List instructions revised 7/1/2026; NRS 76.130). Combined recurring SOS cost for a typical LLC: $350 per year.

Cross-state renewals: LLC annual report and annual registration. Overview of admin status vs reinstate: Reinstate an administratively dissolved or revoked LLC (confirm catch-up lists and license penalties on the portal before filing).

Nevada LLC FAQ

How much does it cost to form an LLC in Nevada?
Three instruments at formation: Articles of Organization $75 (NRS 86.561), Initial List of Managers or Managing Members $150 (NRS 86.263), and State Business License $200 (NRS 76.100) — $425 total before any expedite. File through Nevada SOS online (SilverFlume / Orion via nvsos.gov) or by mail. Pay what the portal shows and keep the receipt.
Does a Nevada LLC file an annual report?
Nevada uses an Annual List of Managers or Managing Members ($150) plus the State Business License renewal ($200) — $350 combined — due by the last day of the anniversary month of formation each year (NRS 86.263 / NRS 76.130; SOS Annual List instructions revised 7/1/2026). These are separate instruments from the Articles. Cross-state renewals: LLC annual report and annual registration.
Is forming in Nevada a tax shelter if I live and work somewhere else?
No. For a one-state operator, home-state filing is the honest default. A Nevada LLC that transacts business in your home state still needs a home-state registered agent and foreign qualification there — plus Nevada’s agent, Initial/Annual List, and Business License. Nevada is not a privacy or tax magic trick for out-of-state operators. Multi-state overview: Foreign LLC and certificate of authority.
Does a Nevada LLC need a registered agent?
Yes. Articles of Organization require a Nevada registered agent with a Nevada street address. DIY versus commercial tradeoffs: Registered agent basics for a new LLC.
Does a domestic Nevada LLC need newspaper publication?
No. The Nevada SOS Articles of Organization path and NRS Chapter 86 do not include a newspaper publication step for a standard Nevada LLC. Skip any “Nevada LLC publication” add-on that is not on the Articles path. New York LLCs do publish under a different statute — see How to form an LLC in New York.
Do I get an EIN before or after filing the Nevada LLC?
After the Articles of Organization (and accompanying Initial List / Business License) are accepted. The IRS tells applicants to form the state entity first; the EIN application on IRS.gov is free. Walkthrough: Get an EIN after the state entity exists. After the EIN, park operating cash in a dedicated account — see First business checking account.
Does Nevada require an operating agreement to be filed?
No. Nevada does not require an operating agreement to be filed with the Secretary of State. Banks often still ask for one, and a single-member LLC still benefits from a short written ownership document. Basics: LLC operating agreement basics.

  • City/county business licenses, Department of Taxation accounts, sales-tax permits, or professional licenses.

  • Telling an out-of-state operator to file Nevada as a sophistication, privacy, or tax upgrade.
