How to form an LLC in North Carolina (2026)

File a North Carolina LLC online in five steps: Form L-01 Articles of Organization on sosnc.gov Business Creation, $125 state fee plus a $3 card or $2 ACH e-fee, NC registered agent with a physical office. Annual report $200, due April 15 starting the year after formation. Then a free EIN.

This page is for a person who lives in North Carolina, will do the work from North Carolina, and is choosing between remaining a sole proprietor and filing a domestic North Carolina LLC. It is a filing walkthrough, not a recommendation that every 1099 earner needs an LLC. Compare the structures on LLC vs sole proprietorship.

Formation Lane is not forming a North Carolina LLC. A Georgia operator who lives and works in Georgia should not treat this page as a reason to file in North Carolina.

Short version for 2026: file Form L-01 (Articles of Organization) on sosnc.gov Business Creation, expect $125 plus the published electronic fee ($3 card / $2 ACH), keep a North Carolina registered agent with a physical office, skip any newspaper “publication” add-on, then calendar the April 15 annual report for each year after the year of creation ($200; $203 online by card).

Expedites of $200 same day or $100 within 24 hours are optional. There is no newspaper publication, and the first $200 annual report is due the year after formation.

Ordinary processing times change; confirm current turnaround on sosnc.gov at filing time. If the portal shows another line item at checkout, pay what the state shows and keep the receipt.

What do I need before filing Form L-01?

Have four things ready: a distinguishable LLC name checked against the Business Registration search on sosnc.gov, a North Carolina registered agent who has agreed to serve at a physical North Carolina registered office, the organizer’s name and signature, and any member or manager details the current Form L-01 or Creation Wizard asks for.

  • Name: search the Business Registration database before ordering letterhead. Holding a name ahead of filing is a separate reservation (Form BE-03), which most single-member filers skip by filing the articles right away.
  • Registered agent and office: details in the registered-agent section below. Get the agent’s consent before naming them.
  • Organizer and members or managers: the current form or wizard lists exactly which lines it needs.

North Carolina does not require an operating agreement to be filed with the Articles of Organization. A written agreement still matters between members, and banks often ask for one. See LLC operating agreement basics. Professional LLCs (PLLC-02) and conversions (L-01A, L-01B) use different forms and are out of scope here.

How do I file Articles of Organization (Form L-01) online?

Sign in to an NCSOS web account on the Secretary of State’s Business Creation page. Use the Creation Wizard, which asks guided questions and checks the name as you go, or the classic method, which uploads a completed and signed Form L-01 PDF. Paper Form L-01 can also be mailed. Pay $125 plus the electronic fee and keep the receipt.

  1. Confirm you live and work in North Carolina. Use this path only if you live in North Carolina and will do the work from North Carolina. A Georgia operator should not treat North Carolina filing as a default upgrade.
  2. Gather Form L-01 information. Have a distinguishable LLC name, a consenting North Carolina registered agent with a physical North Carolina registered office, and the organizer and member or manager information the current Form L-01 or Creation Wizard requires.
  3. File on Business Creation. Sign in to an NCSOS web account at sosnc.gov/online_services/business_creation and use the Creation Wizard or the classic Form L-01 PDF upload, or mail paper Form L-01 if you are not filing online.
  4. Pay the $125 filing fee. Pay the $125 Articles of Organization fee under N.C.G.S. § 57D-1-22. Online checkout also charges the published $3 card or $2 ACH electronic fee. Pay what the portal shows and keep the receipt.
  5. Get an EIN after the articles are accepted. After the Articles of Organization are accepted, obtain an Employer Identification Number free on IRS.gov. Form the state entity first.

A company already formed somewhere else that wants to transact business in North Carolina files an Application for Certificate of Authority (Form L-09, $250 on the SOS LLC forms list), not Form L-01. Filing in Wyoming, Delaware, or Georgia does not move North Carolina work out of North Carolina; home-state filing is the cheaper default for a one-state operator. Overview: Foreign LLC and certificate of authority.

Do I need a North Carolina registered agent with a physical address?

Yes. Every North Carolina LLC needs a registered agent who keeps a physical registered office in North Carolina where it can receive service of process. An individual agent must live in North Carolina, so you can be your own agent if you live here. The mailing address may be a P.O. box, but the physical office cannot.

An entity agent must be a corporation, nonprofit, or LLC that is registered and authorized in North Carolina, with a business office address identical to the registered office. The SOS registered-agent page says to update the agent name and office within 60 days of any change (Form BE-06, $5); missing that update gives the Secretary of State grounds for administrative dissolution. DIY versus commercial tradeoffs: Registered agent basics for a new LLC.

Do not try to hide from the Secretary of State. An LLC is a public filing. The registered agent’s physical North Carolina office goes on the record so the state and private parties can serve the company. Privacy products that promise invisibility are selling something the statute does not offer.

When is the North Carolina LLC annual report due, and how much is it?

Every North Carolina LLC files an annual report due April 15 of each year after the year it was created, not in the formation year. The fee is $200 under N.C.G.S. § 57D-1-22. The Secretary of State lists it at $200 on paper and $203 online by card, which includes the $3 electronic fee; ACH online adds $2.

An LLC formed in 2026 files its first annual report by April 15, 2027. Confirm the current-year portal and any processor line before the deadline. Reinstatement after administrative dissolution is Form L-08 at $100 on the LLC forms list, plus any delinquent reports the portal requires — see Reinstate an administratively dissolved or revoked LLC. Cross-state renewals: LLC annual report and annual registration. This page does not compute anyone’s tax.

Do I get an EIN before or after filing the North Carolina LLC?

After the Articles of Organization are accepted. The IRS tells applicants to form the state entity first, and the EIN application on IRS.gov is free. Use the EIN to open a separate business account so LLC money stays out of your personal checking from day one.

Walk through it on Get an EIN after the state entity exists, then First business checking account. Formation with the Secretary of State is not a Department of Revenue tax account, a sales-tax registration, a city license, or a professional license. Those have their own filings.

Next: the money path. After the Articles of Organization is accepted:

  1. Get an EIN — free on IRS.gov after the state entity exists
  2. Open business checking — park operating cash in the LLC’s name
  3. First brokerage — only if the work needs one

How do I keep track of North Carolina LLC deadlines after filing?

North Carolina LLCs file a $200 annual report by 15 April each year, starting the year after formation (N.C.G.S. § 57D-1-22 lists the $200 fee). Put each date in a calendar the day the state accepts your filing. The free LLC deadline tracker lists recurring state dates for every state in one place, so you can check yours without signing up for anything.

What do the North Carolina filing terms mean?

  • Articles of Organization (Form L-01): the state form that creates the LLC ($125).
  • Registered agent: a person or company with a North Carolina physical address who accepts legal papers for the LLC.
  • E-fee: the small extra charge for paying online — $3 by card or $2 by ACH bank transfer.
  • Annual report: the yearly $200 update due 15 April.
  • EIN: Employer Identification Number — the free federal tax ID from the IRS.
