Transfer LLC ownership (2026)
Transfer LLC ownership: assign or gift membership interest under the operating agreement first (not a free SOS change-owner button), then update the SOS listing only when the annual report, Statement of Information, or articles collect member fields. Full company sale, asset sale, and dissolve are different desks; tax classification can flip with member count — CPA for basis and EIN questions.
Selling or gifting LLC membership interest is usually a private transfer under the operating agreement (assignment, consent, buy-sell) — not a free SOS “change owner” button — then update public manager/member listings when the state requires it; banks, licenses, and tax facts follow. This is a desk map, not a purchase-agreement template.

Short version for 2026: OA / assignment / consent / consideration → SOS listing when required → bank KYC → licenses & contracts → tax basis / classification / EIN with CPA. Formation Lane does not invent purchase-price formulas, deal math, or a “Form X in every state” rule.
Before you transfer membership interest
Separate private assignment from public SOS fields, bank KYC, licenses, and tax desks.
- Current operating agreement (assignment, transfer, buy-sell, consent, right-of-first-refusal rules) — or a written plan with counsel if there is no deal
- Assignment / transfer docs and consideration records the company will keep with its binder
- Clear path: transfer between existing parties vs admitting someone new vs removing someone vs selling assets vs dissolving the company
- Formation-state portal check: do AR / SOI / articles collect manager or member listings?
- Bank KYC plan: beneficial owners, authorized signers, updated OA / assignment packet for the account file
- License / contract / lease list that cares about ownership or change-of-control
- CPA / attorney lined up for basis, capital accounts, gift/estate facts, classification, and any EIN questions — no invented tax outcomes here
- Legal name and control / file number matching the official SOS portal
How do I transfer LLC ownership?
Selling or gifting LLC membership interest is usually a private transfer under the operating agreement (assignment, consent, buy-sell) — not a free SOS “change owner” button — then update public manager/member listings when the annual report, Statement of Information, or articles require it. Banks, licenses, and tax desks follow separately. Desk map — not a purchase-agreement template.
- Follow the OA / transfer docs / consent / consideration records. Use the operating agreement’s assignment, transfer, buy-sell, and consent rules (or default statute if there is no written deal). Document who transfers what interest, what consideration (if any) moves, and the updated membership schedules. Keep written consents and amended schedules with the company records. Do not invent a purchase-price formula on this page.
- Update the SOS public listing when required. File the annual report, Statement of Information, articles amendment, or other published instrument when your state lists managers or members on the public record. Confirm the instrument and any fee on the official portal — do not invent a national transfer-ownership form.
- Update bank KYC and beneficial owners. Give the bank the updated ownership chart, operating agreement / assignment packet, and authorized-signer list. Beneficial-ownership and control disclosures should match the new facts. An SOS acceptance alone does not rewrite the signature card.
- Map licenses, permits, leases, and contracts. Licenses, permits, leases, lender covenants, and customer contracts often have notice or consent clauses for ownership or change-of-control. Map those desks against the stamped OA / assignment packet — not against a website “team” page alone.
- Map tax classification, basis, and EIN facts with a CPA. Transfers can affect capital accounts, basis, gift or estate treatment, and (when membership count flips) default federal classification language on IRS LLC pages. Whether the LLC needs a new EIN, a different return type, or an updated responsible party (Form 8822-B) is a CPA question — this publisher does not invent tax outcomes or deal math.

Is transferring ownership an SOS button I can click for free?
Usually no. Membership-interest assignment is first an internal operating-agreement, consent, and consideration path. The SOS public record updates when your state’s annual report, Statement of Information, articles amendment, or other published instrument collects manager/member listings — at whatever fee that portal publishes. Confirm on the official formation-state portal; this page invents no national transfer fee or form number.
| What changed | Usual desk | Not the same as |
|---|---|---|
| Who owns membership interests / capital / voting after the transfer | Operating agreement + assignment / consent / consideration records | A free SOS “change owner” button |
| Manager or member names on the public record | Annual report / SOI when that is the published path; articles amendment when the formation doc itself must change | Silent letterhead or website “team” page alone |
| Bank signers and beneficial owners | Bank KYC / account update with matching OA and assignment packet | SOS acceptance alone rewriting the signature card |
| Licenses, leases, contracts with ownership / change-of-control clauses | Each agency or counterparty’s own notice / consent path | One SOS stamp covering every license desk |
| Tax basis, capital accounts, gift/estate facts, classification, EIN | CPA / attorney — Formation Lane invents no tax outcomes | Invented purchase-price formulas or Form X in every state |
Patterns cited from official pages (re-checked 6 October 2026) — no invented national fee:
- California — SOI vs LLC-2. Form LLC-2 (articles amendment, REV 12/2024) says manager and agent changes go on a Statement of Information (Form LLC-12), not LLC-2. Siblings: Amend LLC articles, Add a member to an LLC, Remove a member from an LLC, How to form an LLC in California.
- Georgia and Florida — recurring information filings. Georgia’s annual registration and Florida’s Sunbiz annual report (which updates or confirms Division of Corporations records and can add, delete, or change managers and authorized members) can refresh public-record fields when those portals collect manager or member lines. Fees and windows live on LLC annual report and annual registration.
Other formation states name their own annual report, biennial statement, Statement of Information, articles amendment, or mid-year change instrument. Use that state’s SOS fee schedule and the matching form-LLC guide.
Add a member vs remove a member vs transfer between existing parties?
Different desk maps. Bringing someone new on: Add a member to an LLC. Taking someone off: Remove a member from an LLC. Moving interest under the OA is this transfer page — assignment, consent, schedules first, then SOS listing when required. Planning triggers, ROFR, or valuation: Buy-sell agreement for an LLC. Do not collapse planning and execution into one click.
| Path | Usual desk | Not the same as |
|---|---|---|
| Admit a new member | OA admission + capital records — see add-member-to-llc | A free SOS “add owner” button |
| Remove a member / buyout / redemption | OA buy-sell / redemption — see remove-member-from-llc | A free SOS “delete owner” button |
| Voluntary withdrawal / dissociation (member’s-eye exit) | OA notice + statute effects — see withdraw-as-llc-member | Treating every exit as a sale of the interest |
| Transfer interest between parties (sale or gift) | OA assignment / consent / consideration + updated schedules (this page) | A free SOS “change owner” button or a Formation Lane purchase agreement |
| Wind up the whole LLC | Dissolution / cancellation — see dissolve-cancel-llc | Membership cleanup that leaves the company running |
If someone is resigning without a buyer lined up, start on Withdraw as an LLC member. If the company is forcing someone out or cleaning up after a buyout, use Remove a member from an LLC. Planning the triggers, ROFR, and valuation method before a deal lands: Buy-sell agreement for an LLC. Ending involvement by shutting the company down instead of selling: Close the LLC vs sell membership.
Full company sale vs asset sale vs dissolve?
Not the same path. Transferring membership interest usually keeps the same LLC alive with new or shifted owners. Selling company assets while the entity stays is a different contract desk. Winding up the whole company is dissolution: Dissolve or cancel an LLC. Formation Lane invents no M&A playbooks, purchase-price formulas, or closing checklists — counsel when stakes are real.
| Deal shape | Usual desk | Not the same as |
|---|---|---|
| Membership-interest transfer (this page) | OA assignment / consent / consideration; LLC usually stays alive | An asset-sale closing checklist invented here |
| Asset sale while the LLC stays in place | Asset-sale contracts + counsel — not membership assignment alone | Membership-interest transfer playbook invented here |
| Wind up / dissolve the whole company | Dissolution / cancellation on the SOS — see dissolve-cancel-llc | Ownership cleanup that leaves the company running |
Formation Lane does not draft purchase agreements, allocate purchase price, or run due diligence. When the question is whether to sell out or shut down, compare Close the LLC vs sell membership before anyone signs. Dissolution walkthrough: Dissolve or cancel an LLC.
Do not treat a website “team” page or verbal handshake as a transfer. Banks, the IRS, and courts key off the operating agreement, assignment / consent records, and (when required) the SOS public listing. Skipping the OA while “updating the SOS later” is how ownership fights and KYC mismatches start. Do not invent a purchase price from this page.
Does a transfer change federal tax classification?
It can when membership count or elections change — for example a single-member LLC becoming multi-member, or the reverse. IRS materials describe default disregarded versus partnership framing by member count unless corporate treatment is elected. Basis, built-in gain, and gift or estate treatment are CPA / attorney desks. Framing: Single-member vs multi-member LLC. Confirm IRS LLC pages and Publication 3402.
Publication 3402’s “Change in default classification” paragraphs (re-fetched 6 October 2026) cite Regulations section 301.7701-3(f)(2) for both directions: a partnership-classified LLC reduced to one member becomes disregarded by default, and a disregarded single-member LLC that gains a member becomes a partnership by default — unless a corporate election is already in effect. The IRS “LLC filing as a corporation or partnership” page states the same defaults (at least two members → partnership; one member → disregarded; either can file Form 8832). A single-member LLC is still a separate entity for employment and certain excise taxes. If an S election is in play, map eligibility and consents on LLC S corporation election. Formation Lane does not invent your final return, gain or loss, basis math, or a filing deadline; a CPA does.
IRS responsible-party changes use Form 8822-B (re-fetched 6 October 2026). The IRS “When to get a new EIN” page (formerly “Do you need a new EIN?”; last reviewed 21 July 2026) lists LLC and partnership cases but does not spell out every single- ↔ multi-member fact pattern — that is why the EIN question goes to a CPA rather than this page. Maps: Change EIN responsible party and Get an EIN. The bank keeps its own file: send the amended operating agreement, the ownership percentages it asks for, and the updated signer list.
After the records match
Keep the amended operating agreement, assignment / consent docs, consideration records, capital schedules, and any SOS acceptance with the formation packet. Then continue when it still applies: business checking KYC, EIN responsible-party updates, annual report calendar, and the first-30-days desk list on After you form an LLC. If you are admitting someone new instead, use Add a member to an LLC. If someone is exiting without a continuing co-owner swap, use Remove a member from an LLC or Withdraw as an LLC member. If you are closing the company, use Dissolve or cancel an LLC.
Next: the money path. After the membership transfer / ownership update is accepted:
- Get an EIN — free on IRS.gov after the state entity exists
- Open business checking — park operating cash in the LLC’s name
- First brokerage — only if the work needs one

- Do I need to update the bank and licenses?
- Usually yes for the bank: KYC, authorized signers, and beneficial-ownership disclosures should match the new ownership chart — First business checking account. Licenses, permits, leases, and contracts that care about change-of-control or ownership updates are separate desks — map them against the stamped OA / assignment packet, not against a website “team” page alone. Tax basis, capital accounts, and elections stay with a CPA / attorney — Formation Lane invents no tax outcomes.
- When do articles need an amendment vs the annual report?
- Use an articles amendment when the formation document itself states management structure or member facts the statute requires you to amend — Amend LLC articles. In many states, manager/member listings ride the annual report or Statement of Information instead — LLC annual report. California’s Form LLC-2 notes that manager (and related) changes go on a Statement of Information, not LLC-2. Confirm the live instrument on your SOS portal.
- Is this page legal or tax advice?
- No. Formation Lane publishes a process map: which desks usually move when membership interest is assigned, sold, or gifted. Purchase price, securities questions, gift tax, basis, and deal docs belong to counsel and a CPA who can see your facts. Formation Lane does not transfer interests, file SOS updates, or prepare tax forms for anyone.
