Manager-managed vs member-managed LLC (governance) (2026)

Manager-managed vs member-managed is a governance choice — who may bind the LLC day-to-day — usually set in the operating agreement and sometimes on SOS governing-authority fields. Not the same as single- vs multi-member, and not a tax election. High-level compare map; confirm on SOS + IRS; counsel apply the facts.

Manager-managed vs member-managed is an operating / governance choice — who may bind the LLC day-to-day — usually set in the operating agreement and sometimes reflected in state filings. It is not the same as single- vs multi-member, and it is not a tax election. This page maps the desks; it does not tell you which structure to choose.

Short version for 2026: decide who runs ordinary business, put that in the OA, match any SOS governing-authority fields, and keep membership count and IRS elections on separate maps. Confirm labels on your official SOS portal — Formation Lane invents no national form numbers or fees. This page does not invent a bright-line “always choose manager-managed” rule.

Desks to settle before you pick a management label

Process map only — not a recommendation to choose member-managed or manager-managed.

  • Written list of owners (membership interests) — separate from who will manage day-to-day
  • Who should have authority to bind the LLC in ordinary contracts and banking
  • Whether any owner will be passive (no day-to-day binding authority)
  • Live SOS form open — note managers / members / governing-authority fields
  • Draft operating agreement that states the same management structure
  • Tax classification kept on a separate desk (membership count + IRS elections — not this label)
  • Plan for EIN + LLC-name checking with signer authority matching the OA

What is member-managed vs manager-managed for an LLC?

Member-managed means the owners (members) generally run day-to-day affairs and can bind the LLC in the ordinary course. Manager-managed means the operating agreement — and, when the state form asks, the public filing — names one or more managers for that role; members may own without day-to-day binding authority. Confirm on your SOS / LLC statute and signed operating agreement.

Five desk steps to document the choice before you file:

  1. Separate ownership count from day-to-day authority. List who will own membership interests (single- vs multi-member) and, separately, who should have authority to run ordinary business and bind the LLC. Do not treat those as the same checkbox.
  2. Read the live SOS governing-authority fields. Open the home-state Articles / Certificate form and note whether it asks for managers vs members, governing authority, or similar labels. Field labels vary — use the official portal, not a blog screenshot. Texas Form 205 is one pattern peer that requires stating whether the LLC initially has managers.
  3. Put the same story in the operating agreement. Draft a signed operating agreement that states member-managed or manager-managed (or the state equivalent), names managers if any, and covers powers, duties, and limits. The OA is usually not filed with the SOS.
  4. Keep tax classification on a separate desk. Default federal LLC classification language tracks membership count and elections (Forms 8832 / 2553 paths), not the member- vs manager-managed label. Confirm on IRS LLC materials.
  5. File, then bank with matching signer authority. Submit SOS facts that match the OA. After acceptance: free EIN, LLC-name checking, and KYC answers that match who the OA authorizes to act.

Is manager-managed the same as single-member vs multi-member?

No. Single- vs multi-member is an ownership count fact. Manager- vs member-managed is a governance / who may bind the company choice. You can run either structure with one owner or several — including a non-member manager when passive investors should not bind the LLC day-to-day. In plain publisher language: a member-managed LLC puts ordinary-course authority with the members. A manager-managed LLC designates one or more managers for that role; members may own interests without day-to-day binding power. Exact default rules, required filings, and who can bind the company against third parties are state statute questions — read your formation state’s LLC act and the live SOS instrument. This site does not invent statutory defaults for all 50 states.

Membership count answers “how many owners.” Management structure answers “who runs ordinary business.” Mixing the two creates OA / SOS / bank mismatches. Ownership-count map: Single-member vs multi-member LLC. Still choosing entity type? LLC vs corporation · LLC vs sole proprietorship.

Not a tax election: labeling the LLC manager-managed does not elect corporate treatment, partnership returns, or S corporation status. Those are IRS desks (default classification by membership count; Form 8832 / Form 2553 paths when eligible). Confirm on current IRS LLC materials and Publication 3402. Where is the management structure set — articles or operating agreement?

Usually in the operating agreement (powers and duties of members or managers). Some states also ask governing authority — managers vs members — on the formation instrument, or refresh names on an annual report or Statement of Information. Texas Form 205 is one pattern peer that requires stating whether the LLC initially has managers. Read the live SOS form.

The SBA describes the OA as covering powers and duties of members or managers, among other subjects, and notes that operating agreements are usually kept with company records — not filed with the SOS. State registration packets often collect ownership, management structure, or directors among other basics. Some formation instruments ask you to declare managers vs members at filing (Texas Form 205 Article 3 is a clear pattern peer). Later, many states refresh manager/member names on an annual report, annual registration, or Statement of Information; some require an articles amendment when the formation document itself states management facts. Confirm the live instrument and any fee on the official portal — do not invent a national management-change form number from this page.

What if we change from member-managed to manager-managed later?

Treat it as a governance change: amend the operating agreement first, then update any public manager/member listing your state requires — articles amendment in some cases; annual report or Statement of Information in many others. Related desks: Appoint an LLC manager and Amend an LLC operating agreement. Confirm the live instrument and fee on your SOS portal.

  • Appoint / name a manager: Appoint an LLC manager — OA / consent first; SOS public-listing refresh when the state collects manager fields.
  • OA amendment path: Amend an LLC operating agreement — private member contract change, usually not an SOS filing by itself.
  • Public formation facts: Amend LLC articles when the formation instrument itself stated management facts your state requires you to refresh that way.
  • Periodic listing refresh: LLC annual report / Statement of Information — many states refresh manager or member names here.

After any governance change: keep the signed OA amendment with the formation packet, then update bank KYC / signers so the “who can act” story matches — business checking · first-30-days sequence: After you form an LLC.

Does the bank care about member-managed vs manager-managed?

Often yes for signers and control. Banks open accounts in the LLC legal name and ask who is authorized to act. A member-managed OA and a manager-managed OA produce different “who can sign” stories. Have stamped articles, EIN, and a matching OA ready — First business checking account and Get an EIN.

After the state entity exists, get a free EIN when banking or IRS rules call for one — Get an EIN — then open checking in the LLC legal name with authorized-signer answers that match the OA (member authority vs named manager). EIN lifecycle desks stay separate from the management-structure label.

Next: the money path. After the LLC articles with matching management / governing-authority facts is accepted:

  2. Open business checking — park operating cash in the LLC’s name
  3. First brokerage — only if the work needs one

No. Federal tax classification for domestic LLCs is generally driven by membership count and whether you file elections such as Form 8832 or Form 2553 — not by whether the operating agreement labels the company member-managed or manager-managed. Confirm default classification language on the IRS LLC pages. Desk maps: single- vs multi-member and LLC S corporation election. Formation Lane does not invent tax outcomes from a management label.
