Appoint an LLC manager (2026)

How to appoint an LLC manager — operating-agreement amendment and written consent first, then SOS public-listing refresh when the annual report, Statement of Information, or articles collect manager fields, then bank KYC / signer updates. Distinct from admitting a member or hiring an employee. High-level process map; confirm on SOS; counsel apply the facts.

By Formation Lane Editorial · Page dated 6 October 2026

Appointing an LLC manager is a governance / authority change — who may bind the company day-to-day — usually an operating-agreement amendment plus written consent or minutes, then a Secretary of State public-listing refresh when the annual report, Statement of Information, or articles collect manager fields, then bank KYC / signer updates. It is not the same as adding a member (ownership), hiring an employee (payroll), or merely reading the manager- vs member-managed structure comparison. This page maps the desks; it does not invent a 50-state “appoint manager” form table.

Short version for 2026: confirm / move to manager-managed in the OA → name managers and document consent → update SOS listing when required → bank KYC. Keep membership-count tax desks separate — appointing a manager is not a Form 8832 or Form 2553 by itself.

Before you treat a title on LinkedIn as an LLC manager appointment

Separate governance authority from ownership admission and from W-2 hiring.

  • Current operating agreement: management structure, manager appointment / removal, consent thresholds
  • Clear role: manager (day-to-day authority) vs member (ownership) vs employee (payroll)
  • Written amendment or restated OA naming managers and powers — signed and kept with company records
  • Written consent or meeting minutes documenting the appointment
  • Formation-state portal check: do AR / SOI / articles collect manager listings?
  • Bank KYC plan: authorized signers and control story matching the OA
  • Attorney lined up for contested control; CPA if tax elections are also in play

How do I appoint a manager for an LLC?

Start with the operating agreement: move to (or confirm) manager-managed governance, name the manager(s), and set powers, duties, and limits — usually by written amendment and member consent. Record the appointment in minutes or written consent. Then update the SOS listing when the annual report, Statement of Information, or articles collect manager fields, and update bank KYC / authorized signers.

Five desk steps in order:

  1. Read the OA and decide manager-managed authority. Confirm whether the LLC is already manager-managed or still member-managed. If you are changing structure or naming new managers, follow the OA amendment / consent rules (or formation-state default). Structure framing: manager-managed vs member-managed.
  2. Name the manager(s) and document powers in the OA. Amend or restate the operating agreement to name managers, set powers, duties, limits, and removal / vacancy rules. Keep the signed amendment with company records. Do not invent equity math or employment classification from a manager title.
  3. Record written consent or meeting minutes. Document member (and any required manager) approval of the appointment or structure change with written consent in lieu of a meeting or meeting minutes — date, signers, and the action approved.
  4. Update the SOS public listing when required. File the annual report, Statement of Information, articles amendment, or other published instrument when your state lists managers on the public record. Confirm the instrument and any fee on the official portal — do not invent a national appoint-manager form.
  5. Update bank KYC and authorized signers. Give the bank the updated operating agreement, authorizing consent/minutes, and signer list that matches who may bind the LLC. An SOS acceptance alone does not rewrite the signature card.

Do I need to file something with the Secretary of State?

Sometimes. Manager authority lives first in the operating agreement and company records. The SOS public record updates when your state’s annual report, Statement of Information, or articles amendment collects manager listings — fees are whatever that portal publishes. Texas Form 205 and California’s SOI path are pattern peers. Confirm the live instrument; this page invents no national “appoint manager” form.

Ownership and manager authority live first in the operating agreement — see Operating agreement vs articles. The SOS public record updates when your state’s instrument collects manager listings. Two patterns already documented on Formation Lane siblings:

  • Texas — governing authority at formation. Form 205 Article 3 requires the certificate to state whether the LLC initially has managers (and list them) or does not (and list initial members). Later changes still need the live SOS path for your facts — instructions: Texas SOS Form 205. Process sibling: How to form an LLC in Texas.
  • California — SOI vs LLC-2. Form LLC-2 (articles amendment, $30) notes that business address, manager name/address, and agent-for-service changes go on a Statement of Information (Form LLC-12), not LLC-2. LLC-2 does include a Management checkbox when you are amending whether the LLC is managed by one manager, more than one manager, or all members. Process siblings: Amend LLC articles, Change LLC address, How to form an LLC in California.
  • Annual report / registration as the information filing. Georgia’s annual registration and Florida’s Sunbiz annual report (which can add, delete, or change managers) are recurring SOS information filings that can refresh public-record fields when those portals collect manager lines. Fee and window detail lives on LLC annual report and annual registration — not as a new invented “appoint manager” fee here.

Other formation states name their own annual report, biennial statement, Statement of Information, articles amendment, or mid-year change instrument. Use that state’s SOS fee schedule and the matching form-LLC guide.

Do not treat a website “Managing Partner” label, a verbal handshake, or a W-2 job title as the LLC manager appointment. Banks, counterparties, and courts key off the operating agreement, authorizing consent/minutes, and (when required) the SOS public listing. Skipping the OA while “updating the SOS later” is how authority fights and KYC mismatches start.

Can a non-member be a manager?

Often yes where the statute and OA allow — a common reason to choose manager-managed governance (passive owners; professional manager). A manager can be a member, a non-member individual, or (where allowed) an entity. Exact defaults and filing labels are state-specific. Put the same story in the OA, any required SOS listing, and the bank signer card.

Structure framing — when passive owners should not bind the LLC day-to-day — lives on Manager-managed vs member-managed LLC. Appointing a manager is not admitting an owner: ownership admission is Add a member to an LLC. It is also not a W-2 hire by itself: payroll desks are Hire your first employee after you form an LLC. One person can hold stacked roles; that does not collapse the desks into one filing.

Not a tax election by itself: IRS materials describe default federal income-tax treatment for domestic LLCs by membership count and by elections such as Form 8832 or Form 2553 — not by whether the OA labels the company member-managed or manager-managed. Confirm on the current IRS LLC pages and Publication 3402. Membership-count framing: Single-member vs multi-member LLC. S election desk: LLC S corporation election.

Does the bank need an update when I appoint a manager?

Often yes for signers and control. Banks ask who is authorized to bind the LLC. After you appoint a manager, give the bank the updated operating agreement, authorizing consent or minutes, and a signer list that matches who may act. An SOS acceptance alone does not rewrite the signature card — First business checking account.

Give the bank the updated OA, consent/minutes, and signer list that matches who may bind the LLC. A stamped SOS acceptance alone does not rewrite the signature card — First business checking account. If the LLC also needs an EIN or EIN-letter refresh for KYC, keep that on the Get an EIN desk — management label ≠ tax election.

Concept map only for apparent authority / member–manager disputes: LLC fiduciary duties · LLC indemnification — attorney owns contested control. Formation Lane does not draft OAs or litigate for you.

Can I remove or replace a manager later?

Follow the operating agreement’s removal, vacancy, and succession rules and the consent threshold they require (or the formation-state default if the OA is silent). Record the change in written consent or minutes, refresh any SOS manager listing when required, and update bank KYC. Related desk: Remove or replace an LLC manager. Disputes → attorney.

  • Full remove / replace walkthrough: Remove or replace an LLC manager — OA / statute authorization, consent or minutes, SOS listing refresh when required, bank KYC.
  • OA amendment path: Amend an LLC operating agreement — private member contract change, usually not an SOS filing by itself.
  • Public formation facts: Amend LLC articles when the formation instrument itself stated management facts your state requires you to refresh that way.
  • Periodic listing refresh: LLC annual report / Statement of Information — many states refresh manager names here.
  • Consent thresholds: LLC voting rights — when the OA is silent, formation-state defaults fill gaps; counsel for disputes.

After the records match: keep the amended operating agreement, consents or minutes, and any SOS acceptance with the formation packet. Then continue when it still applies: business checking KYC, annual report calendar, and the first-30-days desk list on After you form an LLC. If ownership is changing instead, use Add a member, Remove a member, or Transfer LLC ownership. If you are only comparing structures before filing, use Manager-managed vs member-managed LLC.

Next: the money path. After the manager appointment / governance update is accepted:

  1. Get an EIN — free on IRS.gov after the state entity exists
  2. Open business checking — park operating cash in the LLC’s name
  3. First brokerage — only if the work needs one

Record the change in written consent or minutes, refresh any SOS manager listing when required, and update bank KYC. Related desk: Remove or replace an LLC manager. Disputes → attorney.
Is appointing a manager the same as adding a member?
No. Adding a member changes ownership (membership interests, capital accounts, and often default federal tax classification language when a second member joins). Appointing a manager changes who may bind the LLC day-to-day. A manager can be a member, a non-member individual, or (where the statute / OA allows) an entity — confirm live text. Ownership admission map: Add a member to an LLC. Structure framing: Manager-managed vs member-managed LLC.
Is appointing a manager the same as hiring an employee?
No. A manager role under the OA / LLC act is a governance / authority appointment. A W-2 employee triggers employer desks (EIN confirmation, state withholding / UI, payroll, new-hire reporting). Some people who manage day-to-day are also employees — those are stacked desks, not one button. First-hire map: Hire your first employee after you form an LLC. Formation Lane does not invent payroll classifications from a manager title.
Does appointing a manager change federal tax classification?
Usually not by itself. IRS materials describe default federal income-tax treatment for domestic LLCs by membership count (and elections such as Form 8832 or Form 2553) — not by whether the OA labels the company member-managed or manager-managed. Confirm on current IRS LLC pages. Neighbor maps: Single-member vs multi-member LLC · LLC S corporation election. Formation Lane does not invent tax outcomes from a manager appointment.
Is this page legal or tax advice?
No. Formation Lane publishes a process map: which desks usually move when you appoint (or replace) an LLC manager. Drafting appointment clauses, employment contracts, securities questions, and tax elections belong to counsel and a CPA who can see your facts. Formation Lane does not appoint managers, file SOS updates, or prepare tax forms for anyone.
