Remove a member from an LLC (2026)
Remove a member from an LLC: follow the operating agreement’s buyout or redemption path first, then update the SOS listing only when the annual report, Statement of Information, or articles collect member fields (no national fee). Dropping to one member shifts IRS default to disregarded; update bank KYC and EIN responsible party.
Taking a member off is usually an operating-agreement / buyout / interest-redemption path first — not a free SOS delete button — then update public manager/member listings when the annual report or Statement of Information (or articles) requires it; banks and tax classification can change if the LLC drops to one member. This is a desk map, not legal advice on disputes.
Neighbor desks: Withdraw as an LLC member (voluntary dissociation) · Add a member to an LLC · Transfer LLC ownership · Close the LLC vs sell membership · Buy-sell agreement for an LLC · LLC fiduciary duties · Single-member vs multi-member LLC · Operating agreement basics · Amend LLC articles · LLC annual report · Dissolve or cancel an LLC · LLC S corporation election · After you form an LLC · Business checking. Short version for 2026: OA / buy-sell / redemption → SOS listing when required → bank KYC → tax map with a CPA if MMLLC becomes SMLLC; disputes go to counsel. Formation Lane does not invent buyout formulas, expulsion remedies, or a “Form X in every state” rule.
Before you remove a member
Separate internal ownership exit from public SOS fields, bank KYC, and tax desks.
- Current operating agreement (buy-sell, transfer, redemption, dissociation, consent rules) — or a written plan with counsel if there is no deal
- Capital account / membership-interest schedule the company will keep after the exit
- Clear path: voluntary exit / negotiated buyout vs contested expulsion vs winding up the whole company
- Formation-state portal check: do AR / SOI / articles collect manager or member listings?
- Bank KYC plan: remove departed signers, refresh beneficial owners, updated OA for the account file
- CPA lined up if the LLC is dropping from multi-member to single-member default treatment (or already has an S election)
- Legal name and control / file number matching the official SOS portal
How do I remove a member from an LLC?
Start with the operating agreement: follow its buy-sell, redemption, transfer, or dissociation rules and update capital accounts and membership interests. Then update the Secretary of State listing only when the annual report, Statement of Information, or articles collect member or manager fields. Bank KYC, EIN responsible-party facts, and tax classification are separate desks.
- Follow the operating agreement and update capital accounts. Use the agreement’s buy-sell, transfer, redemption, or dissociation rules (or the formation-state default LLC statute if there is no written deal). Document who is leaving, what consideration (if any) moves, and the updated membership interests, voting, distributions, and capital accounts. Keep written consents and amended schedules with the company records. This page does not invent buyout math.
- Update the SOS public listing when required. Many states refresh manager or member names on the annual report, annual registration, or Statement of Information; some require an articles amendment when the formation document itself states management structure or member facts. Confirm the live instrument and any fee on the official portal — there is no national remove-member form.
- Update bank KYC and authorized signers. Give the bank the updated ownership chart, operating agreement, and authorized-signer list. Remove departed signers and refresh beneficial-ownership disclosures so they match the new facts. An SOS acceptance alone does not rewrite the signature card.
- Map tax classification, EIN, and S-election facts with a CPA. When the LLC drops to one member, IRS Publication 3402 describes a partnership-classified LLC becoming a disregarded entity by default unless a corporate election is in effect. Whether the LLC needs a new EIN, a final partnership return, or a different return type is a CPA question. If the responsible party changed, Form 8822-B is the published update path; S-election eligibility can also shift.
- Send disputes, deadlock, or forced expulsion to counsel. If the parties disagree on price, process, or whether someone can be forced out, that is an attorney in the formation state working from the agreement and statute — not an SOS form and not a Formation Lane remedy list. Winding up the entire company is dissolution, a separate desk from membership cleanup.
Desk maps for each step: Operating agreement basics · Buy-sell agreement for an LLC · LLC annual report · Amend LLC articles · Business checking · Single-member vs multi-member LLC · Change EIN responsible party · LLC S corporation election · LLC fiduciary duties · Dissolve or cancel an LLC.

Is removing a member an SOS button I can click for free?
Usually no. Removal is first an internal operating-agreement, buyout, or interest-redemption path. The public record changes when your state’s annual report, Statement of Information, articles amendment, or other published instrument collects member or manager listings, at whatever fee that portal publishes. Formation Lane does not invent a national remove-member fee or form number; confirm on the formation-state portal.
| What changed | Usual desk | Not the same as |
|---|---|---|
| Who owns membership interests / capital / voting after the exit | Operating agreement + buy-sell / redemption docs + capital accounts | A free SOS “delete owner” button that rewrites every desk |
| Manager or member names on the public record | Annual report / SOI when that is the published path; articles amendment when the formation doc itself must change | Silent letterhead or website “team” page alone |
| Bank signers and beneficial owners | Bank KYC / account update with matching OA; remove departed signers | SOS acceptance alone rewriting the signature card |
| Default federal income-tax framing after dropping to one member | IRS classification materials + CPA (partnership → disregarded default language) | Invented thresholds or a Formation Lane tax election |
| Dispute, deadlock, or forced expulsion | Attorney — Formation Lane does not invent remedies | SOS membership listing as a court order |
Patterns cited from official pages (re-checked 6 October 2026) — no invented national fee:
- California — SOI vs LLC-2. Form LLC-2 (articles amendment) says manager and agent changes go on a Statement of Information (Form LLC-12), not LLC-2. Siblings: Amend LLC articles, Add a member to an LLC, How to form an LLC in California.
- Georgia and Florida — recurring information filings. Georgia’s annual registration and Florida’s Sunbiz annual report (which updates or confirms Division of Corporations records) can refresh public-record fields when those portals collect manager or member lines. Fees and windows live on LLC annual report and annual registration.
Other formation states name their own annual report, biennial statement, Statement of Information, articles amendment, or mid-year change instrument. Use that state’s SOS fee schedule and the matching form-LLC guide.
Do not treat a website edit or verbal handshake as removal. Banks, the IRS, and courts key off the operating agreement, capital records, and (when required) the SOS public listing. Skipping the OA while “updating the SOS later” is how ownership fights and KYC mismatches start. Do not invent a buyout price from this page.
Voluntary exit vs expulsion vs dissolving the whole LLC?
Different desks. A voluntary exit or negotiated buyout usually keeps the company alive with fewer members; the member’s-eye view is Withdraw as an LLC member. Contested expulsion or forced dissociation is a counsel desk, and Formation Lane does not invent remedies. Duty framing: LLC fiduciary duties. Winding up the whole company is dissolution.
| Path | Usual desk | Not the same as |
|---|---|---|
| Voluntary exit / negotiated buyout or interest redemption | Operating agreement + capital accounts + consents; company usually stays alive | A free SOS “delete owner” button that rewrites every desk |
| Contested expulsion / forced dissociation / deadlock | Attorney in the formation state (agreement + statute) | Invented remedies or a Formation Lane buyout formula |
| Winding up the whole LLC | Dissolution / cancellation on the SOS — see dissolve-cancel-llc | Membership cleanup that leaves the company running |
The cleanest exits run through terms the members already signed: a buy-sell agreement or the operating agreement’s redemption and transfer clauses. When the departing member is selling an interest to another person rather than the company buying it back, the neighbor desk is Transfer LLC ownership; when the question is whether to sell out or shut the company down, see Close the LLC vs sell membership. Loyalty and care questions sit on LLC fiduciary duties — a concept map, not an expulsion playbook.
Does dropping to one member change federal tax classification?
Often the default framing does. IRS Publication 3402: when an LLC classified as a partnership is reduced to only one member, it becomes a disregarded entity, unless a corporate election is already in effect. That is IRS language, not your classification or a filing instruction; confirm with a CPA. Framing: Single-member vs multi-member LLC.
Publication 3402’s “Change in default classification” paragraph (re-fetched 6 October 2026) cites Regulations section 301.7701-3(f)(2) for the partnership → disregarded shift, and points to Rev. Rul. 99-6 and section 708 for how the transaction itself is treated. The IRS “LLC filing as a corporation or partnership” page states both defaults: at least two members → partnership; one member → disregarded; either can file Form 8832 to elect corporate treatment. A single-member LLC is still a separate entity for employment and certain excise taxes. If the LLC already has an S election, map eligibility and consents on LLC S corporation election. Formation Lane does not invent your final return, gain or loss, or a filing deadline; a CPA does.
Do I need to update the bank and the EIN responsible party?
Usually yes for the bank: remove departed signers and match KYC and beneficial-ownership disclosures to the new ownership chart — business checking. IRS responsible-party changes use Form 8822-B; whether the LLC needs a new EIN after dropping to one member is a CPA question. Maps: Change EIN responsible party and Get an EIN.
IRS.gov describes Form 8822-B as the form for a change of business mailing address, location, or responsible party (re-fetched 6 October 2026). The IRS “Do you need a new EIN?” page lists LLC and partnership cases but does not spell out the multi- to single-member LLC fact pattern, and Publication 3402 notes a disregarded single-member LLC generally reports income tax under the owner’s SSN or EIN while still needing its own EIN for employees or certain excise taxes — exactly why the EIN question goes to a CPA rather than this page. The bank keeps its own file: send the amended operating agreement, the ownership percentages it asks for, and the updated signer list.
After the records match
Keep the amended operating agreement, buyout/redemption docs, consents, capital schedules, and any SOS acceptance with the formation packet. Then continue when it still applies: business checking KYC, EIN responsible-party updates, annual report calendar, and the first-30-days desk list on After you form an LLC. If you are admitting someone instead, use Add a member to an LLC. If membership interest is being sold or gifted between parties, use Transfer LLC ownership. If you are closing the company, use Dissolve or cancel an LLC.
Next: the money path. After the membership exit / ownership update is accepted:
- Get an EIN — free on IRS.gov after the state entity exists
- Open business checking — park operating cash in the LLC’s name
- First brokerage — only if the work needs one

- What about an S corporation election (Form 2553)?
- Membership changes can affect S election eligibility, consents, and timing — those are IRS / CPA desks, not SOS membership buttons. Formation Lane does not advise whether to elect, revoke, or keep an S election. Desk map only: LLC S corporation election.
- When do articles need an amendment vs the annual report?
- Use an articles amendment when the formation document itself states management structure or member facts the statute requires you to amend — Amend LLC articles. In many states, manager/member listings ride the annual report or Statement of Information instead — LLC annual report. California’s Form LLC-2 says manager (and related) changes go on a Statement of Information (Form LLC-12), not LLC-2. Confirm the live instrument on your SOS portal.
- Is this page legal or tax advice?
- No. Formation Lane publishes a process map: which desks usually move when a member leaves. Buyout price, redemption math, expulsion remedies, deadlock, and tax elections belong to counsel and a CPA who can see your facts. Formation Lane does not remove members, file SOS updates, or prepare tax forms for anyone.
What this page does not cover
- Invented fees, buyout formulas, redemption prices, or a claim that every state uses the same “remove member” form.
- Drafting buy-sell clauses, valuing membership interests, or inventing expulsion remedies — counsel when the stakes are real.
- Telling you which federal return to file or whether to elect S corporation status — CPA desk; S map: LLC S corporation election.
- Member’s-eye voluntary dissociation / resignation under the OA and statute (management vs economic rights) — Withdraw as an LLC member.
- Admitting a new member instead of removing one — Add a member to an LLC.
- Selling or gifting membership interest between parties — Transfer LLC ownership.
- Dissolution of the whole company — Dissolve or cancel an LLC — or reinstatement after administrative dissolution.
- Acting as anyone’s lawyer, CPA, or filing agent. Formation Lane is a publisher only.
