Withdraw as an LLC member (2026)

Withdraw from an LLC: read the operating agreement’s notice and buyout terms, then your state’s LLC act. Delaware’s default bars resignation before dissolution unless the OA allows it; California ends voting rights on dissociation and by default leaves you a transferee with no automatic cash-out. Distinct from removal and selling the interest.

By Formation Lane Editorial · Page dated 6 October 2026

Voluntary withdrawal / dissociation is the member’s-eye exit: you leave under the operating agreement and formation-state LLC act — often losing management / voting rights while economic rights may continue as a transferee until a buyout the OA (or a statute that actually provides one) triggers. It is not the same desk as company-side remove a member (including contested expulsion), selling or assigning the interest, or dissolving the whole LLC. This is a desk map, not legal advice on disputes.

Neighbor desks: Remove a member from an LLC · Transfer LLC ownership · Buy-sell agreement for an LLC · Close the LLC vs sell membership · LLC fiduciary duties · Amend an LLC operating agreement · LLC voting rights · Operating agreement basics · Amend LLC articles · LLC annual report · Business checking · After you form an LLC. Home-state walkthroughs: the 50-state formation index.

Short version for 2026: read OA notice/buyout → confirm statute (can you resign? what rights survive?) → document the exit → update member list/OA → SOS listing when required → bank KYC. Delaware’s default often blocks resignation unless the OA allows it; California RULLCA gives a power to dissociate and ends voting/management while economic rights usually continue only as a transferee unless the articles or written OA provide a cash-out.

Before you treat a resignation email as a finished exit

Separate voluntary dissociation from expulsion, from selling the interest, and from dissolving the company.

  • Current operating agreement: resignation / withdrawal / dissociation, notice, consent, buyout / redemption
  • Formation-state LLC act sections on resignation or dissociation and effects (official code text)
  • Clear path named: voluntary dissociation vs contested expulsion vs transfer/sale vs wind-up of the whole LLC
  • Written notice and any required member/manager consents — dated and kept with company records
  • Updated membership / capital schedules and OA amendment language for remaining members
  • Formation-state portal check: do AR / SOI / articles collect manager or member listings?
  • Bank KYC plan: remove departed signers, refresh beneficial owners, updated OA for the account file
  • Attorney lined up for wrongful-dissociation / valuation fights; CPA if tax classification or buyout tax is in play

How does a member voluntarily withdraw or dissociate from an LLC?

Start with the operating agreement: notice, resignation or dissociation, buyout, and consent rules. Then read the formation-state LLC act defaults, which are not the same nationwide. After a lawful exit, update membership schedules and the OA, refresh SOS manager/member listings when required, and update bank KYC. Company-side cleanup is the separate remove a member map.

  1. Read the OA notice, resignation, and buyout clauses. The written operating agreement usually controls when you may leave, how much notice you must give, whether a buyout or redemption applies, and what consents are required. SBA framing: operating agreements are the internal contract among members and managers and are usually kept with company records, not filed with the state. Do not invent a national notice period or buyout formula from this page.
  2. Confirm formation-state statute defaults. Check whether the formation-state LLC act lets you resign or dissociate by default, when an exit is wrongful, and what happens to voting versus economic rights. Citeable peers: Delaware 6 Del. C. §§ 18-603 and 18-604; California Corp. Code §§ 17706.01, 17706.03, and 17704.04(b). Other states use different models — confirm live official text.
  3. Document the voluntary exit path. Deliver any required written notice, collect required consents, and put buyout, redemption, or continuing-transferee terms in signed writing. Wrongful dissociation can create damage liability under statutes like California § 17706.01(c) — an attorney desk, not a Formation Lane playbook. Record the action in minutes or a written consent when the company needs a paper trail.
  4. Update membership schedules, OA text, and the SOS listing when required. Remaining members need an accurate capital and interest schedule and matching OA language. Many states refresh manager or member names on the annual report or Statement of Information; some require an articles amendment when the formation document itself states those facts. California’s Form LLC-2 says manager changes go on a Statement of Information (Form LLC-12), not LLC-2. Confirm the live instrument and fee on the official portal.
  5. Update bank KYC and authorized signers. Remove yourself (or the departing member) from the signature card, refresh beneficial-ownership disclosures, and give the bank the updated operating agreement and ownership chart. An SOS acceptance alone does not rewrite the signature card. If membership drops to one, tax-classification language may shift — map that with a CPA.

Is voluntary withdrawal the same as removing a member or selling the interest?

No — three different desks. Voluntary withdrawal or dissociation is you saying “I am leaving” under the OA and statute. Remove a member is the company-side cleanup, including contested expulsion. Transfer LLC ownership is selling or assigning your interest, usually with consent rules. Close vs sell membership compares winding up the company with exiting while it continues.

If someone is ready to buy your interest, the cleaner path is often a sale or assignment under the OA’s consent rules — Transfer LLC ownership — rather than resigning and leaving the economics in limbo. If the whole group wants out, compare closing the LLC vs selling membership before anyone sends a resignation notice. When the other members want you out and you disagree, that is contested expulsion on the company-side remove-member map — and an attorney desk.

Can I resign from a Delaware LLC anytime I want?

Often not by default. 6 Del. C. § 18-603 lets a member resign only at times or events the LLC agreement specifies and, unless the agreement provides otherwise, not before dissolution and winding up. If resignation is allowed, § 18-604 pays any distribution the agreement provides, otherwise fair value within a reasonable time. Confirm live code text.

The full § 18-603 text (re-fetched from Delaware Code Online 6 October 2026, unchanged): a member may resign only at the time or upon the happening of events specified in the LLC agreement and in accordance with it; notwithstanding anything to the contrary under applicable law, unless the agreement provides otherwise, a member may not resign before dissolution and winding up. The same section lets an agreement bar assignment of an LLC interest before dissolution and winding up. LLCs whose original certificate of formation was filed and effective on or before 31 July 1996 stay on the section as in effect on that date unless the agreement provides otherwise.

Section 18-604 then says a resigning member is entitled to any distribution the agreement provides and, if the agreement is silent, the fair value of the interest as of the resignation date, within a reasonable time, based on the member’s right to share in distributions. That is the statute’s default formula — Formation Lane does not compute or estimate a price. If your Delaware OA bars resignation, the practical exits are usually a consented transfer (Transfer LLC ownership), a negotiated redemption, or a buy-sell trigger.

What happens to voting and economic rights after dissociation under California RULLCA?

Under Cal. Corp. Code § 17706.03, your right to vote or participate in management terminates, and any transferable interest is owned solely as a transferee. § 17704.04(b) adds that, unless the articles or written OA provide otherwise, dissociation does not entitle you to a distribution; you keep only transferee rights to distributions. § 17706.01 covers the power to dissociate.

California’s RULLCA (text re-checked 6 October 2026, unchanged) splits the pieces: § 17706.01(a) gives a person the power to dissociate as a member at any time, rightfully or wrongfully, by withdrawing by express will. Under § 17706.01(b), dissociation is wrongful only if it breaches an express OA provision or falls into listed pre-termination categories (including withdrawing by express will), and § 17706.01(c) makes a wrongfully dissociating member liable for damages caused. Section 17706.03 adds that in a member-managed LLC your fiduciary duties as a member end for matters arising after dissociation — framing on LLC fiduciary duties — and that dissociation does not by itself discharge debts or obligations you incurred while a member.

On the economics, § 17704.04(b) also lets the company offset damages for an OA breach against amounts otherwise distributable to the dissociated person. Voting-rights framing for the remaining members: LLC voting rights.

Does withdrawing automatically cash me out?

Not always. Some OAs, and Delaware § 18-604 when resignation is allowed, provide a distribution or fair-value path. California’s § 17704.04(b) default is that dissociation does not entitle you to a distribution unless the articles or written OA say otherwise; you hold as a transferee. Plan buyouts in a buy-sell agreement for an LLC. Formation Lane invents no price.

Other formation states follow different resignation, dissociation, wrongful-exit, and buyout defaults — or lean harder on the operating agreement alone. Uniform Law Commission model text is a drafting template, not your binding statute. Formation Lane does not publish a 50-state resignation table; confirm on your legislature / code site and with counsel.

Do not treat a Slack goodbye, a verbal handshake, or “I quit” without reading the OA and formation-state act as a finished voluntary dissociation — and do not invent a national buyout price or assume Delaware’s no-resignation default (or California’s power-to-dissociate + transferee default) applies in every state. Banks, remaining members, and courts key off the signed operating agreement, written exit docs, and (when required) the SOS public listing.
