Step 1 · EIN after control changes

Change EIN responsible party (Form 8822-B) (2026)

What is an EIN responsible party? How to change it on Form 8822-B, the 60-day report window, why a new EIN is usually not required, and what to do when the old party is unavailable. SOS filings do not update the IRS desk — process map; Formation Lane does not file 8822-B.

By Formation Lane Editorial · Page dated 6 October 2026

The IRS responsible party on an EIN is not updated by a Secretary of State filing. When ownership or control changes, use the IRS’s published change path — Form 8822-B, Change of Address or Responsible Party — Business (confirm the current form name and instructions on IRS.gov). Banks and tax software may still show the old name until you update them separately.

Neighbor desks: Get an EIN · Cancel or deactivate an EIN · LLC entity classification election · Transfer LLC ownership · Add a member to an LLC · Remove a member from an LLC · First business checking account · After you form an LLC · Close an LLC business bank account.

Short version for 2026: know who the responsible party is → when control changes, file Form 8822-B within the published 60-day window (confirm on IRS.gov) → update bank KYC → keep the CP 575 / EIN confirmation with the books. Formation Lane does not file IRS forms for you. This page stays on responsible-party change — not a full first-issue EIN how-to.

Before you touch the IRS change path

Have the ownership / control facts clear so the form matches who actually runs the entity.

  • EIN confirmation letter (often CP 575) and the number itself on hand
  • Clear picture of who owns, controls, or manages funds and assets today vs who the IRS last listed
  • Ownership / control change already documented on the private side (operating agreement, assignment, consent) when that is what triggered the update
  • Live IRS About Form 8822-B and responsible-parties pages open — confirm form name, instructions, 60-day window, and where-to-file (do not invent addresses from this page)
  • Bank KYC / signer update queued as a separate desk
  • Plan to file the letter and any later IRS acknowledgment with the company books

What is an EIN responsible party?

On IRS materials, a responsible party is the individual who owns, controls, or exercises effective control over the entity and directly or indirectly manages its funds and assets. For most LLCs and corporations the IRS expects a natural person — not another entity — with a limited exception for government entities. Confirm the live definition on IRS.gov before you file.

Four desk steps in order:

  1. Know who the responsible party is today. Pull the EIN confirmation letter (often CP 575) and any prior IRS correspondence. Match that name against who actually owns, controls, or manages the entity’s funds and assets under current IRS responsible-party guidance.
  2. When control changes, update the IRS on Form 8822-B. After ownership or control changes, follow the current IRS change-of-responsible-party materials. As of the pages cited here that is Form 8822-B — confirm the live form name, instructions, 60-day window, and where-to-file on IRS.gov. Do not invent mailing addresses or processing times from this page.
  3. Update bank KYC and related profiles. Banks and tax software do not auto-update from an SOS filing or from Form 8822-B. Refresh authorized signers, beneficial-ownership facts, and account profile names with the bank and any payroll or tax software that still shows the old responsible person.
  4. Keep the CP 575 / EIN confirmation with the books. File the original EIN confirmation letter (and any later IRS acknowledgment of a responsible-party or address change) with the formation packet and bookkeeping records so the next bank, CPA, or license desk can see the same number and history.

How do you change the EIN responsible party (Form 8822-B)?

Use Form 8822-B, Change of Address or Responsible Party — Business to notify the IRS of a change in responsible party (and/or business mailing address or location). Confirm the current PDF, instructions, and where-to-file table on IRS.gov before you mail anything. Formation Lane does not prepare, mail, or e-file the form.

Manager / member lines on annual report or SOISecretary of State (or equivalent)No — state public record only
Articles / certificate amendment (name, purpose, etc.)SOS articles amendment pathNo — still a state filing

Responsible party / business address on the EIN accountIRS Form 8822-B (confirm live)Yes — that is the federal desk
Authorized signers / beneficial owners at the bankBank KYCNo — bank profile only

Ownership and member-change maps: Transfer LLC ownership, Add a member to an LLC, Remove a member from an LLC. Tax classification flips stay on LLC entity classification election — not a substitute for Form 8822-B.

Do not invent a mailing address, fax number, or processing time from this page. Use the live IRS About Form 8822-B page, the form PDF / instructions, and Where to file Form 8822-B. Formation Lane does not file the form and does not quote center addresses here because those tables can move.

When must you report a responsible-party change?

IRS published guidance on the About Form 8822-B and responsible-parties pages says changes in responsible parties must be reported to the IRS within 60 days of the change. Confirm that window on the live IRS pages at filing time — do not treat this sentence as a substitute for the form instructions.

The 60-day clock is on the IRS About Form 8822-B and responsible-parties pages (and restated in the Form SS-4 instructions for later changes). If you have not received a confirmation letter of the change within 60 days, the responsible-parties page says to mail a copy of Form 8822-B and write “Second Request” on it — confirm that language live before you re-mail. Calendar the change date from when control actually shifted, not from when someone remembers to update the federal desk.

Typical triggers (not an exhaustive legal list): selling or gifting membership interest, admitting or removing a member who was the controlling person, a buy-sell that shifts who manages funds, or discovering that a nominee was listed on the original EIN application. Private paperwork (operating agreement, assignment, consent) and SOS public-record updates are still separate from the IRS responsible-party desk — run each lane that applies.

Does changing the responsible party get you a new EIN?

Often no — updating who the IRS lists as responsible party on an existing EIN is not the same as getting a brand-new number. The same LLC usually keeps the same EIN after a control change. Confirm on current IRS “when to get a new EIN” pages; first-issue map: Get an EIN after the state entity exists.

IRS When to get a new EIN generally ties a new number to ownership or structure changes that create a different entity path (for example terminating an LLC and forming a new corporation or partnership). Name or address changes alone do not. Changing only a tax election (Form 8832 / S election) generally does not either. Do not invent a “new EIN after every ownership change” rule from this page — read the live entity-type table for your facts.

After (or alongside) the IRS update, finish the non-IRS desks: bank KYC, payroll / tax software profile names, and any state tax account contacts that still show the old individual. Opening hygiene: First business checking account. If you are closing checking instead: Close an LLC business bank account. Full post-acceptance checklist: After you form an LLC.

What if the old responsible party is unavailable?

The IRS change path is still Form 8822-B: report the person who now owns, controls, or manages the entity’s funds and assets. Nominees used only for formation paperwork are not the right responsible party — correct them on the same form family. Confirm live IRS responsible-parties and Form 8822-B pages; do not invent a special “old RP unavailable” shortcut.

The IRS responsible-parties page is explicit that nominees used only for formation paperwork should not be listed on an EIN application, and that listing a nominee by mistake is corrected with Form 8822-B so the true responsible party is identified. When the person previously listed is unreachable, deceased, or was never the controlling individual, the published path is still to report the identity of who now owns, controls, or manages the entity’s funds and assets — not to invent a parallel IRS product. If a representative signs Form 8822-B, the form instructions say to attach a copy of a valid power of attorney; confirm that attachment rule on the live PDF.

Reconstruct authority from the operating agreement, assignments, consents, or probate / court papers as your facts require, then mail Form 8822-B on the where-to-file path. Deactivating the EIN entirely (closing the business account) is a different letter desk: Cancel or deactivate an EIN.

Next: the money path. After the EIN responsible-party update (Form 8822-B) is accepted:

  1. Get an EIN — free on IRS.gov after the state entity exists
  2. Open business checking — park operating cash in the LLC’s name
  3. First brokerage — only if the work needs one

Change EIN responsible party FAQ

What is an EIN responsible party?
On IRS materials, a responsible party is the individual who owns, controls, or exercises effective control over the entity and directly or indirectly manages its funds and assets. For most LLCs and corporations the IRS expects a natural person — not another entity — with a limited exception for government entities. Confirm the live definition on IRS.gov before you file.
Does an SOS annual report update the EIN responsible party?
No. A Secretary of State annual report, Statement of Information, or articles amendment updates the state public record. The IRS responsible party on the EIN is a separate federal desk. Updating manager/member lines on the SOS portal does not automatically rewrite the IRS business account. When control changes, follow the current IRS change path (often Form 8822-B territory — confirm the live form name and instructions on IRS.gov).
Will my bank and tax software update automatically?
No. Banks, payroll, and tax software keep their own KYC / account profiles. After (or alongside) the IRS update, refresh authorized signers, beneficial-ownership disclosures, and profile names with the bank — opening hygiene: First business checking account. Software and state tax portals are separate desks. Closing an account is different still: Close an LLC business bank account.
Is Form 8822-B only for address changes?
No. About Form 8822-B says entities with an EIN on file use it to notify the IRS of a change in business mailing address, business location, or the identity of the responsible party. Address-only and responsible-party changes share the same published form family — confirm lines and instructions on the live PDF before you mail.
How do I cancel or deactivate an EIN instead?
That is a different desk. An EIN is generally not “deleted”; the IRS closes / deactivates the business account after a signed letter with the facts the IRS asks for, once finals are filed when required. SOS dissolve does not automatically cancel the EIN. Map: Cancel or deactivate an EIN. Confirm campuses and letter contents on IRS.gov — Formation Lane does not mail IRS letters.
Does an entity classification election (Form 8832) change the responsible party?
No by itself. Form 8832 elects federal tax classification; it does not rewrite who the IRS lists as the EIN responsible party. If ownership or control also changed, run the Form 8822-B desk separately. Classification map: LLC entity classification election.
Does Formation Lane file Form 8822-B or change my EIN for me?
No. Formation Lane is a publisher. We map desks (know who the responsible party is → update the IRS on the published change path → update bank KYC → keep the CP 575 / EIN confirmation with the books). We do not prepare, mail, or e-file IRS forms, invent mailing addresses or processing times, or call your bank.
