LLC entity classification election (2026)

What is an LLC entity classification election? Form 8832 elects federal tax classification (often C corporation) — not a new SOS entity and not Form 2553 (S election). Defaults: SMLLC disregarded / MMLLC partnership unless you elect. Timing, 60-month lock, deemed transactions → CPA. Desk map — not advice on whether to elect.

By Formation Lane Editorial · Page dated 6 October 2026

Form 8832 is the IRS Entity Classification Election — a federal tax classification choice for an eligible LLC (often electing association taxable as a C corporation), not a new Secretary of State entity and not the same desk as Form 2553 (S corporation). Default single-member / multi-member LLC treatment is not corporate treatment. This page is a desk map, not advice on whether to elect — CPA owns the numbers.

Short version for 2026: confirm default (SMLLC disregarded / MMLLC partnership) → name which election you need (8832 vs 2553 vs SOS conversion) → read current Form 8832 / Pub. 3402 with a CPA → plan returns, books, and banking only after a valid election. Formation Lane does not invent savings percentages, Form line walkthroughs, or a 50-state tax-statute table.

Before you treat Form 8832 as a desk on your map

Have the entity facts clear so you are not confusing SOS formation with a federal classification election.

  • Stamped LLC articles (legal name) and a signed operating agreement that matches real ownership
  • IRS EIN confirmation for the LLC when banking or employment-tax paths need it
  • Clear picture of default federal treatment (disregarded vs partnership) — not assumed corporate status
  • Clear goal: C corporation classification (8832) vs S corporation election (2553) vs SOS legal conversion
  • Current IRS Form 8832 / About Form 8832 and Publication 3402 open — not a blog paraphrase of windows or locks
  • CPA lined up for effective date, consents, 60-month limitation, and deemed-transaction tax effects
  • State revenue materials checked — federal classification does not automatically rewrite every state desk

What is an LLC entity classification election?

IRS Form 8832 is the Entity Classification Election. An eligible LLC uses it to elect federal tax classification as a corporation, a partnership, or a disregarded entity. Many LLCs elect association taxable as a C corporation instead of default disregarded or partnership rules. Confirm on About Form 8832 and Publication 3402. Formation Lane does not prepare Form 8832.

Four desk steps to map the LLC Form 8832 path:

  1. Confirm default LLC federal tax treatment. Read IRS default classification by membership count: domestic single-member LLC generally disregarded for income tax; domestic multi-member LLC generally a partnership — unless corporate treatment is elected. Confirm on IRS LLC pages and Publication 3402.
  2. Decide which federal election desk you actually need. Form 8832 is entity classification (often C corporation treatment). Form 2553 is the S corporation election and, when timely and qualifying, is generally deemed to include the corporate classification election — a separate Form 8832 is often not required solely for that S path. SOS conversion to a corporation is a different legal-entity desk.
  3. Read current Form 8832 materials with a CPA. Open About Form 8832, the current form PDF / instructions, and Publication 3402. Effective-date windows, consents, mailing, late-election relief, and the 60-month subsequent-election limitation are confirm-on-IRS / CPA work — Formation Lane does not prepare the form.
  4. Plan returns, books, and bank KYC only after a valid election. Corporate classification generally points toward Form 1120 (C corporation) filing patterns; partnership defaults use Form 1065; disregarded SMLLC income generally rides the owner return. Keep books and banking consistent with the classification story. Estimated-tax timing is a separate calendar desk.

Desks for the steps: membership defaults — Single-member vs multi-member LLC; S path — LLC S corporation election; legal-entity change — Convert an LLC to a corporation; structure compare — LLC vs corporation; books and cash — LLC bookkeeping · Business checking; owner-level timing — LLC estimated taxes; EIN — Get an EIN.

What is the default federal tax classification if I never file Form 8832?

Under IRS materials and Publication 3402, a domestic LLC with at least two members is generally a partnership; a domestic LLC with only one member is generally disregarded for income tax (often still separate for employment and certain excise taxes). Those defaults apply unless the LLC elects corporate treatment on Form 8832. Membership map: Single-member vs multi-member LLC.

Completing one desk does not finish the others. The SOS stamp is not Form 8832. The EIN letter is not a classification election. Form 2553 is not Form 8832. A C corporation tax election does not, by itself, rewrite the SOS entity type into a corporation. If you are admitting a second owner after formation, map that ownership change first — Add a member to an LLC.

Is Form 8832 the same as electing S corporation status?

No. Form 8832 is the check-the-box classification election (often used for C corporation treatment). Form 2553 is the S corporation election. Publication 3402 says an LLC electing S status is not required to file Form 8832 first — a timely qualifying Form 2553 is generally deemed to include the corporate classification election. S desk: LLC S corporation election.

Want association taxable as a C corporation without an S election? Publication 3402 points to Form 8832. Want S corporation treatment? That is Form 2553 — and a timely qualifying Form 2553 is generally deemed to include the corporate classification election, so a separate Form 8832 is often not required solely for that S path. Want a different legal entity on the SOS? That is convert LLC to corporation, not Form 8832 alone. Neighbor S desk: LLC S corporation election.

Do not invent dollar thresholds, savings percentages, or “elect when profit > $X” rules from this page. Whether a classification election helps your facts — and what deemed transactions it triggers — is a CPA conversation with real numbers. Effective-date windows, consents, the 60-month limitation, late relief, and revocations are easy to do badly. Formation Lane does not prepare Form 8832, does not advise elections, and does not replace counsel.

When does Form 8832 take effect, and can classification change again?

IRS materials say Form 8832 generally cannot take effect more than 75 days before filing or later than 12 months after. After an elective change, Publication 3402 generally bars another change for 60 months (formation-date elections are carved out). Late relief, consents, and mailing are CPA / current Form 8832 work — this page invents no DIY calendar.

Use the IRS — not the SOS formation portal — for entity classification materials:

State revenue / franchise pages are separate. Fiscal-year / accounting-period questions are a different federal desk — Change an LLC tax year / fiscal year. First-month desk list after articles: After you form an LLC.

Do classification changes create tax consequences — and who owns follow-on desks?

Often yes — and they can be material. Publication 3402 describes deemed transactions when classification changes by election (for example, partnership → corporation as a contribution of assets for stock, then a liquidation distributing the stock). Gain, loss, basis, returns, and state follow-ons belong to a CPA on your facts. Formation Lane invents no checkbox outcomes or 50-state tax rewrite.

After a valid election, keep books and banking consistent with the classification story — LLC bookkeeping · business checking. Owner-level payment timing under pass-through framing: LLC estimated taxes. Profit / draw and partner-payment labels under default LLC treatment: profit distribution · guaranteed payments. Foreign-owned reporting is a separate Form 5472 desk when it applies — File Form 5472. Publication 3402 is a classification starting point, not a return-prep rulebook for your facts.

No. Form 8832 changes federal tax classification. Converting (or merging) an LLC into a corporation on the SOS record changes the legal entity type on the state books. After a valid 8832 corporate election, the company usually still appears as an LLC on the SOS record — tax treatment changed, not the SOS entity type by itself. Where does the EIN fit?
The LLC usually needs its own EIN for banking, employment taxes, and many IRS filings — including paths that involve corporate classification. Getting an EIN is not Form 8832 and is not an S election. Free federal ID walkthrough: Get an EIN after the state entity exists.
Does Formation Lane prepare Form 8832 or tell me whether to elect?
No. Formation Lane is a publisher. We map which desks exist (default LLC tax treatment → Form 8832 materials → returns that follow corporate vs partnership / disregarded framing → neighbor S election and SOS conversion desks).
