Change LLC tax year / fiscal year (2026)
What is an LLC tax year / fiscal year? Calendar vs fiscal is a federal accounting-period choice (Form 1128) — not an SOS amendment and not Form 8832 or Form 2553. CPA owns eligibility, short-year returns, and required-year rules for partnerships / S / PSCs. Desk map only — no invented IRS deadlines.
Calendar vs fiscal year is a tax accounting-period choice — not a Secretary of State amendment and not the same desk as entity classification (Form 8832) or an S corporation election (Form 2553). Once a year is adopted, changing it generally means Form 1128 materials, eligibility rules, and often a short tax year return. CPA owns whether you qualify and how to file — this page is a desk map only.
Neighbor desks: LLC entity classification election · LLC estimated taxes · Get an EIN · File Form 5472 · LLC operating agreement · LLC S corporation election · LLC bookkeeping · Single-member vs multi-member LLC · Business checking · Amend LLC articles · After you form an LLC · LLC annual report.
Short version for 2026: tax year ≠ SOS stamp ≠ 8832 ≠ 2553. Adopt on the first return (unless a required year applies). Change with Form 1128 when IRS materials say you need approval. Automatic vs ruling paths, user fees, section 444 (Form 8716), and short-year math live in current IRS instructions — not on a publisher checklist.
Before you treat a fiscal-year change as a desk on your map
Have the entity and classification facts clear so you are not filing the wrong IRS form — or amending the SOS by mistake.
- Stamped LLC articles (legal name) and a signed operating agreement that matches real ownership
- IRS EIN confirmation when banking or entity returns need it — remembering EIN alone does not adopt a tax year
- Clear picture of federal classification (disregarded vs partnership vs S vs corporate) — not assumed from the SOS label
- Clear goal: adopt a first-year period vs change an already-adopted year vs retain a year under Form 1128 framing
- Current IRS Tax years page, Publication 538, and About Form 1128 / instructions open — not a blog paraphrase of windows or fees
- CPA lined up for required-year rules, automatic vs ruling approval, short-year returns, and state revenue calendars
- Books and bank statements ready so year-end on the ledger can match the tax year story
What is an LLC tax year / fiscal year?
A tax year is the annual accounting period for records, income, and expenses. A calendar year runs January 1–December 31. A fiscal year is 12 consecutive months ending on the last day of any month except December; a 52–53-week year is related. Confirm on the IRS Tax years page and Publication 538. Formation Lane does not invent which year fits.
Four desk steps to map LLC tax year / fiscal year questions:
- Confirm federal classification and default tax-year framing. Know whether the LLC is disregarded, partnership-default, S electing, or corporate-classified. Membership and elections shape which required-year rules and forms apply. Confirm on IRS LLC pages, Publication 3402, and Publication 538.
- Name the desk: adopt vs change vs retain a tax year. Adopting (first return) is different from changing an already-adopted year (generally Form 1128) and from retaining a year when Form 1128 materials require it. Section 444 (Form 8716) is a neighbor election for certain partnerships / S / PSCs — not Form 8832 and not Form 2553.
- Read current Form 1128 / Publication 538 materials with a CPA. Open IRS Tax years, About Form 1128, Form 1128 instructions, and Publication 538. Automatic approval vs ruling request, user fees, required years, and short-period return timing are confirm-on-IRS / CPA work — Formation Lane does not prepare the form.
- Plan books, returns, and estimated-tax calendars only after a valid path. A change often creates a short tax year. Keep bookkeeping year-end aligned with the tax year on the books. Estimated-payment timing and state revenue calendars are separate desks. Do not treat an SOS stamp or EIN letter as a fiscal-year election.
Desks for the steps: classification — Single-member vs multi-member LLC, LLC entity classification election, and LLC S corporation election; the ID that does not adopt a year — Get an EIN; books and payments after a valid path — LLC bookkeeping and LLC estimated taxes; private ownership / money rules — LLC operating agreement basics.
DIY or a formation shop. The walkthrough on this page is for reading IRS Tax years, Publication 538, and Form 1128 materials yourself (Formation Lane does not prepare tax-year elections). If you would rather pay a shop to handle the filing paperwork, compare these:

How does an LLC adopt a tax year — calendar vs fiscal?
Unless you have a required tax year, you generally adopt by filing your first income tax return using that year — not by an EIN application, estimated-tax payments, or a filing extension alone. Anyone can usually adopt the calendar year; a fiscal year needs a qualifying period. Confirm on IRS Tax years and Publication 538. EIN: Get an EIN.
| Desk | Who runs it | What it is / is not |
|---|---|---|
| LLC articles / certificate | Secretary of State (or equivalent) | Creates / amends the LLC on the public record. Not a tax-year election. |
| Tax year / accounting period | IRS (Form 1128 materials; first-return adoption) | Calendar vs fiscal (and related) period for books and returns. Not Form 8832 or Form 2553. |
| Entity classification (Form 8832) | IRS | Check-the-box classification (corporation / partnership / disregarded). Neighbor map: llc-entity-classification-election. |
| S corporation election (Form 2553) | IRS | Federal S election path. Neighbor map: llc-s-corp-election. Not a fiscal-year request by itself. |
| Section 444 election (Form 8716) | IRS | Limited election for certain partnerships / S / PSCs to use a year other than the required year — confirm on Pub. 538 / Form 8716. |
| Accounting method (Form 3115) | IRS | Cash vs accrual / item methods — Publication 538 companion desk. Not the same as changing the tax year. |
| EIN | IRS | Entity identifier. Getting an EIN does not adopt a tax year (IRS Tax years). |
Completing one desk does not finish the others. The SOS stamp is not Form 1128. The EIN letter is not a fiscal-year election. Form 8832 is not Form 1128. Form 2553 is not a tax-year change. Form 3115 changes accounting method, not the annual accounting period.
How do you change an LLC tax year (Form 1128)?
Once adopted, changing a tax year generally needs IRS approval on Form 1128 (Application To Adopt, Change, or Retain a Tax Year). Automatic-approval paths need no user fee; otherwise a ruling request and user fee apply — confirm on current Form 1128 instructions. This page invents no DIY eligibility list, fee amounts, or filing calendar. CPA owns whether you qualify.
Use the IRS — not the SOS formation portal — for tax-year materials:
- IRS — Tax years
- IRS — About Form 1128
- IRS — Instructions for Form 1128
- IRS Publication 538 — Accounting Periods and Methods
- IRS — About Form 8716 (section 444 neighbor desk)
- IRS Publication 3402 — Taxation of LLCs (classification framing)
- IRS — About Form 8832 · About Form 2553
- IRS — Get an EIN
Do not invent eligibility shortcuts, user-fee amounts, or “everyone can pick June 30” rules from this page. Whether a fiscal year is allowed — especially for partnerships, S corporations, and PSCs with required years — and whether automatic approval or a ruling applies, is a CPA conversation with current Form 1128 instructions. Short-year annualization and section 444 required payments are easy to do badly. Formation Lane does not prepare Form 1128, does not advise year changes, and does not replace counsel.
Do partnerships, S corporations, and disregarded LLCs have special tax-year rules?
Often yes. Publication 538 describes required tax years for partnerships, S corporations, and personal service corporations — with limited paths such as a business-purpose year, certain 52–53-week years, or a section 444 election (Form 8716). A disregarded single-member LLC generally rides the owner’s tax year. Classification: Form 8832 map. Eligibility is CPA work — no DIY approval calendar here.
Membership count and elections shape the picture — Single-member vs multi-member LLC · Form 8832 map · Form 2553 map. A domestic multi-member LLC taxed as a partnership and an LLC with a valid S election sit in the required-year framing Publication 538 describes. Confirm on IRS LLC pages and Publication 3402 / 538 with a CPA. Foreign-owned reporting (Form 5472) is a different desk — File Form 5472.
What follows a tax-year change — short year, books, state calendars?
A change often creates a short tax year (under 12 months) that must be returned under current IRS rules. Align bookkeeping year-end with the tax year; estimated-payment timing stays separate — LLC estimated taxes. State DOR / SOS annual-report “fiscal year end” fields are different calendars. Confirm on official portals with a CPA — no 50-state table here.
Keep stamped articles, EIN letter, OA, and any IRS acknowledgment of a tax-year path with the company records. Continue banking and books on a trail that matches the period you actually use — checking · bookkeeping. Owner-level estimated-tax timing: LLC estimated taxes. If the real goal is classification or S treatment, use Form 8832 map or S election map — not a fiscal-year filing alone. Still on the first-month list? After you form an LLC.

- Is changing the LLC tax year the same as amending articles at the Secretary of State?
- No. Tax year / accounting period is a federal tax (and often state tax) desk — typically Form 1128 materials and related returns. Amending LLC articles / certificate is a state SOS filing for name, registered agent, purpose, or other public-record fields. Changing when the tax year ends does not, by itself, rewrite the SOS entity. Amend map: Amend LLC articles. Operating-agreement money rules stay private — LLC operating agreement basics.
- Is Form 1128 the same as Form 8832 or Form 2553?
- No. Form 1128 is Application To Adopt, Change, or Retain a Tax Year — the accounting-period desk. Form 8832 is entity classification (check-the-box). Form 2553 is the S corporation election. Neighbor maps: LLC entity classification election · LLC S corporation election. Do not treat a fiscal-year request as an S election or a corporate classification election.
- Does Formation Lane prepare Form 1128 or tell me whether to change years?
- No. Formation Lane is a publisher. We map which desks exist (calendar vs fiscal framing → required-year rules for certain pass-throughs → Form 1128 / related elections → short-year returns and books → neighbor classification / S / estimated-tax desks). We do not prepare Form 1128, Form 8716, or returns; we do not advise whether a change helps; and we do not replace a CPA who can see your facts.
