Check LLC name availability before you file (2026)

How to check LLC name availability before you file — search the formation-state business entity database, apply distinguishability rules, optionally reserve, and treat USPTO trademark / DBA as separate desks. SOS clearance is provisional filing eligibility — not trademark advice. National process map; confirm on SOS.

Checking LLC name availability means searching your formation state’s official business entity database before you file articles — not guessing from a Google result, not a DBA filing, and not a federal trademark clearance. The short path: pick the state → search the SOS / Division of Corporations index → apply that state’s distinguishability rules → optionally reserve or run a separate USPTO search → then file. A clear SOS result is provisional filing eligibility until the portal accepts the articles.

Neighbor desks: Change an LLC name · DBA / assumed name · Operating agreement vs articles · Professional LLC / PLLC · Foreign LLC and certificate of authority · After you form an LLC · Operating agreement basics. Ready to file? Use the matching walkthrough on the 50-state formation index (for example Georgia, Florida, Texas, California, New York, Illinois).

Short version for 2026: SOS search ≠ trademark clearance. Clear the entity database so the portal will accept the legal name; treat USPTO as a separate brand check if the mark matters in commerce. Formation Lane does not reserve names, clear trademarks, or tell you a specific string is “safe” or “free.”

Before you order letterhead

Have these ready so a rejected name does not waste a filing fee.

  • Formation state chosen (usually where you live and work)
  • Two or three candidate legal names with an allowed LLC designator
  • Official SOS / Division of Corporations business search open for that state
  • State naming / distinguishability FAQ skimmed
  • Plan for name reservation only if you need a hold and the state offers one
  • Optional: USPTO trademark search bookmarked as a separate desk

How do I check if an LLC name is available?

Search your formation state’s official business entity database (Secretary of State, Division of Corporations, or equivalent) before you file articles. Look for active entities, pending filings, and reserved names that collide under that state’s distinguishability rules. A clear SOS search is provisional filing eligibility — not trademark clearance. Then file via the matching state form-LLC guide.

Five desk steps in order:

  1. Pick the formation state. Name availability is checked in the state where you will file domestic articles — usually where you live and work. Open that state’s form-LLC guide for the official portal path.
  2. Search the official business entity database. Use the Secretary of State / Division of Corporations business search. Look for active entities, pending filings, and reserved names. Search variants (with and without LLC, punctuation, and common misspellings).
  3. Apply distinguishability rules. Read the state’s naming FAQ or statute. Changing only the designator (LLC vs Inc.) or punctuation often is not enough. If the name collides, pick another string before you order letterhead.
  4. Optional: reserve the name and/or run a USPTO search. Where the state offers name reservation, use it only if you need a time-limited hold. Separately, a USPTO trademark search is a process-level brand check — not SOS filing eligibility and not legal clearance.
  5. File articles on the official portal. File the Articles of Organization / Certificate of Organization or Formation on the state’s portal. Keep the stamped acceptance. Then continue with EIN, checking, and the operating agreement.

Desks for the steps: the 50-state formation index · Change an LLC name (after you already exist) · EIN · business checking · operating agreement. The SBA notes that entity-name, trademark, DBA, and domain registrations are legally independent — clearing one desk does not clear the others.

DIY or a formation shop. The walkthrough on this page is for searching your home-state business entity database yourself before you order letterhead or file articles. If you would rather pay a shop to handle the filing paperwork, compare these:

What does “distinguishable” mean for an LLC name?

States require the proposed legal name to be distinguishable on the business registry — often more than swapping “LLC” for “Inc.,” adding “The,” or changing punctuation. Exact rules live in the state’s naming statute or SOS FAQ. If the portal rejects the name, pick another string or reserve where offered, then refile. Do not order letterhead until the SOS accepts.

Designator endings such as LLC, L.L.C., Limited Liability Company, Inc., or Corp. are usually treated as interchangeable noise for distinguishability — the distinctive words must clear the registry. Confirm the live SOS naming FAQ for your formation state; this page invents no 50-state statute table. Professional practices may need a PLLC / PC designator on top of ordinary name clearance — Professional LLC / PLLC.

Once articles are accepted, put the stamped legal name on the operating agreement and keep public vs private records straight — Operating agreement vs articles.

Do I need to reserve the LLC name before I file?

Only if you want a hold and your state offers name reservation. Many operators skip reservation and file articles as soon as the search looks clear. Reservation is usually a separate fee and a time-limited hold — confirm on the SOS fee schedule. Filing articles creates the LLC; a reservation alone is not the company.

Three different name desks
CheckWhat it answersWhat it does not do
SOS / Division of Corporations entity searchCan this legal name be filed on the articles in this state?Does not grant trademark rights or clear federal marks
USPTO trademark searchAre there federal trademark records that may conflict in commerce?Does not make the SOS accept your LLC name
DBA / assumed / trade / fictitious nameCan this LLC publicly use a brand that is not the exact legal name?Does not create a new LLC or replace articles name clearance

Clear the SOS desk first so formation can proceed. Add USPTO when the brand will be used in interstate commerce and the stakes justify counsel. Use a DBA only after the LLC exists (or in parallel with branding plans) when the public-facing name differs from the articles name. Already formed and renaming? Change an LLC name.

Do not treat a clear SOS search as a trademark green light or a permanent “name is free” lock. Entity-name availability is a filing rule that can change until the portal accepts your articles. Trademark risk lives in a different system. This publisher does not give IP opinions or invent “available” results for any string.

Is a Secretary of State name search the same as a trademark search?

No. The SOS (or Division of Corporations) search only checks that state’s entity / reservation index for filing eligibility. Federal trademark rights are a separate USPTO desk. A name that clears the SOS can still collide with a registered mark in commerce. Treat USPTO search as an optional parallel brand check — this page is not IP advice.

The SBA’s choose-your-business-name guide separates entity name (state-level), trademark (federal), DBA (public notice that may be required but does not by itself create trademark rights), and domain — each registration is legally independent. Run a USPTO trademark search as a parallel brand check when the mark matters; it does not replace the SOS search and is not legal clearance on this page.

Example official search portals (confirm the live path at search time):

For every other state, open the matching form-LLC guide and use the official portal linked there. This page does not invent a 50-state list of search URLs.

What if my preferred LLC name is taken?

Entity databases change daily. A clear search this morning is not a guarantee at filing time. Either file promptly after a clear search, or use the state’s name-reservation path when you need a hold. If the preferred string is taken, pick a distinguishable alternative — do not treat a screenshot as filing acceptance.

  • Taken on the SOS index: pick a distinguishable alternative, or (where offered) reserve a cleared string and file before the hold expires.
  • Cleared SOS, brand risk elsewhere: USPTO / counsel desk — SOS acceptance does not clear marks in commerce.
  • Want a public brand that is not the legal name: DBA / assumed name after the LLC exists.
  • Already formed, renaming: Change an LLC name (articles amendment path).
  • Expanding out of state: foreign-qualification name check may force a fictitious / alternate name — Foreign LLC and certificate of authority.

After acceptance: put the legal name on the operating agreement, get the free EIN, and open checking in that exact legal name. First-month desk list: After you form an LLC.

Next: the money path. After the articles (once the name clears and you file) is accepted:

  1. Get an EIN — free on IRS.gov after the state entity exists
  2. Open business checking — park operating cash in the LLC’s name
  3. First brokerage — only if the work needs one

Full first-30-days desk list: After you form an LLC. Setup overview on the setup checklist. Formation shops, if you want one instead of DIY, stay in the callout above.

LLC name availability FAQ

How do I check if an LLC name is available?
Search your formation state’s official business entity database (Secretary of State, Division of Corporations, or equivalent) before you file articles. Look for active entities, pending filings, and reserved names that collide under that state’s distinguishability rules. A clear SOS search is provisional filing eligibility — not trademark clearance. Then file via the matching state form-LLC guide.
Is a DBA the same as checking LLC name availability?
No. LLC name availability is about the legal name on the articles in the formation state’s entity database. A DBA / assumed / trade / fictitious name is a later public-notice filing so the same LLC can use a different brand. Walkthrough: DBA, assumed name, and trade name for an LLC.
Can I use the same LLC name in every state?
Not automatically. Each formation or foreign-qualification state runs its own name check. A name that cleared Georgia may be taken in Florida. If you later register as a foreign LLC, that second state can require a fictitious / alternate name when the true legal name is unavailable there — see Foreign LLC and certificate of authority.
Should I use a formation shop to check the name?
You can search the official SOS database yourself for free in most states. Formation shops often bundle a name check into a paid package — optional convenience, not a requirement. A shop “name available” email is not Secretary of State acceptance and is not a trademark opinion. Formation Lane is a publisher only and does not reserve or file names.
